FLSA Class. “FLSA Class” shall mean the Plaintiffs and Opt-Ins, and all other persons who are Subclass Members. The FLSA Class is an opt-in class under 29 U.S.C. § 216(b), and the members of the FLSA Class are “FLSA Class Members.” Collectively the FLSA Class Members and the Subclass Members are the “Class Members.”

FLSA Class. Members of the FLSA Class may opt in to the Settlement by cashing 27 their checks for Individual Settlement Pay. The Class Notice will inform the FLSA Class of their 1 right to join the Settlement by cashing the check for their Individual Settlement Pay, and that by 2 cashing the check for their Individual Settlement Payment, FLSA Class members will become 3 FLSA Settlement Class members bound by the terms of this Agreement, including the release of 4 the FLSA Class Claims.
FLSA Class. Twenty Percent (20%) of the Net Settlement Fund shall be 5 allocated to the FLSA Class (“FLSA Class Award”). Each member of the 6 FLSA Class shall be entitled to receive a pro rata portion of the FLSA Class 8 workweek differential set forth below in this paragraph. FLSA Class 9 Awards shall thus be calculated by applying the following procedure: 10 i. For each FLSA Settlement Class Member, the Settlement Administrator 11 shall determine the number of Compensable Workweeks worked thereby 12 for (a) the period between October 4, 2014 and December 31, 2017 (The 13 “Pre-January 2018 Period”), and (b) the period between January 1, 2018 14 and the date the Court preliminarily approves this Settlement Agreement 15 (the “Post-January 2018 Period”);
FLSA Class. Any individual who affirmatively opted-into this Action pursuant to Section 216(b) of the FLSA prior to November 9, 2020. By agreement of the Parties, set forth in Section 2.35, the FLSA Class also includes the individuals set forth in Exhibit C.
FLSA Class. “FLSA Class” shall be defined as all workers who were employed at Xxxxxxxx, in Covered Positions between October 28, 2019 and the date of preliminary approval of this Settlement and who submitted a Claim Form and endorse their settlement checks.

Each Class of REMIC I Regular Interests and the Class R-1 Residual Interest shall be entitled to receive the amounts allocated to such Class pursuant to the definition of "REMIC I Distribution Amount" only to the extent of the REMIC I Available Distribution Amount for such Distribution Date remaining after distributions in accordance with prior clauses of the definition of "REMIC I Distribution Amount," each Class of REMIC II Regular Interests and the Class R-2 Residual Interest shall be entitled to receive the amounts allocated to such Class pursuant to the definition of "REMIC II Distribution Amount" only to the extent of the REMIC II Available Distribution Amount for such Distribution Date remaining after distributions in accordance with prior clauses of the definition of "REMIC II Distribution Amount" and each Class of REMIC III Regular Interests and the Class R-3 Residual Interest shall be entitled to receive the amounts allocated to such Class pursuant to the definition of "REMIC III Distribution Amount" only to the extent of the REMIC III Available Distribution Amount for such Distribution Date remaining after distributions in accordance with prior clauses of the definition of "REMIC III Distribution Amount."

  • Original Class B Principal Balance The Original Class B Principal Balance is $12,006,549.92.

  • Tax Classification The Series shall elect to be treated as an association taxable as a corporation under Treasury Regulations Section 301.7701-3 with effect for each taxable period of its existence. The Series and each Member shall file all tax returns and shall otherwise take all tax and financial reporting positions in a manner consistent with such treatment. No election will be filed with the Internal Revenue Service (or the tax authorities of any State) to have the Series taxable other than as an association taxable as a corporation for income tax purposes.

  • New Job Classifications When a new classification (which is covered by the terms of this collective agreement) is established by the Hospital, the Hospital shall determine the rate of pay for such new classification and notify the local Union of the same. If the local Union challenges the rate, it shall have the right to request a meeting with the Hospital to endeavour to negotiate a mutually satisfactory rate. Such request will be made within ten (10) days after the receipt of notice from the Hospital of such new occupational classification and rate. Any change mutually agreed to resulting from such meeting shall be retroactive to the date that notice of the new rate was given by the Hospital. If the parties are unable to agree, the dispute concerning the new rate may be submitted to arbitration as provided in the agreement within fifteen (15) days of such meeting. The decision of the arbitrator (or board of arbitration as the case may be) shall be based on the relationship established by comparison with the rates for other classifications in the bargaining unit having regard to the requirements of such classification. When the Hospital makes a substantial change in the job content of an existing classification which in reality causes such classification to become a new classification, the Hospital agrees to meet with the Union if requested to permit the Union to make representation with respect to the appropriate rate of pay. If the matter is not resolved following the meeting with the Union, the matter may be referred to arbitration as provided in the agreement within fifteen (15) days of such meeting. The decision of the arbitrator (or board of arbitration as the case may be) shall be based on the relationship established by comparison with the rates for other classifications in the bargaining unit having regard to the requirements of such classifications. The parties further agree that any change mutually agreed to or awarded as a result of arbitration shall be retroactive only to the date that the Union raised the issue with the Hospital. The parties further agree that the above process as provided herein shall constitute the process for Pay Equity Maintenance as required by the Pay Equity Act.
