For Company’s Convenience. It is expressly agreed that Company may terminate all or part of this Agreement at any time and from time to time for its sole convenience. Upon termination pursuant to this Article, an equitable adjustment shall be made by written agreement between Company and Supplier for the reasonable cost to Supplier of the Services performed prior to termination. This equitable adjustment shall include amounts compensating Supplier for its actual cost of labor and materials, and for reasonable overhead and profit. However, no profit shall be allowed if it is apparent that Supplier would have incurred a loss had the Work been completed as originally specified and in no event under such circumstances shall Supplier be compensated for unperformed or deficient Work, surcharges, or premiums.   • For Convenience By written notice, this Contract may be terminated at any time by the State for convenience upon sixty (60) days written notice or other specified period without penalty or other early termination charges due. Such termination of the Contract shall not affect any project or Purchase Order that has been issued under the Contract prior to the date of such termination. If the Contract is terminated pursuant to this subdivision, the Authorized User shall remain liable for all accrued but unpaid charges incurred through the date of the termination. Contractor shall use due diligence and provide any outstanding deliverables.
