In the event of a Constructive Termination at any time after March 13, 2001, the Executive shall be entitled to receive, in a lump sum within (10) days after the date of the Constructive Termination, an amount equal to one year of salary. The Company will also provide outplacement assistance to Executive in an amount not to exceed $25,000, is so desired by the Executive.

All member meetings, workshops and composition evaluations are held virtually.
