Forecasting of Net Delivered Energy. (a) The Seller shall use its reasonable efforts to predict the availability of the wind at the Site using such equipment as is available within the Complex and on that basis: (i) not later than twenty four (24) hours prior to the beginning of each Day following the Commercial Operations Date, the Seller shall notify the Purchaser (or revise any such information previously given) of the estimated net output of the Complex in MW which the Complex is likely to generate for each hour of such Day; (ii) not later than one (1) Week before the beginning of each Month, the Seller shall notify the Purchaser (or revise any such information previously given) of the Month ahead forecast of estimated net output of the Complex in MW which the Complex is likely to generate for each Week of such Month; and (iii) not later than thirty (30) Days before the beginning of each Agreement Year, the Seller shall notify the Purchaser (or revise any such information previously given) of the year ahead forecast of estimated net output of the Complex in MW which the Complex is likely to generate for each Month of such Agreement Year. (b) The forecasts of Net Delivered Energy provided by the Seller to the Purchaser under Section 5.3(a) shall not: (i) be binding on the Seller or the Purchaser; (ii) result in the Seller incurring or accruing any liability of any nature towards the Purchaser in relation to any discrepancy or deviation between the non-binding estimates and the actual Net Delivered Energy; or (iii) prejudice the rights and obligations of the Parties under Section 3.1(a).

Forecasting of Net Delivered Energy. The Seller shall use reasonable efforts to forecast the Net Delivered Energy based on available historical data of Ambient Site Conditions at Site and, on that basis, no later than noon prior to the beginning of each Day following the Commercial Operations Date the Seller shall notify the Purchaser (or revise any such information previously provided) of the estimated net energy of the Facility, in MWh, that the Facility is likely to generate in each hour of such Day; provided, that the forecast of Net Delivered Energy provided by the Seller to the Purchaser shall not result in the Seller incurring or accruing any liability of any nature towards the Purchaser in relation to any discrepancy or deviation between the non-binding estimates and the actual Net Delivered Energy.
Forecasting of Net Delivered Energy. 9.2.1 In view of the intermittency inherent in resource and therefore the generating capability of the Complex, the Parties agree that meticulous adherence to the provisions of the Grid Code relating to the scheduling and dispatch of generation facilities connected to the Grid System, including solar and wind generation is not possible in the case of the Complex.
Forecasting of Net Delivered Energy. (a) Without prejudice to the provisions of Section 2.5(b) relating to the Grid Code Release Report, the Parties agree that in view of the intermittency inherent in wind resource and therefore the generating capability of the Complex, meticulous adherence to the provisions of the Grid Code relating to the scheduling and dispatch of generation facilities (specifically, the "Scheduling and Despatch Sub-Code" of the Grid Code) connected to the Grid System is not possible in the case of the Complex. (b) Notwithstanding Section 5.3(a), the Seller acknowledges that accuracy in forecasting the Net Delivered Energy the Complex is able to deliver is material for the quality and reliability of electricity supplies across the Grid System. The Seller accordingly agrees that it shall use state-of-the-art best possible means available to predict the long-term and short-term availability of the wind at the Site and on that basis shall provide to the Purchaser: (i) not later than thirty (30) Days before the beginning of each Agreement Year, a year ahead forecast of Net Delivered Energy on a Monthly basis for the succeeding Agreement Year; and (ii) not later than one (1) Week before the beginning of each Month, a Month ahead forecast of Net Delivered Energy on a Weekly basis for the succeeding Month. (c) The forecasts of Net Delivered Energy provided by the Seller to the Purchaser under Section 5.3 (b) shall not be binding on the Seller or the Purchaser.
Forecasting of Net Delivered Energy. (a) No later than one hundred and fifty (150) Days prior to the Scheduled Commercial Operations Date the Seller shall appoint, at its own cost, the Forecasting Consultant, with the consent of the Purchaser pursuant to Schedule 13, to establish, the Hybrid Forecast Model. The Forecasting Consultant (i) shall be an expert in forecasting solar and wind power generation with at least ten (10) current facilities of both solar and wind technologies, in its forecasting portfolio with aggregate generation capacity of one thousand (1,000) MW or more, as demonstrated to the Purchaser, and (ii) shall use sophisticated and reliable forecasting tools and software. The Hybrid Forecast Model shall forecast the Net Delivered Energy for the available Arrays and WTGs, pursuant to Sections 5.3(b)(iii) and 5.3(b)(iv) below based on the minimum following criteria: (b) Global Horizontal Irradiation Data; (c) Wind Speed and Direction; (d) Ambient Temperature; (e) Cloud Motion Data; (f) Numerical Weather Predictive Data Analysis; (g) Root Mean Square Error Correction. (h) Subject to Section 5.3(a) above and following the Commercial Operations Date, the Seller shall: (i) no later than thirty (30) Days before the beginning of each Agreement Year, notify the Purchaser (or revise any such information previously given) of the year ahead forecast of estimated net energy of the Complex in MWh which the Complex is likely to generate for each Month of such Agreement Year (the “Year Ahead Notification”); (ii) No later than seven (7) Days prior to the beginning of each Month, notify the Purchaser (or revise any such information previously given) of the month ahead forecast of estimated net energy of the Complex in MWh which the Complex is likely to generate for each Day of the Month; (iii) No later than sixteen (16) hours prior to the beginning of each Day, notify the Purchaser of the Day Ahead Forecast for each hour of the relevant Day; (iv) Not later than six (6) hours before the start of each hour, a forecast of Net Delivered Energy for the said hour, provided, the Seller may revise once, and only once, the forecast for the said hour no later than four (4) hours prior to the commencement of the hour for which the forecast is revised; and (i) No later than five (5) Days after the end of each Month, the Seller shall notify the Purchaser of the Forecast Error based on Adjusted Forecast Energy in accordance with Schedule 13 (j) The forecasts of Net Delivered Energy provided by the Seller to ...

  • Reporting of Sales to TIPS by Vendor The Participation Fee that was published as part of the Solicitation and the fee published is the legally effective fee, along with any fee conditions stated in the Solicitation. Collection of the fees by TIPS is required under Texas Government Code §791.011 Et seq. Fees are due on all TIPS purchases reported by either Vendor or Member. Fees are due to TIPS upon payment by the Member to the Vendor, Reseller or Vendor Assigned Dealer. Vendor, Reseller or Vendor Assigned Dealer agrees that the participation fee is due to TIPS for all Agreement sales immediately upon receipt of payment including partial payment, from the Member Entity and must be paid to TIPS at least on a monthly basis, specifically within 31 calendar days of receipt of payment, if not more frequently, or as otherwise agreed by TIPS in writing and signed by an authorized signatory of TIPS. Thus, when an awarded Vendor, Reseller or Vendor Assigned Dealer receives any amount of payment, even partial payment, for a TIPS sale, the legally effective fee for that amount is immediately due to TIPS from the Vendor and fees due to TIPS should be paid at least on a monthly basis, specifically within 31 calendar days of receipt of payment, if not more frequently. Vendor is required to report all sales under the TIPS contract to TIPS. When a public entity initiates a purchase with a TIPS Awarded Vendor, if the Member inquires verbally or in writing whether the Vendor holds a TIPS Contract, it is the duty of the Vendor to verify whether or not the Member is seeking a TIPS purchase. Once verified, the Vendor must include the TIPS Contract number on any communications and related sales documents exchanged with the TIPS Member entity. To report sales, the Vendor must login to the TIPS Vendor Portal online at xxxxx://xxx.xxxx-xxx.xxx/vendors_form.cfm and click on the PO’s and Payments tab. Pages 3-7 of the Vendor Portal User Guide will walk you through the process of reporting sales to TIPS. The Vendor or vendor assigned dealers are responsible for keeping record of all sales that go through the TIPS Agreement and submitting same to TIPS. Failure to render the participation fee to TIPS shall constitute a breach of this agreement with our parent governmental entity, Texas Education Service Center Region 8, as established by the Texas legislature and shall be grounds for termination of this agreement and any other agreement held with TIPS and possible legal action. Any overpayment of participation fees to TIPS by a Vendor will be refunded to the Vendor within ninety (90) days of receipt of notification if TIPS receives written notification of the overpayment not later than the expiration of six (6) months from the date of overpayment and TIPS determines that the amount was not legally due to TIPS pursuant to this agreement and applicable law. It is the Vendor’s responsibility to identify which sales are TIPS Agreement sales and pay the correct participation fee due for TIPS Agreement sales. Any notification of overpayment received by TIPS after the expiration of six (6) months from the date of overpayment will be non-refundable. Region 8 ESC and TIPS reserve the right to extend the six (6) month deadline to notify if approved by the Region 8 ESC Board of Directors.   • TRUNK FORECASTING 57.1. CLEC shall provide forecasts for traffic utilization over trunk groups. Orders for trunks that exceed forecasted quantities for forecasted locations will be accommodated as facilities and/or equipment are available. Sprint shall make all reasonable efforts and cooperate in good faith to develop alternative solutions to accommodate orders when facilities are not available. Company forecast information must be provided by CLEC to Sprint twice a year. The initial trunk forecast meeting should take place soon after the first implementation meeting. A forecast should be provided at or prior to the first implementation meeting. The semi-annual forecasts shall project trunk gain/loss on a monthly basis for the forecast period, and shall include: 57.1.1. Semi-annual forecasted trunk quantities (which include baseline data that reflect actual Tandem and end office Local Interconnection and meet point trunks and Tandem-subtending Local Interconnection end office equivalent trunk requirements) for no more than two years (current plus one year); 57.1.2. The use of Common Language Location Identifier (CLLI-MSG), which are described in Telcordia documents BR 000-000-000 and BR 000-000-000; 57.1.3. Description of major network projects that affect the other Party will be provided in the semi-annual forecasts. Major network projects include but are not limited to trunking or network rearrangements, shifts in anticipated traffic patterns, or other activities by CLEC that are reflected by a significant increase or decrease in trunking demand for the following forecasting period. 57.1.4. Parties shall meet to review and reconcile the forecasts if forecasts vary significantly.

  • Out of Scope Services Axon is only responsible to perform the professional services described in the Quote and this Appendix. Any additional professional services are out of scope. The Parties must document scope changes in a written and signed change order. Changes may require an equitable adjustment in the charges or schedule.

  • Testing of Metering Equipment Connecting Transmission Owner shall inspect and test all of its Metering Equipment upon installation and at least once every two (2) years thereafter. If requested to do so by NYISO or Developer, Connecting Transmission Owner shall, at Developer’s expense, inspect or test Metering Equipment more frequently than every two (2) years. Connecting Transmission Owner shall give reasonable notice of the time when any inspection or test shall take place, and Developer and NYISO may have representatives present at the test or inspection. If at any time Metering Equipment is found to be inaccurate or defective, it shall be adjusted, repaired or replaced at Developer’s expense, in order to provide accurate metering, unless the inaccuracy or defect is due to Connecting Transmission Owner’s failure to maintain, then Connecting Transmission Owner shall pay. If Metering Equipment fails to register, or if the measurement made by Metering Equipment during a test varies by more than two percent from the measurement made by the standard meter used in the test, Connecting Transmission Owner shall adjust the measurements by correcting all measurements for the period during which Metering Equipment was in error by using Developer’s check meters, if installed. If no such check meters are installed or if the period cannot be reasonably ascertained, the adjustment shall be for the period immediately preceding the test of the Metering Equipment equal to one-half the time from the date of the last previous test of the Metering Equipment. The NYISO shall reserve the right to review all associated metering equipment installation on the Developer’s or Connecting Transmission Owner’s property at any time.

  • Financial Planning Services The Executive shall receive financial planning services, on an in-kind basis, for a period of eighteen (18) months following the Date of Termination. Such financial planning services shall include expert financial and legal resources to assist the Executive with financial planning needs and shall be limited to (i) current investment portfolio management, (ii) tax planning, (iii) tax return preparation, and (iv) estate planning advice and document preparation (including xxxxx and trusts); provided, however, that the Company shall provide such financial planning services during any taxable year of the Executive only to the extent the cost to the Company for such taxable year does not exceed $25,000. The Company shall provide such financial planning services through a financial planner selected by the Company, and shall pay the fees for such financial planning services. The financial planning services provided during any taxable year of the Executive shall not affect the financial planning services provided in any other taxable year of the Executive. The Executive’s right to financial planning services shall not be subject to liquidation or exchange for any other benefit. Such financial planning services shall be provided in a manner that complies with Treasury Regulation Section 1.409A-3(i)(1)(iv).

  • Compliance Control Services (1) Support reporting to regulatory bodies and support financial statement preparation by making the Fund's accounting records available to the Trust, the Securities and Exchange Commission (the “SEC”), and the independent accountants. (2) Maintain accounting records according to the 1940 Act and regulations provided thereunder. (3) Perform its duties hereunder in compliance with all applicable laws and regulations and provide any sub-certifications reasonably requested by the Trust in connection with any certification required of the Trust pursuant to the Xxxxxxxx-Xxxxx Act of 2002 (the “SOX Act”) or any rules or regulations promulgated by the SEC thereunder, provided the same shall not be deemed to change USBFS’s standard of care as set forth herein. (4) Cooperate with the Trust’s independent accountants and take all reasonable action in the performance of its obligations under this Agreement to ensure that the necessary information is made available to such accountants for the expression of their opinion on the Fund’s financial statements without any qualification as to the scope of their examination.
