Foundry Support. (a) In the event that Motorola has the HIP5L or HIP6L process in production earlier than AMD, providing AMD is in good faith attempting to qualify such process in its Dresden Fab 30 facility, at AMD's request, Motorola will manufacture utilizing HIP5L or HIP6L, up to *****, or such greater amount as the parties may agree to, until AMD's Dresden Fab 30 facility is prepared to provide production volume using those processes. The parties will negotiate and execute a separate foundry services agreement which shall include commercially reasonable terms and conditions, including pricing, in connection with the sale of such wafers.

Foundry Support. (a) In the event that AMD has the HIP6F process in production earlier than Motorola who is in good faith attempting to qualify such process, at Motorola's request, AMD will manufacture for Motorola up to *****, or such greater amount as the parties may agree to, until Motorola's facility is prepared to provide production volume using that process. The parties will negotiate and execute a separate foundry services agreement which shall include commercially reasonable terms and conditions, including pricing, in connection with the sale of such wafers. At Motorola's request, AMD will manufacture utilizing future processes (including SGEFT), similar low volume and prototype products for Motorola until the Motorola is prepared to manufacture products utilizing such processes at its own facilities.
Foundry Support. 3Dfx shall use commercially reasonable efforts to provide assistance to the 3Dfx Foundry and Sega Foundries to enable the 3Dfx Foundry and Sega Foundries to meet the cost and yield targets defined in Schedule 6.3.

  • Product Support (a) This Agreement does not include technical support by MS to Company, OEM Customers or any end users. Company may be able to purchase technical support services from MS or a MS Party, under a separate agreement.

  • Technical Support State Street will provide technical support to assist the Fund in using the System and the Data Access Services. The total amount of technical support provided by State Street shall not exceed 10 resource days per year. State Street shall provide such additional technical support as is expressly set forth in the fee schedule in effect from time to time between the parties (the “Fee Schedule”). Technical support, including during installation and testing, is subject to the fees and other terms set forth in the Fee Schedule.

  • TECHNICAL SUPPORT SERVICES 2.1 The technical support services (the "Services"): Party A agrees to provide to Party B the relevant services requested by Party B, which are specified in Exhibit 1 attached hereto ("Exhibit 1").

  • TAX SUPPORT SERVICES BNY Mellon shall provide the following tax support services for each Fund:  Provide various data and reports as agreed upon in the SLDs to support TRP’s tax reporting and tax filing obligations, including: · Wash sales reporting; · QDI reporting; · DRD reporting; · PFIC analysis; · Straddle analysis; · Paydown adjustments; · Equalization debit adjustments · Tax compliance under §851, §817(h); · Foreign bond sale analysis (§988); · Troubled debt analysis; · Estimation of income for excise tax purposes; · Swap analysis; · Inflation adjustments; · §1256 adjustments; · Market discount analysis; OID adjustments; · CPDI analysis; · Shareholder tax reporting information (e.g. FTC, UGG income, foreign source income by country, exempt income by state);  Provide data, and reports based on such data, maintained by BNY Mellon on its fund accounting platform as reasonably requested by TRP to support TRP’s obligations to comply with requests from tax authorities and TRP’s tax reporting and tax filing obligations.  Assist with other tax-related data needs as mutually agreed upon in writing from time-to-time.

  • Support Services Other than the assistance provided in the Information, the BNPP Entities do not offer any support services in connection with the Software.

  • Software Support PFPC shall provide the following Software support services (“Software Support”):

  • Maintenance and Support Services Distributor shall provide Maintenance and Support Services to all of its Customers of Licensed Software as set forth in Sections 3.4(a) and 3.4(b) below. Distributor may require Customers to provide the own First-Line Support: however, in no event shall Siebel be responsible for First-Line or Second-Line Support. Subject to Distributor's payment of the Maintenance Fees set forth in EXHIBIT A Siebel shall provide Third-Line Support to Distributor in accordance with Siebel's then current Maintenance and Support Services Policy. Distributor shall be responsible for all support related to the Value Added Offering.

  • Training and Support Distributor shall train and support its personnel or subcontractors for the satisfactory completion of its obligations under this Agreement. Supplier will assist in training by furnishing Distributor with English training literature. Supplier may, at his sole discretion, provide Distributor with his own personnel for training.

  • Support During the term of this Addendum, State Street agrees to provide the support services set out in Attachment D to this Addendum.
