Governance Data Meeting Information. Copies of meeting agendas for meetings of the Charter School Board of Directors shall be posted to the Charter School facility and website at the time they are distributed to the public pursuant to the Xxxxx Act. Copies of meeting minutes shall be posted at the facility and to the Charter School website within 5 days after their approval by the governing board. Charter School shall provide the District with notice of all meetings by providing copies of agendas at the same time the agenda is posted and will provide copies of minutes to the District from each meeting upon approval of same. The Charter School shall annually (on or before July 1 of each year) send to the District a list of its directors and officers, and shall notify the District within 30 days of any change in the composition of these directors and officers.

Governance Data Meeting Information. Copies of meeting agendas for meetings of the KIPP Governing Board and all committees thereof, including the Executive Committee, shall be posted at the Charter School facility and on its website at the time they are distributed to the public pursuant to the Brown Act. KIPP shall provide the District with notice of all meetings of the KIPP Governing Board, the Executive Committee, and any other KIPP Board subcommittees, by posting agendas on the Charter School’s website. KIPP shall audio record, video record, or both, all Governing Board meetings and shall post the recordings on the website of each charter school operated by KIPP consistent with Education Code section 47605.1(c). Minutes shall be approved at the subsequent meeting of the KIPP Governing Board or committee thereof as soon thereafter as is practicable, as applicable, and copies of meeting minutes shall be maintained by KIPP and made available at the Charter School facility within 5 days after their approval. KIPP shall establish an annual calendar listing the dates of its regular meetings and provide the locations of those meetings so that members of the public may elect to attend such meetings in person. Regardless of specific meeting location, KIPP will ensure that all Board and committee meetings are accessible to the public and may be attended in person if desired. For every meeting, KIPP shall also ensure that a two-way accessible teleconference and/or videoconference is established each KIPP schoolsite, including the Charter School’s schoosite. Notice of the teleconference/ videoconference location shall be included on all meeting agendas. KIPP shall endeavor to provide regular (monthly) forums for parental engagement with decision makers for the Charter School, whether its Governing Board or a subcommittee thereof. KIPP shall annually (on or before July 1 of each year) send to the District a list of its Governing Board directors and officers, including addresses, email addresses and phone numbers at which they may be reached if necessary by the District, as well as a list of all Board subcommittees and their members. The Charter School shall notify the District within 30 days of any change in the composition of these directors and/or officers.

As part of such efforts, to the extent reasonably necessary for the preparation of financial statements or completing an audit or review of financial statements or an audit of internal control over financial reporting, (i) SpinCo shall authorize and direct its auditors to make available to Nuance’s auditors, within a reasonable time prior to the date of Nuance’s auditors’ opinion or review report, both (x) the personnel who performed or will perform the annual audits and quarterly reviews of SpinCo and (y) work papers to the extent related to such annual audits and quarterly reviews, to enable Nuance’s auditors to perform any procedures they consider reasonably necessary to take responsibility for the work of SpinCo’s auditors as it relates to Nuance’s auditors’ opinion or report and (ii) until all governmental audits are complete, SpinCo shall provide reasonable access during normal business hours for Nuance’s internal auditors, counsel and other designated representatives to (x) the premises of SpinCo and its Subsidiaries and all Information (and duplicating rights) within the knowledge, possession or control of SpinCo and its Subsidiaries and (y) the officers and employees of SpinCo and its Subsidiaries, so that Nuance may conduct reasonable audits relating to the financial statements provided by SpinCo and its Subsidiaries; provided, however, that such access shall not be unreasonably disruptive to the business and affairs of the SpinCo Group; provided, further, that, subject to Section 7.05(b), any request for access pursuant to this Section 7.05(a) shall be made in good faith and limited to the extent reasonable to satisfy the good faith basis for such request. (c) In order to enable the principal executive officer(s) and principal financial officer(s) (as such terms are defined in the rules and regulations of the Commission) of Nuance to make any certifications required of them under Section 302 or 906 of the Xxxxxxxx-Xxxxx Act of 2002, SpinCo shall, within a reasonable period of time following a request from Nuance in anticipation of filing such reports, cause its principal executive officer(s) and principal financial officer(s) to provide Nuance with certifications of such officers in support of the certifications of Nuance’s principal executive officer(s) and principal financial officer(s) required under Section 302 or 906 of the Xxxxxxxx-Xxxxx Act of 2002 with respect to (i) Nuance’s Quarterly Report on Form 10-Q filed with respect to the fiscal quarter during which the Distribution Date occurs (unless such quarter is the fourth fiscal quarter), (ii) to the extent applicable, each subsequent fiscal quarter through the third fiscal quarter of the year in which the Distribution Date occurs and (iii) Nuance’s Annual Report on Form 10-K filed with respect to the fiscal year during which the Distribution Date occurs. Such certifications shall be provided in substantially the same form and manner as such SpinCo officers provided prior to the Distribution (reflecting any changes in certifications necessitated by the Spin-Off or any other transactions related thereto) or as otherwise agreed upon between Nuance and SpinCo.

  • Furnishing Information (a) No Holder shall use any free writing prospectus (as defined in Rule 405) in connection with the sale of Registrable Securities without the prior written consent of the Company. (b) It shall be a condition precedent to the obligations of the Company to take any action pursuant to Section 4 of this Annex E that the selling Holders and the underwriters, if any, shall furnish to the Company such information regarding themselves, the Registrable Securities held by them and the intended method of disposition of such securities as shall be required to effect the registered offering of their Registrable Securities.
