Government Consents and Approvals. All consents and approvals from the Government necessary for the consummation of the transactions contemplated hereby, shall have been obtained and shall be in full force and effect, including, without limitation, the expiration or termination of the waiting period under the HSR Act. The Orders shall have been entered and shall not be subject to a stay or injunction or other Government investigation or proceeding that may contest the transaction contemplated by this Agreement; provided, however, Buyer and Seller may agree to close if no stay of the Bankruptcy Sale Order has been entered.
Government Consents and Approvals. The execution, delivery and performance of this Agreement by the Purchaser does not and will not require any consent, approval, authorization or other order of, action by, filing with or notification to any Governmental Entity, except as described in Schedule 3.2(e).

No consent, approval or authorization of any national, state, municipal or local government or any instrumentality, subdivision, court, administrative agency or commission or other authority thereof is required with respect to the execution, delivery and performance of this Agreement by the Seller and the transactions contemplated hereby.

Government Consents and Approvals. The execution, delivery and performance of this Agreement by each Seller does not require any material consent, approval, authorisation or other order of, action by, filing with or notification to any Governmental Authority, other than (a) such consent, approval, authorisation or other order, or action by, filing with or notification to any Governmental Authority that will be made or obtained at or prior to Closing of the sale of the Shares in the relevant Company or (b) as described in the Disclosure Letter (as updated pursuant to Clause 12.1 of this Agreement).

Except as disclosed on Schedule 4.5 of the Buyer Parties Disclosure Schedules, no authorization, approval, or consent of, and no registration or filing with, any Governmental Authority is required to be made or obtained by any Buyer Party or any of their respective Affiliates in connection with the Buyer Parties’ execution and delivery of this Agreement or the other Transaction Documents to which any Buyer Party is a party and the performance of its obligations hereunder and thereunder, except for such authorizations, approvals, consents, registrations or filings that would not materially interfere with the conduct of the business of the Buyer Parties, taken as a whole.

Except for the Permits identified on Schedule 4.03, other than in connection with or in compliance with the provisions of the HSR Act, no notice to, declaration, filing or registration with, or authorization, consent or approval of, or permit from, any domestic or foreign governmental or regulatory body or authority is required to be made or obtained by Federal-Mogul in connection with the execution, delivery and performance of this Agreement or the other Transaction Documents and the consummation of the transactions contemplated hereby and thereby, except for consents or approvals the failure of which to obtain would not in the aggregate impair the ability of Federal-Mogul to perform its obligations hereunder or have a Material Adverse Effect.
