Government Consents and Approvals. All consents and approvals from the Government necessary for the consummation of the transactions contemplated hereby shall have been obtained and shall be in full force and effect, including, without limitation, the expiration or termination of the waiting period under the HSR Act. The Orders shall have been entered and shall not be subject to a stay or injunction or other Government investigation or proceeding that may contest the transaction contemplated by this Agreement; provided, however, Buyer and Seller may agree to close if no stay of the Bankruptcy Sale Order has been entered.
Government Consents and Approvals. 82 83 The execution, delivery and performance by each Purchaser of this Agreement does not and will not require any consent, approval, authorisation or other order of, action by, filing with or notification to any governmental authority, except as described in writing given to the Sellers by the Purchasers on or prior to Closing.

The execution, delivery and performance of this Agreement by each Seller does not require any material consent, approval, authorisation or other order of, action by, filing with or notification to any Governmental Authority, other than (a) such consent, approval, authorisation or other order, or action by, filing with or notification to any Governmental Authority that will be made or obtained at or prior to Closing of the sale of the Shares in the relevant Company or (b) as described in the Disclosure Letter (as updated pursuant to Clause 12.1 of this Agreement).

Except as disclosed on Schedule 4.5 of the Buyer Parties Disclosure Schedules, no authorization, approval, or consent of, and no registration or filing with, any Governmental Authority is required to be made or obtained by any Buyer Party or any of their respective Affiliates in connection with the Buyer Parties’ execution and delivery of this Agreement or the other Transaction Documents to which any Buyer Party is a party and the performance of its obligations hereunder and thereunder, except for such authorizations, approvals, consents, registrations or filings that would not materially interfere with the conduct of the business of the Buyer Parties, taken as a whole.
