Grant of Rights to Third Parties. The Developer may permit and/or grant rights to outside/ third parties against payment of consideration/charges to the Developer for setting up communication towers or other installations for mobile telephones, VSAT, Dish and/or other antennas and other communications and satellite systems in the Common Areas of the Said Complex and neither the Unit owners nor the Association nor any other entity shall be entitled to object to or hinder the same in any manner whatsoever. If any refundable deposit is received from such outside/third parties, then the same shall be made over by the Developer to the Association at the time of handing over of maintenance. Further, the recurring monthly consideration/charges, if any, shall be receivable by the Association after handing over of maintenance by the Developer.

Grant of Rights to Third Parties. The Company hereby agrees that in the event that it grants any contractual rights to any third party which rights are solely associated with stock ownership, Schering and Wellcome shall have the option, in their sole discretion, to obtain identical rights conditioned upon the agreement by Schering to be similarly bound by any additional restrictions or obligations accepted by the third party in connection with such contractual rights.
Grant of Rights to Third Parties. Subject to a preliminary publication under article L.132-1 of the IPC, and within the rights granted to them by the Agreement, the Publisher is authorized to grant rights to third parties in both France and abroad to copy and display all or part of the Work. Upon the execution of the grant of rights agreement with any third party, the Publisher shall inform the Author of all the rights granted to the third party by giving them all the important information of the agreement: name of the third party, term, territory, payment arrangements, etc. The Publisher shall ask for the Author’s previous authorization in case the Agreement is transferred to third parties through capital assets brought into a business. In such situation, considering the buyer, in case a transfer of business shall cause patrimonial or moral damages to the Author, the Author shall be compensated, including through the termination of the Agreement. The termination of the Agreement shall have no impact on the validity of any grant of rights executed during the term of the Agreement. The Author and the Publisher shall find a common ground for managing any such grant of rights in case of the termination of the Agreement. Failing such agreement, the Author shall substitute the Publisher in its rights towards the Publisher’s contracting party.

  • Rights Granted The Author hereby grants to the Publisher the perpetual, sole and exclusive, worldwide, transferable, sub-licensable and unlimited right to publish, produce, copy, distribute, communicate, display publicly, sell, rent and/or otherwise make available the Contribution in any language, in any versions or editions in any and all forms and/or media of expression (including without limitation in connection with any and all end-user devices), whether now known or developed in the future, in each case with the right to grant further time-limited or permanent rights. The above rights are granted in relation to the Contribution as a whole or any part and with or in relation to any other works. The Author hereby grants to the Publisher the right to create, use and/or license and/or sub-license content data or metadata of any kind in relation to the Contribution or parts thereof (including abstracts and summaries) without restriction. The Publisher also has the right to commission completion of the Contribution in accordance with the Clause "Author’s Responsibilities – Delivery and Acceptance of the Manuscript" and of an updated version of the Contribution for new editions of the Work in accordance with the Clause "New Editions". The copyright in the Contribution shall be vested in the name of the Author. The Author has asserted their right(s) to be identified as the originator of the Contribution in all editions and versions, published in all forms and media. The Author agrees that all editing, alterations or amendments to the Contribution made by or on behalf of the Publisher or its licensees for the purpose of fulfilling this Agreement or as otherwise allowed by the above rights shall not require the approval of the Author and will not infringe the Author's "moral rights" (or any equivalent rights). This includes changes made in the course of dealing with retractions or other legal issues.

  • Assignment of Rights to Intellectual Property The Executive shall promptly and fully disclose all Intellectual Property to the Company. The Executive hereby assigns and agrees to assign to the Company (or as otherwise directed by the Company) the Executive’s full right, title and interest in and to all Intellectual Property. The Executive agrees to execute any and all applications for domestic and foreign patents, copyrights or other proprietary rights and to do such other acts (including without limitation the execution and delivery of instruments of further assurance or confirmation) requested by the Company to assign the Intellectual Property to the Company and to permit the Company to enforce any patents, copyrights or other proprietary rights to the Intellectual Property. The Executive will not charge the Company for time spent in complying with these obligations. All copyrightable works that the Executive creates shall be considered “work made for hire”.

  • No Third Party Options There are no existing agreements with, options ---------------------- or rights of, or commitments to any Person, other than to Buyer, to acquire any of the Assets or any interest therein.
