HIGHWAYS WORKS. 2.1 Subject to the conditions set out in the First Schedule hereof Sandwell hereby transfers to Dudley from the commencement of the construction period until substantial completion of the Construction Contract all the functions of the Highway Authority in respect of the Sandwell Highway to enable Dudley to carry out the Highway Works 2.2 The Certified Costs of the Highway Works shall be borne by Dudley following the approval of funding from the DfT at Full Approval stage based on the Works Cost estimate at Schedule Two save for any Certified Costs over and above the grant receivable under the DfT approval which shall be borne by the parties in equal shares 2.3 At all times during the continuance of the Agreement the parties hereto shall in the exercise of their functions observe the conditions set out in the First Schedule hereto 2.4 Dudley in exercising any highway functions hereunder shall be liable in respect of all claims arising out of such exercise and will indemnify and keep Sandwell fully and effectually indemnified in respect of all such claims 2.5 Any claims under the Land Compensation Act 1973 and any costs awarded to claimants together with any expenses thereby incurred shall in the first instance be paid from any remaining funding received from DfT and if no such funding is available shall be shared by Sandwell and Xxxxxx in equal shares.
HIGHWAYS WORKS. The Council hereby covenants that it shall by itself or its contractor carry out the Highway Works hereto and that it will co-ordinate manage and supervise the Highway Works. The Council shall or shall procure that its contractor use its reasonable endeavours to carry out and complete the Highway Works in accordance with the Highways Plan within 18 months from the date of receipt of the Highway Works Contribution provided that this obligation shall not be deemed to be contravened by any unavoidable delay arising from the need to open any part of the Highway Works or any other land in the vicinity of the Highway Works for purposes connected with the provision of services by statutory authorities or statutory undertakers or arising from circumstances relating to the physical nature of the land being developed or of the works which were not reasonably foreseen by both parties at the commencement of the Highway Works and in each case the Council shall notify the Owner in writing of any such delay and shall provide details of the same. Immediately following the completion of this Agreement the Council and the Owners shall use all reasonable endeavours to agree:

  • Technology Upgrades Notwithstanding any other provision of this Agreement, Verizon shall have the right to deploy, upgrade, migrate and maintain its network at its discretion. The Parties acknowledge that Verizon, at its election, may deploy fiber throughout its network and that such fiber deployment may inhibit or facilitate PNG’s ability to provide service using certain technologies. Nothing in this Agreement shall limit Verizon's ability to modify its network through the incorporation of new equipment or software or otherwise. PNG shall be solely responsible for the cost and activities associated with accommodating such changes in its own network.

  • Access Toll Connecting Trunk Group Architecture 9.2.1 If CSTC chooses to subtend a Verizon access Tandem, CSTC’s NPA/NXX must be assigned by CSTC to subtend the same Verizon access Tandem that a Verizon NPA/NXX serving the same Rate Center Area subtends as identified in the LERG. 9.2.2 CSTC shall establish Access Toll Connecting Trunks pursuant to applicable access Tariffs by which it will provide Switched Exchange Access Services to Interexchange Carriers to enable such Interexchange Carriers to originate and terminate traffic to and from CSTC’s Customers. 9.2.3 The Access Toll Connecting Trunks shall be two-way trunks. Such trunks shall connect the End Office CSTC utilizes to provide Telephone Exchange Service and Switched Exchange Access to its Customers in a given LATA to the access Tandem(s) Verizon utilizes to provide Exchange Access in such LATA. 9.2.4 Access Toll Connecting Trunks shall be used solely for the transmission and routing of Exchange Access to allow CSTC’s Customers to connect to or be connected to the interexchange trunks of any Interexchange Carrier which is connected to a Verizon access Tandem.

  • COMMERCIAL COMPUTER SOFTWARE If performance involves acquisition of existing computer software, the following Company Exhibit is incorporated by reference: CCS Commercial Computer Software License (Company – July 2010).

  • Drainage Systems (1) Clear culvert inlets, outlets, and sediment catching basins. (2) Maintain waterbars, drainage dips, and other water diversion measures. (3) During active use, patrol and maintain functional drainage. (4) Repair damaged culvert ends.

  • Intellectual Property; Software Other than as set forth on Schedule 5.12: (a) There are no Copyrights, Patent Rights and Trademarks (including any assumed or fictitious names used by the Company within the previous two (2) years) owned by or licensed to the Company. (b) There is no Software owned by or licensed to the Company except for mass market Software licensed to the Company that is commercially available and subject to “shrink-wrap” or “click-through” license agreements. (c) The Company is not a party to Contracts which relate to: (i) any Copyrights, Patent Rights or Trademarks; (ii) any Trade Secrets owned by or licensed to the Company; and (iii) any Software, other than market Software licensed to the Company that is commercially available and subject to “shrink-wrap” or “click-through” license agreements. (d) The Company owns the entire right, title and interest in and to, or has the valid and enforceable right to use, the Intellectual Property and Software used in the Business as currently conducted, and to the Knowledge of Seller there is no other Intellectual Property necessary for the Company to conduct the Business as currently conducted. (i) No infringement, misappropriation or violation of any Intellectual Property, or any rights of publicity or privacy relating to the use of names, likenesses, voices, signatures or biographical information, of any other Person has occurred or results in any way from the operation of the Business or the use, sale or distribution of any Intellectual Property owned by or licensed exclusively to the Company; (ii) no claim of any infringement, misappropriation, violation or dilution of any Intellectual Property or any such rights of any other Person has been made or asserted in respect of the operation of the Business; (iii) no claim of invalidity of any Intellectual Property owned by the Company has been made by any other Person; (iv) no Proceedings are pending or, to the Knowledge of Seller, threatened that challenge the validity, ownership or use of any Intellectual Property owned by the Company; (v) the Company has not had notice of, and, to the Knowledge of Seller, there is no basis for, a claim against the Company that the operations, activities, products, Software, equipment or processes of the Business infringe, misappropriate, violate or dilute any Intellectual Property or any such rights of any other Person; and (vi) to the Knowledge of Seller, no Person infringes, misappropriates or violates any Intellectual Property owned or exclusively licensed by or to Seller, in each case except as could not, individually or in the aggregate, reasonably be expected to have a Material Adverse Effect.

  • Software Development Software designs, prototypes, and all documentation for the final designs developed under this agreement must be made fully transferable upon direction of NSF. NSF may make the software design, prototype, and documentation for the final design available to competitors for review during any anticipated re-competition of the project.

  • Computer Software The Grantee certifies that it has appropriate systems and controls in place to ensure that state funds will not be used in the performance of this Grant Agreement for the acquisition, operation, or maintenance of computer software in violation of copyright laws.
