Identification of Pre-Existing Know-How. The Consortium Members have identified and listed in the Annexes the Pre-Existing Know-How over which they may grant Access rights for the Project (Annex III) and the PEKH explicitly excluded (Annex IV). The Consortium Members agree that all other Pre-Existing Know-How shall be considered as unnecessary for the implementation of the Project, provided however that the Consortium Members may update Annex III to extend the listed Pre-Existing Know- How brought to the Project.

Identification of Pre-Existing Know-How. The Contractors have identified and listed in Annex B herein the Pre-existing Know-how over which they deny or limit Access Rights for the Project. For the avoidance of doubt, the Contractors acknowledge and agree that they may only grant Access Rights to Pre-existing Know-how where they are free to do so. The Contractors’ departments, institutes, and/or laboratories and/or employees directly involved in the Project are those identified in Annex I to the Contract. Each Contractor agrees that Pre-existing Know how developed or held in any other part of the Contractors organisation shall be considered as unnecessary for the implementation of the Project. Contractors shall identify any additional departments, institutes, laboratories and employees which become involved in the Project in Annex I of the Contract. Contractors may update Annex B of this Agreement on the date of signing the Contract to include Pre- existing Know-how developed or acquired during the period between the signing of this Agreement and the date of signing of the Contract. To avoid doubt, Contractors shall also be entitled to update Annex B of this Agreement in accordance with Article II.35.1 (d) of the Contract.
Identification of Pre-Existing Know-How. Access Rights may be granted only on Pre-Existing Know-How and Knowledge arising from the research carried out by the Contractors’ and Members' departments, institutes, or laboratories implied in the Project, as described in the Contract Preparation Forms or annex 1 of the EC Contract by each Contractor or Member, subject to the respect of disposals of the EC Contract and of this Consortium Agreement. The Contractors and Members agree to provide access to all Pre-Existing Know-How held by them that are needed and required for the conduct of the Project, except for those the concerned Contractor or Member is not free to grant.

Before the conclusion of the EC Contract, the Contractors and Members have identified and listed in Annex 4 the Pre-Existing Know-How explicitly excluded from Access Rights (Annex n°4). Access rights to PEKH not explicitly listed in Annex 4 shall be determined according to the following general principles. • Models, algorithms (and related software), instruments and observation methods shall be deemed to be PEKH excluded from the regime of granting of Access rights. • Geophysical and socio-economical data relating to the AMMA international project shall be deemed to be PEKH for which Access rights may be granted for the Project. The Contractors and Members agree to provide access to all Pre-Existing Know-How held by them that are required for the conduct of the Project, except for those listed in Annex 4 and in the abovementioned paragraph, and for those the concerned Contractor or Member is not free to grant.
Identification of Pre-Existing Know-How. The Contractors have identified and listed in Annex C of the Consortium Agreement the Pre- Existing Know-How needed for the Project and to which they may grant Access Rights. The Contractors agree that all other pre-existing know-how shall be considered as unnecessary for the implementation of the Project and thereby excluded from Access Rights, provided, however, that the Contractors may update Annex C with further development of the listed Pre-Existing Know-How that would have been developed between the date of submission of the Proposal and the date of award of the Contract. It is also agreed and understood that, such list may also be updated to include that part of Pre-Existing Know-How not identified in Annex C and that would prove to be needed for the performance of a Contractor’s work package for the Project or for the Use of a Contractor’s own Knowledge resulting from the Project.

Web-based information and applications must conform to New York State Enterprise IT Policy NYS-P08-005 as determined by quality assurance testing. Such quality assurance testing will be conducted by the State Agency Authorized User and the results of such testing must be satisfactory to the Authorized User before web-based information and applications will be considered a qualified deliverable under the contract or procurement.
