IN-KIND SERVICE. Should the KPBSD determine it necessary to request the CITY to provide snow removal for the Xxxxx High School upper and lower fields and the Xxxxx Middle School football field, the pre-determined costs mutually agreed upon by the CITY and Xxxxx High School administration for this “in-kind” service will reduce the $6,000 annual fee in the same amount as the total costs of the in-kind service. The KPBSD’s “hold harmless” statement in Article 1.8 applies to any in-kind service provided by the CITY.

IN-KIND SERVICE. During the first year of this Agreement, Licensor’s fleet and employee vehicles will have the ability to utilize the equipment for a vehicle charge event at 50% discount off of the standard charging rate. After the first twelve (12) months of the Agreement, and for each year thereafter, City of Durham fleet and employee vehicles will have the option to utilize the equipment at a discounted rate of twenty (20) percent discount off of the standard charging rate.

  • Service a. Any notice, request or demand required to be served on any party hereto shall be in writing and shall be deemed to be sufficiently served:- (i) If it is delivered personally to the address of the party provided pursuant to these Conditions of Sale or at the designated branch of the Assignee as stipulated herein; or (ii) If it is sent by prepaid registered post to the address of the party provided pursuant to these Conditions of Sale or by AR Registered Post to the designated branch of the Assignee as stipulated herein; and such notice, request or demand shall be deemed to have been received (iii) If delivered personally at the time given by hand or courier; or (iv) If sent by prepaid registered post after 3 days of posting; or (v) If sent by AR Registered Post upon actual receipt. b. Any legal process issued may be served on any party in the same manner stipulated for the service of notice, request or demand and such legal process shall be deemed served in the same manner as for the notice, request or demand.

  • Food Service If the Charter School offers food services on its own or through a third-party contract, the Charter School may apply directly to, and if approved, operate school nutrition programs with reimbursement from the United States Department of Agriculture, under supervision of the Tennessee Department of Education.

  • Subscription Service PROS warrants that during the Subscription Term, the Subscription Service will conform in all material respects to the functional specifications set forth in the Documentation. Customer's sole and exclusive remedy will be the deployment of a corrected version of the PROS software application that is the object of the Subscription Service, or provision of a workaround, provided however if PROS fails to provide such remedy after using commercially reasonable efforts, Customer may exercise its rights herein for breach of contract, including, but not limited to, termination pursuant to Section 10.2.
