Indemnification by Hospital. Hospital shall indemnify, defend and hold harmless Group and Group Practitioners from and against any and all claims, causes of action, liabilities, losses, damages, penalties, assessments, judgments, awards or costs, including reasonable attorneysfees and costs, arising out of, resulting from, or relating to: (i) Hospital’s failure to comply with the terms of this Agreement or (ii) the negligent acts or omissions of Hospital or any employee or agent of Hospital in the performance of Hospital’s obligations under this Agreement.

Indemnification by Hospital. ER, its officers, its employees, and its agents will incur no liability in connection with the conduct of Hospital prior to the effective date of the Original Agreement. Accordingly; Hospital shall and hereby does indemnify, hold harmless, and agrees to defend ER and its officers, employees, and agents from and against any Claims arising out of or connected with the gross negligence or willful misconduct of Hospital relating to the Facilities. If any such Claim shall arise hereunder ER shall give prompt written notice of such Claim to Hospital; except that any delay or failure of notice shall not relieve Hospital of the obligations hereunder except to the extent such delay has materially prejudiced Hospital.
Indemnification by Hospital. Hospital shall indemnify, defend, --------------------------- protect and hold GKF and its members, managers, officers, employees, agents and contractors (collectively the "GKF Indemnified Parties") harmless from and against all losses, claims, damages, liabilities, assessments, deficiencies, actions, proceedings, orders, judgments, liens, costs and other expenses (including reasonable attorney's fees) of any nature or kind whatsoever ("collectively "Damages") asserted against or incurred by any of the GKF Indemnified Parties which in any manner arise out of or relate to (a) the failure by Hospital to fully perform, observe or satisfy its covenants, duties or obligations contained in this Agreement or in the LGK Agreement; (b) the use and operation of the Equipment during the Term; (c) the design, construction and preparation of the Site by Hospital or the maintenance of the Site during the Term by Hospital; (d) Damages to the Equipment from the defective, faulty or improper design, construction or preparation of the Site or the installation and positioning of the Equipment; (e) Damages to the Equipment (including any Damages arising out of or related to violations by Hospital, its agents, officers, physicians, employees) caused by the negligent or wrongful acts or omissions of Hospital, its agents, officers, physicians, employees or contractors (in the event the Equipment is destroyed or rendered unusable, the indemnity shall extend up to (but not exceed) the full replacement value of the Equipment at the time of its destruction less salvage value, if any); (f) the events or occurrences described in Article 7.3 of the LGK Agreement to the same extent that Hospital agrees to indemnify Elekta thereunder.
Indemnification by Hospital. Hospital agrees to indemnify and hold harmless Quorum, its Affiliates, and each of their shareholders, directors, officers, employees, and agents ("Quorum Indemnified Party") from and against any and all losses, claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and expenses related to the defense of any claims), joint or several, which may be asserted against any of the Quorum Indemnified Parties or for which they may now or hereafter become subject arising in connection with the activity of the Hospital ("Quorum Claim"), including but not limited to: (i) alleged or actual failure by the Board to perform any of its duties hereunder, (ii) any pending or threatened medical malpractice or other tort claims asserted against Quorum; (iii) any action against Quorum brought by any of the Hospital's current or former employees or Medical Staff members; (iv) any act or omission by any Hospital employee, Medical Staff member, or other personnel; and (v) any violation of any requirement applicable to Hospital under any federal, state, or local environmental, hazardous waste or similar law or regulation; provided that such claims have not been caused by the gross negligence or willful or wanton misconduct of the Quorum Indemnified Party seeking indemnification pursuant to this Agreement.
Indemnification by Hospital. Hospital hereby agrees to indemnify and hold harmless, Transporter, its parent and affiliated companies, and its and their officers, directors, shareholders and employees for, from and against all damages, losses, liabilities (absolute and contingent), fines, penalties, costs and expenses (including, without limitation, reasonable attorneys fees, costs or expenses incurred in the investigation, defense or settlement of any claim covered by this indemnity) with respect to or arising out of any demand, claim, investigation or action of any kind or nature resulting from the personal injury to any person (including death), or the damage to any property, arising or alleged to have arisen out of any negligent act or omission of Hospital, its officers, directors, employees or agents, related to the performance of this Agreement.
Indemnification by Hospital. HOSPITAL shall defend, indemnify and hold Manager, its members, directors, officers, agents or employees, including Manager Representatives, harmless from and against any and all claims, demands, assessments, judgments, damages, losses, actions (including professional malpractice actions asserted against Manager to the extent such actions are in connection with Manager’s provision of Management Services and Performance Improvement Initiatives hereunder), penalties, fines, liabilities, encumbrances, liens, costs and expenses of investigation and defense of any claim, whether or not such claim is ultimately defeated, and of any good faith settlement of judgment, of whatever kind or nature, including but not limited to, reasonable attorneysfees and disbursements (together, the “Losses”), arising out of, in connection with or otherwise resulting from any act or omission of HOSPITAL, its officers, agents, or employees (other than Manager and its employees). Upon notice from Manager, HOSPITAL, at HOSPITAL’s expense, shall resist and defend any such claim or action by counsel reasonably satisfactory to Manager.

  • Indemnification by Owner To the fullest extent permitted by law, Owner shall indemnify and hold harmless Engineer, Engineer’s officers, directors, partners, agents, employees, and Consultants from and against any and all claims, costs, losses, and damages (including but not limited to all fees and charges of engineers, architects, attorneys, and other professionals, and all court, arbitration, or other dispute resolution costs) arising out of or relating to the Project, provided that any such claim, cost, loss, or damage is attributable to bodily injury, sickness, disease, or death or to injury to or destruction of tangible property (other than the Work itself), including the loss of use resulting therefrom, but only to the extent caused by any negligent act or omission of Owner or Owner’s officers, directors, partners, agents, consultants, or employees, or others retained by or under contract to the Owner with respect to this Agreement or to the Project.

  • Indemnification by Dalmore Dalmore shall indemnify and hold Client, Client’s affiliates and Client’s representatives and agents harmless from any Losses resulting from or arising out of Proceedings to the extent they are based upon (i) a breach of this Agreement by Dalmore or (ii) the wrongful acts or omissions of Dalmore or its failure to comply with any applicable federal, state, or local laws, regulations, or codes in the performance of its obligations under this Agreement.

Notwithstanding the foregoing, in no event shall the liability of any selling Holder be greater in amount than such Holder’s Maximum Contribution Amount (as defined below).

  • Indemnification by Fund Subject to the limitations set forth in this Agreement, each Fund agrees to indemnify and hold harmless the Custodian and its nominees from all losses, damages and expenses (including attorneys' fees) suffered or incurred by the Custodian or its nominee caused by or arising from actions taken by the Custodian, its employees or agents in the performance of its duties and obligations under this Agreement, including, but not limited to, any indemnification obligations undertaken by the Custodian under any relevant subcustodian agreement; provided, however, that such indemnity shall not apply to the extent the Custodian is liable under Sections 6 or 7 hereof.
