INDEPENDENT CONTRACTOR LIABILITY. Contractor is, and shall be at all times, deemed independent and shall be wholly responsible for the manner in which it performs services required by terms of this Agreement. Contractor exclusively assumes responsibility for acts of its employees, associates, and subcontractors, if any are authorized herein, as they relate to services to be provided under this Agreement during the course and scope of their employment. Contractor shall be responsible for performing the work under this Agreement in a safe, professional, skillful and workmanlike manner and shall be liable for its own negligence and negligent acts of its employees. County shall have no right of control over the manner in which work is to be done and shall, therefore, not be charged with responsibility of preventing risk to Contractor or its employees.

INDEPENDENT CONTRACTOR LIABILITY. 3.1 Xxxx County is associated with Xxxxxx County only for the purposes and to the extent set forth in this Agreement. INDEPENDENT CONTRACTOR LIABILITY. UTA’s status shall be that of an Independent Contractor and not an agent, servant, employee or representative of CITY in the performance of this Contract. No term or provision of or act of UTA or CITY under this Contract shall be construed as changing that status. UTA will have exclusive control of and the exclusive right to control the details of the work performed hereunder, and, to the extent authorized under the Constitution and laws of the State of Texas, shall be liable for the acts and omissions of its officers, agents, employees, contractors, subcontractors and engineers and the doctrine of respondeat superior shall not apply as between CITY and UTA, its officers, agents, employees, contractors, subcontractors and engineers, and nothing herein shall be construed as creating a partnership or joint enterprise between CITY and UTA. To the extent authorized under the Constitution and laws of the State of Texas, CITY shall indemnify and hold System, UTA, their Regents, officers, agents and employees harmless from any liability or loss resulting from judgments or claims against them arising out of CITY’s activities to be carried out pursuant to the obligations of this Agreement, including but not limited to the use by CITY of the results of the Contract; provided, however, that the following is excluded from CITY's obligation to indemnify and hold harmless: a. the negligent failure of UTA to substantially comply with any applicable governmental requirements or to adhere to the terms of any protocol for services to be performed under this Contract; or
INDEPENDENT CONTRACTOR LIABILITY. Independent Contractor will be responsible for any and all losses, liabilities, damages, injuries, claims, charges and costs, whether tangible or intangible (collectively, the “Losses”), to persons or property that in any way arise out of or relate to the performance of the Services whether performed by Independent Contractor or any other persons/entities under the Independent Contractor’s control or direction, except for those Losses directly arising out of the willful misconduct of the Company.
