Obligations of Xxxxxx. Xxxxxx shall take all commercially reasonable steps, execute all such documents and do all such acts and things necessary to have the Vitus Nominees serve as members of the Board of Directors of Xxxxxx, provided such persons are eligible to serve on the Board of Directors of Xxxxxx. Without limiting the generality of the foregoing, Xxxxxx shall: (i) cause the Vitus Nominees to be included in the management slate of nominees for election to the Board of Directors of Xxxxxx at every meeting of shareholders of Xxxxxx called for that purpose; and (ii) support the Vitus Nominees for election at every meeting of shareholders of Xxxxxx called for that purpose.

Obligations of Xxxxxx. Xxxxxx will prepare the work and deliverables in a timely manner but it is agreed between the parties that Xxxxxx cannot be responsible for delays occasioned by factors beyond its control, nor by factors which could not reasonably have been foreseen at the time this Agreement was entered into. Xxxxxx commits to provide adequate and qualified resources to meet the schedule, and will work with Proposal Recipient’s management in a manner that enables management to make informed decisions. OBLIGATIONS OF PROPOSAL RECIPIENT. Client will work in a diligent and timely manner with Xxxxxx to facilitate the contractual services required herein. To ensure a cooperative and successful effort, Client will commit to open disclosure of information required for the performance of services, will properly position Xxxxxx with its staff, and will make available subject matter knowledgeable staff in a timely manner to address questions, unforeseen circumstances or other unexpected conditions that may arise.
Obligations of Xxxxxx. 16 Xxxxxx will be solely responsible for providing a secure padlock for the unit and ensuring it is locked so as to be secure from unauthorised entry at all times when the Xxxxxx is not in the unit. Go Store Ltd will not be responsible for locking any unlocked unit. Xxxxxx is not permitted to apply a padlock to the Unit in Go Store Ltd’s overlocking position and Go Store Ltd may have any such padlock forcefully cut off at Xxxxxx’x expense. Where applicable, Xxxxxx will secure the external gates and/or doors of the Facility.
