Independent Medical Education Activities Controls, Donations Controls, and Sponsorships Controls. Amgen implemented prior to the Effective Date, and shall continue to maintain throughout the term of this CIA, Compliance Controls for Independent Medical Education (as defined in Section II.C.9) activities. Amgen represents that these controls ensure, among other factors, that: (i) all Independent Medical Education activity funding requests are reviewed, tracked, and evaluated by the Compliance organization to ensure that the requests meet compliance criteria; (ii) funding decisions are based on objective criteria such as: the qualifications of the requestor, the quality of the Independent Medical Education activity program, and Amgen’s pre- established educational goals; (iii) Independent Medical Education activity funding is provided only pursuant to a written agreement with the funding recipient and payments Corporate Integrity Agreement Amgen Inc. made to the Independent Medical Education activity funding recipient comply with the express terms of the written agreement; and (iv) Amgen staff are not involved in the development or implementation of Independent Medical Education activity programs funded by Amgen (collectively, the “Independent Medical Education Activity Controls”). Amgen implemented prior to the Effective Date, and shall continue to maintain throughout the term of this CIA, Compliance Controls for Donations to ensure that Amgen’s Donations comply with all applicable Federal health care program and FDA requirements (Donations Controls). Amgen represents that the Donations Controls ensure, among other factors, that: (i) Donations are provided to a qualified recipient which is a tax-exempt or not-for-profit entity; (ii) Donations are not linked, directly or indirectly, to any agreement to use Amgen’s products or to reward past business; (iii) Amgen does not fund any Donations request until the request is approved and an executed agreement is in place; and (iv) Donations payments are made consistent with the approval letter and written agreement. In addition, Amgen implemented prior to the Effective Date, and shall continue to maintain throughout the term of this CIA, Compliance Controls for Sponsorships to ensure that Amgen’s Sponsorships comply with all applicable Federal health care program and FDA requirements (Sponsorships Controls).   • TOOLS AND CLOTHING 30.1 An employee shall be required to provide himself with the ordinary hand tools of his trade, based on established trade union practices at the time of signing of this Agreement. EPSCA and the Union shall establish an appropriate tool list for each trade. Each Employer will provide, insofar as is practical, separate facilities for storing the tools of each trade, but shall not be held responsible for losses, except as noted hereunder:

  • Audit Controls P. Contractor agrees to an annual system security review by the County to assure that systems processing and/or storing Medi-Cal PII are secure. This includes audits and keeping records for a period of at least three (3) years. A routine procedure for system review to catch unauthorized access to Medi-Cal PII shall be established by the Contractor.

  • Agreement Controls In the event that any term of any of the Loan Documents other than this Agreement conflicts with any express term of this Agreement, the terms and provisions of this Agreement shall control to the extent of such conflict.

  • Security Controls for State Agency Data In accordance with Senate Bill 475, Acts 2021, 87th Leg., R.S., pursuant to Texas Government Code, Section 2054.138, Contractor understands, acknowledges, and agrees that if, pursuant to this Contract, Contractor is or will be authorized to access, transmit, use, or store data for System Agency, Contractor is required to meet the security controls the System Agency determines are proportionate with System Agency’s risk under the Contract based on the sensitivity of System Agency’s data and that Contractor must periodically provide to System Agency evidence that Contractor meets the security controls required under the Contract.

  • Internal Controls The Company shall maintain a system of internal accounting controls sufficient to provide reasonable assurances that: (i) transactions are executed in accordance with management’s general or specific authorization; (ii) transactions are recorded as necessary in order to permit preparation of financial statements in accordance with GAAP and to maintain accountability for assets; (iii) access to assets is permitted only in accordance with management’s general or specific authorization; and (iv) the recorded accountability for assets is compared with existing assets at reasonable intervals and appropriate action is taken with respect to any differences.

  • Personnel Controls The County Department/Agency agrees to advise County Workers who have access to Pll, of the confidentiality of the information, the safeguards required to protect the information, and the civil and criminal sanctions for non- compliance contained in applicable federal and state laws. For that purpose, the County Department/Agency shall implement the following personnel controls:

  • Access Controls a. Authorized Access - DST shall have controls that are designed to maintain the logical separation such that access to systems hosting Fund Data and/or being used to provide services to Fund will uniquely identify each individual requiring access, grant access only to authorized personnel based on the principle of least privileges, and prevent unauthorized access to Fund Data.

  • Tools and Equipment As established by current practices, the Employer may determine and provide necessary tools, tool allowance, equipment and foul weather gear. The Employer will repair or replace employer-provided tools and equipment if damaged or worn out beyond usefulness in the normal course of business. Employees are accountable for equipment and/or tools assigned to them and will maintain them in a clean and serviceable condition.

  • Accounting Controls The Company and its Subsidiaries maintain systems of “internal control over financial reporting” (as defined under Rules 13a-15 and 15d-15 under the Exchange Act Regulations) that comply with the requirements of the Exchange Act and have been designed by, or under the supervision of, their respective principal executive and principal financial officers, or persons performing similar functions, to provide reasonable assurance regarding the reliability of financial reporting and the preparation of financial statements for external purposes in accordance with GAAP, including, but not limited to, internal accounting controls sufficient to provide reasonable assurance that (i) transactions are executed in accordance with management’s general or specific authorizations; (ii) transactions are recorded as necessary to permit preparation of financial statements in conformity with GAAP and to maintain asset accountability; (iii) access to assets is permitted only in accordance with management’s general or specific authorization; and (iv) the recorded accountability for assets is compared with the existing assets at reasonable intervals and appropriate action is taken with respect to any differences. Except as disclosed in the Registration Statement, the Pricing Disclosure Package and the Prospectus, the Company is not aware of any material weaknesses in its internal controls. The Company’s auditors and the Audit Committee of the Board of Directors of the Company have been advised of: (i) all significant deficiencies and material weaknesses in the design or operation of internal controls over financial reporting which are known to the Company’s management and that have adversely affected or are reasonably likely to adversely affect the Company’ ability to record, process, summarize and report financial information; and (ii) any fraud known to the Company’s management, whether or not material, that involves management or other employees who have a significant role in the Company’s internal controls over financial reporting.

  • SENSITIVE FOREIGN NATIONS CONTROLS (a) In connection with any activities in the performance of this Agreement, Xxxxxx agrees to comply with the “Sensitive Foreign Nations Controls” requirements furnished to Seller by Company, relating to those countries, which may from time to time be identified to Seller by written notice as sensitive foreign nations. Seller shall have the right to terminate its performance under this Agreement upon at least 60 days’ prior written notice to Company if Seller determines that it is unable, without substantially interfering with its policies or without adversely impacting its performance, to continue performance of the work under this Agreement as a result of such notification. If Seller elects to terminate performance, the provision of Part 1.13 shall apply.
