Individuals Providing Services. Seller shall continue the employment of Xxxxx Xxxxx and Xxxxxx Xxxxx to provide the Services. Seller shall not be required to provide the services of any other person to provide the Services.
Individuals Providing Services. The parties understand and agree that all individuals providing services as agreed upon in this contract are independent contractors of UDS and shall remain as such throughout the term of this agreement and UDS will be solely responsible for their compensation.
Individuals Providing Services. MBA shall ensure that all individuals providing services to GMLSD pursuant to this Agreement maintain all necessary and appropriate licenses or other authorizations required to perform the services provided. MBA will be solely responsible for payment of all payroll taxes, benefits, workers’ compensation, unemployment insurance, trust fund contributions and other deductions, withholdings and contributions under applicable laws and agreements pertaining to all individuals providing services to GMLSD under this Agreement. GMLSD shall not be responsible for any payments, benefits, contributions, deductions, or withholdings regarding such individuals. MBA is solely responsible for the training of any individuals assigned to perform services in accordance with this Agreement. Notwithstanding the services to be performed by MBA under this Agreement, GMLSD shall remain ultimately responsible for the operation of its employee benefit plans and programs. In this regard, GMLSD shall retain complete and exclusive discretionary authority to construe the terms of its employee benefit plans and programs, determine employee eligibility thereunder, and make all fiduciary decisions required to operate each of such plans and programs. MBA and GMLSD each acknowledge and agree that the relationship between them is one of independent parties contracting solely to effectuate the purposes of this Agreement and nothing contained in this Agreement shall be construed or deemed to create any other relationship between the parties, including one of ownership, employment, agency, or joint venture. Under no circumstances shall GMLSD take any actions that would make MBA an ERISA/plan fiduciary or plan sponsor of GMLSD, or its employee benefits plans or programs.
