Information in Reports. 7.1 All information supplied by or on behalf of the Group and the RSA Group (where applicable) to the Reporting Accountants and/or KPMG for the purposes of preparing the Reports has been accurately compiled and supplied in good faith after due and careful enquiry (in relation to the RSA Group, so far as the Company is aware only); such information was when supplied true and accurate (in relation to information on the RSA Group, so far as the Company is aware only) and was not (when supplied) by itself or by omission misleading (in relation to the RSA Group, so far as the Company is aware only) and no further information has been withheld which might reasonably have affected the contents of the Reports in any material respect (in relation to the RSA Group, so far as the Company is aware only). All forecasts, estimates, valuations, expressions of opinion, intention or expectation supplied were truly and honestly held and fairly made on reasonable grounds and/or assumptions after due and careful consideration and enquiry

Information in Reports. All information contained in the Accountants’ Reports, the Financial Statements, and the Working Capital Report is and remains accurate, save, as the case may be, for any de minimis inaccuracies that would not affect the contents of the report, and not misleading, and no fact or matter has been omitted from any of these reports which would be necessary to make the information therein not misleading in any material respect, except to the extent that the same has been affected by events subsequent to the date of such reports and such events, where material, have been disclosed accurately and without omission in the Disclosure Package; and the statements of opinion, intention or expectation attributed to the Company or the Directors in the Accountants’ Reports, the Financial Statements, or the Working Capital Report are accurate statements of the opinions, intentions or expectations held by the Company or the Directors, as the case may be, are made in good faith and have been reasonably arrived at after due and careful enquiry.

  • Tax Reporting Information The Grantee is required to report any foreign specified property (including Shares acquired under the Plan) to the Canada Revenue Agency on Form T1135 (Foreign Income Verification Statement) if the total cost of the Grantee’s foreign specified property exceeds C$100,000 at any time in the year. The form must be filed by April 30th of the following year. Foreign specified property also includes unvested Restricted Stock Units (generally at nil cost) if the C$100,000 cost threshold is exceeded because of other foreign specified property. The Grantee should consult with his or her personal tax advisor to determine his or her reporting requirements.
