Interdependence. The requirements of clauses 6.2, 6.3 and 6.5 are interdependent and must be carried out contemporaneously. No delivery or payment will be deemed to have been made until all deliveries and payments have been made or waived.
Interdependence. (a) Notwithstanding any provision of a Linked Transaction Agreement but subject to clause 4 of the Co-ordination Agreement, the obligations of the parties to the Linked Transaction Agreements in respect of completion (as defined in each Linked Transaction Agreement) are interdependent.
(b) Subject to clause 4 of the Co-ordination Agreement, all actions at Completion under this agreement and completion under each other Linked Transaction Agreement will be deemed to take place simultaneously and no delivery or payment will be deemed to have been made until all deliveries and payments under the Linked Transaction Agreements due to be made at or immediately after completion (as defined in each Linked Transaction Agreement) have been made.
(c) A breach of this agreement by any party to this agreement is deemed to constitute a breach by the defaulting party of each Linked Transaction Agreement to which the defaulting party is a party.
Interdependence. The sale and other transfers and deliveries described herein shall be mutually interdependent and regarded as occurring simultaneously as of the Closing, and, unless a particular transfer or delivery is waived by the party entitled to the benefit of such sale, transfer or delivery, no such sale, transfer or delivery shall become effective unless and until all the other transfers and deliveries provided for herein have also been consummated.
Interdependence. The transfers and deliveries described in this Article III are mutually interdependent and are to be regarded as occurring simultaneously as of the Effective Time. Unless agreed to in writing by both Seller and Buyer, no such transfer or delivery will become effective until all other transfers and deliveries provided for in this Article III have also become effective.
Interdependence. The transfers and deliveries described in this Article 6 are mutually interdependent and are to be regarded as occurring simultaneously as of the Closing Date. Unless agreed otherwise in writing by MABVAX and BII, no such transfer or delivery shall become effective until all other transfers and deliveries provided for in this Article 6 have also become effective. The parties agree that the failure of MABVAX to transfer and deliver to BII [***] upon Closing in accordance with Section 8.2.2 shall have no effect on the effectiveness and validity of the other transfers and deliveries provided for in this Article 6.
Interdependence. Each agreement to sell and purchase between the Vendors and Responsys is conditional and interdependent on the other, those agreements to be settled simultaneously in the manner set out in the Agreement (as amended by this Amendment).
Interdependence. The transfers and deliveries described in this Article II are mutually interdependent and, except as otherwise set forth herein, are to be regarded as occurring prior to the closing of the Merger. Unless otherwise set forth herein or agreed to in writing by the applicable Parties, no such transfer or delivery shall become effective until all other transfers and deliveries provided for in this Article II have also become effective.
Interdependence. The transfers and deliveries described in this Article II are mutually interdependent and are to be regarded as occurring simultaneously on the Closing Date and prior to the closing of the Spin Off and Merger unless otherwise indicated on Schedule 2.1. Unless agreed to in writing by the Contributors, Newco and Transpro, no such transfer or delivery will become effective until all other transfers and deliveries provided for in this Article II have also become effective.
Interdependence. The Parties understand that the actions envisaged by the present MoU depend on each other and may not be performed on a stand-alone basis.
Interdependence. The transfer and deliveries described in this Article 2 are mutually interdependent and regarded as occurring simultaneously as of the close of business on the Closing Date; and, unless waived by both the transferor and transferee, no such transfer or delivery shall become effective unless and until all other transfers and deliveries provided for in this Article 2 have also been consummated.
