Intermediate Body. No Intermediate Body for the Swiss-Bulgarian Cooperation Programme is envisaged.
Intermediate Body. Intermediate Body means any legal public or private entity appointed by the NCU which acts under the responsibility of the NCU or which carries out duties on behalf of the NCU with regard to Executing Agencies implementing Projects. The main tasks of the Intermediate Bodies are to: - Call for and collect Project proposals, review compliance with the requirements for Project proposals (cf. 1) and assess the quality of applications submitted in consultations with line ministries; - Submit Project proposals with appraisal reports to the NCU; - Supervise and steer the implementation of Projects in accordance with the Project Agreements and the Implementation Agreements, and carry out the necessary controls; - Ensure that there is no double-financing of any part of the Project by any other source of funds and report to the NCU; - Verify in each Project if the value added tax (VAT) can be recovered by the Executing Agency and to inform the NCU accordingly in the form of a declaration by the applicant as part of the Project documentation; - Confirm compliance with state aid rules and report to the NCU; - Check the invoices or the documents of equivalent value received from the Executing Agencies, verify the authenticity and correctness of submitted documents as well as the eligibility of costs on payment claims and report to the NCU; - Certify invoices or the documents of equivalent value and submit certified invoices or documents of equivalent value to the NCU or to the Paying Authority; - Submit payment claims to the Paying Authority and certify their conformity and legality; - Report to the NCU on the progress of Project implementation; - Submit all audit reports of the financed Projects to the NCU; - Check for irregularities and report them to the NCU; - Ensure storage of all relevant documents related to Projects implemented within the Swiss-Bulgarian Cooperation Programme for 10 years after the completion of Projects; - Agree to write with the Executing Agencies justified amendments to the implementation of agreed Projects within the limits defined in the respective Project Agreements; - Monitor the achievement of objectives and results; - Ensure the promotion of and information about the Swiss-Bulgarian Cooperation Programme and the Projects.

  • Borrower Products Except as described on Schedule 5.11, no Intellectual Property owned by Borrower or Borrower Product has been or is subject to any actual or, to the knowledge of Borrower, threatened litigation, proceeding (including any proceeding in the United States Patent and Trademark Office or any corresponding foreign office or agency) or outstanding decree, order, judgment, settlement agreement or stipulation that restricts in any manner Borrower’s use, transfer or licensing thereof or that may affect the validity, use or enforceability thereof. There is no decree, order, judgment, agreement, stipulation, arbitral award or other provision entered into in connection with any litigation or proceeding that obligates Borrower to grant licenses or ownership interest in any future Intellectual Property related to the operation or conduct of the business of Borrower or Borrower Products. Borrower has not received any written notice or claim, or, to the knowledge of Borrower, oral notice or claim, challenging or questioning Borrower’s ownership in any Intellectual Property (or written notice of any claim challenging or questioning the ownership in any licensed Intellectual Property of the owner thereof) or suggesting that any third party has any claim of legal or beneficial ownership with respect thereto nor, to Borrower’s knowledge, is there a reasonable basis for any such claim. Neither Borrower’s use of its Intellectual Property nor the production and sale of Borrower Products infringes the Intellectual Property or other rights of others.

  • any Subsidiary of an Unrestricted Subsidiary The Issuer may designate any Subsidiary of the Issuer (including any existing Subsidiary and any newly acquired or newly formed Subsidiary) to be an Unrestricted Subsidiary unless such Subsidiary or any of its Subsidiaries owns any Equity Interests or Indebtedness of, or owns or holds any Lien on, any property of, the Issuer or any Restricted Subsidiary of the Issuer (other than solely any Subsidiary of the Subsidiary to be so designated); provided that (1) any Unrestricted Subsidiary must be an entity of which the Equity Interests entitled to cast at least a majority of the votes that may be cast by all Equity Interests having ordinary voting power for the election of directors or Persons performing a similar function are owned, directly or indirectly, by the Issuer; (2) such designation complies with Section 10.10; and

  • Organization; Subsidiaries (a) The Company is a corporation duly organized, validly existing and in good standing under the Laws of the State of Delaware and has the requisite corporate power and corporate authority to carry on its business as it is now being conducted or presently proposed to be conducted. To the Company's Knowledge, the Company is duly qualified and licensed as a foreign corporation to do business and is in good standing (and has paid all relevant franchise or analogous taxes) in each jurisdiction where the character of its assets owned or held under lease or the nature of its business makes such qualification necessary, except where the failure to be so qualified or licensed, individually or in the aggregate, has not had and would not reasonably be expected to have a Material Adverse Effect. (b) The Company owns, either directly or indirectly through one or more of its Subsidiaries, all of the capital stock or other equity interests of its Subsidiaries free and clear of all Liens, except those Liens pursuant to the credit and other loan agreements existing as of the date hereof. There are no outstanding subscription rights, options, warrants, convertible or exchangeable securities or other rights of any character whatsoever relating to issued or unissued capital stock or other equity interests of any Subsidiary, or any commitments of any character whatsoever relating to issued or unissued capital stock or other equity interests of any Subsidiary or pursuant to which any Subsidiary is or may become bound to issue or grant additional shares of its capital stock or other equity interests or related subscription rights, options, warrants, convertible or exchangeable securities or other rights, or to grant preemptive rights. (c) Each Subsidiary is a corporation, limited liability company, partnership, business association or other Person duly organized, validly existing and in good standing (in jurisdictions where such concept is recognized) under the Laws of the jurisdiction of its organization and has the requisite corporate power and authority to carry on its business as it is now being conducted.   • CALAMITY DAYS 19.01 The Superintendent, in consultation with the appropriate administrators, will establish work schedules for the support staff. Work schedules may be changed as required to meet the needs of the District. 19.02 When school is canceled or closed because of inclement weather or other calamity, the following support staff employees are expected to report to work, unless a Fairfield County Level 2 or 3 Snow Emergency is declared: A. District Office personnel; B. Custodial employees; C. Maintenance/grounds employees; and D. Secretarial employees (who may report on a two-hour delay when school is canceled or closed). 19.03 Specific job duties or responsibilities may require some employees to report to work in the instance of Level 2 snow emergencies. The Superintendent/designee determines whether or not conditions are too hazardous to expect employees to report for work at the regularly scheduled time, at a later time, or not at all. The work classifications and number of employees required to work on a day when school is closed will be determined by the Superintendent/designee in consultation with building and District administrators. 19.04 Employees who are required to work at times when school is closed will be paid a regular rate of pay unless: (a) the day is one that the District is required to make up in order to complete the required school year as approved by the Board, and (b) the hours worked are hours for which the employee is otherwise entitled to overtime compensation. 19.05 Employees who are required to report for work when school is closed and who fail to report will not receive any compensation for that day and may be subject to disciplinary action. 19.06 Non 12-month employees who are required to work on both a calamity day and a make-up day will be paid for working the make-up day at their regular hourly rate of pay. 19.07 In the event of an inclement weather delay, employees not listed in Article 19.02 whose day coincides with the start of the student instructional day shall have a delayed report time equivalent to that of the delay, except for custodial/maintenance-grounds employees who shall report as directed by their supervisor.

  • Holdings Holdings shall not engage in any material operating or business activities; provided that the following and any activities incidental thereto shall be permitted in any event: (1) its ownership of the Equity Interests of the Borrower and its other Subsidiaries, including receipt and payment of Restricted Payments and other amounts in respect of Equity Interests, (2) the maintenance of its legal existence (including the ability to incur and pay, as applicable, fees, costs and expenses and Taxes relating to such maintenance) and the payment of any tax distributions pursuant to Section 7.05(2)(n)(ii)), (3) the performance of its obligations with respect to the Transactions, the Acquisition Agreement, the Loan Documents and any other documents governing Indebtedness permitted hereby, (4) any public offering of its common equity or any other issuance, registration or sale of its Equity Interests, (5) financing activities, including the issuance of securities, incurrence of debt, receipt and payment of dividends and distributions, making contributions to the capital of its Subsidiaries and guaranteeing the obligations of the Borrower and its other Subsidiaries, (6) if applicable, participating in Tax, accounting and other administrative matters on behalf of itself or as a member of any Tax Group and the provision of administrative and advisory services (including treasury and insurance services) to its Subsidiaries of a type customarily provided by a holding company to its Subsidiaries, (7) holding any cash or property (but not operate any property), (8) providing indemnification to officers and directors, (9) merging, amalgamating or consolidating with or into any Person (in compliance with Section 7.03), (10) repurchases of Indebtedness through open market purchases and Dutch auctions, (11) activities incidental to Permitted Acquisitions or similar Investments consummated by the Borrower and the Restricted Subsidiaries, including the formation of acquisition vehicle entities and intercompany loans and/or Investments incidental to such Permitted Acquisitions or similar Investments, (12) any transaction with the Borrower and/or any Restricted Subsidiary to the extent expressly permitted under this Article VII, and (13) any activities incidental or reasonably related to the foregoing.

  • Condition of Borrower or Guarantor The insolvency, bankruptcy, arrangement, adjustment, composition, liquidation, disability, dissolution or lack of power of Borrower, Guarantor or any other party at any time liable for the payment of all or part of the Guaranteed Obligations; or any dissolution of Borrower or Guarantor, or any sale, lease or transfer of any or all of the assets of Borrower or Guarantor, or any changes in the shareholders, partners or members of Borrower or Guarantor; or any reorganization of Borrower or Guarantor.
