Payment Claims definition

Payment Claims. All sales to Dealer shall be paid for COD, by cashier's check unless otherwise agreed between Regal and Dealer. All claims for shortage or damages or unacceptable goods shall be made at the time of arrival of the shipment. The failure of Dealer to give such notification shall constitute a waiver of any such claim. Dealer shall cause to be paid or shall make reimbursement to Regal in full for any and all taxes, duties. or other charges imposed by federal, state, municipal or other governmental authority upon any purchase or sale under Agreement.
Payment Claims means (a) chargebacks and other credits and reimbursements (and any associated administrative fees, but excluding rebates), to customers (including Governmental Authorities and Third Party payors) with respect to a unit of Product sold in the Territory, (b) rebates, price reductions, patient savings or co-pay card discounts, coverage gap discounts or payments to customers (including Governmental Authorities and Third Party payors), in each case, based on utilization of units of a Product in the Territory or otherwise relating to programs (including coupons and any government (federal or state) drug rebate program) with respect to or applicable to the Product, (c) penalties or rebates payable pursuant to the Medicare Prescription Drug Inflation Rebate Program under the Inflation Reduction Act, (d) the fees described in Section 9008 of the Patient Protection and Affordable Care Act, as amended by Section 1404 of the Health Care and Education Reconciliation Act of 2010 and (e) all other payment obligations, including for Product returns, allocated between Seller and Buyer (or their respective Affiliates) under the Commercial Agreement.
Payment Claims means any and all payments, rebates, administrative fees or chargebacks due under any state or federal program or due to customers under any private party managed care contracts or under any other contract or program of any nature whatsoever with private parties, except for Medicaid Rebates.

  • After Final Payment, Claims by either the Owner or Design-Builder that have not otherwise been waived pursuant to Sections 9.10.4 or 9.10.5, must be initiated by prompt written notice to the other party.

More Definitions of Payment Claims

Payment Claims means any and all claims and/or amounts due to third parties, including, wholesalers, retailers, distributors, government buyers or group purchasing organizations (whether by agreement, government mandate or otherwise) that result or arise from rebate payments (e.g., Medicaid rebates), chargebacks (i.e., refunds owed to wholesalers due to a decrease in the average wholesale price), buy-againsts (i.e., reimbursements due to government customers when such government customer is forced to buy substitute product from another source at a higher price), returns, credits, price adjustments or other similar payments with respect to the Products.
Payment Claims has the meaning specified in Section 2.06.
Payment Claims means any Rebates or Chargebacks, and without limiting the foregoing, includes prompt payment discounts, distribution service fees, and administrative fees charged by Customers.
