Internal Disclosure. Each Receiving Party shall maintain the confidentiality and sensitive nature of the Disclosing Party’s Confidential Information and shall not disclose to any third party any Confidential Information. The Receiving Party may disclose the Disclosing Party’s Confidential Information to its own personnel, agents and officers having a legitimate need-to-know regarding such Confidential Information for the purposes of this Agreement and who are bound by confidentiality obligations at least as restrictive as the Confidential Information terms of this Agreement, and the Receiving Party shall use Confidential Information only if and as required for the purpose of this Agreement.
Internal Disclosure. Each Party may disclose Information only to those of its Affiliates and to its and their directors, officers, employees, agents, professional advisors and consultants who have a bona fide need to know the Information, it being understood that such Affiliates, directors, officers, employees, agents, professional advisors and consultants shall be informed of the confidential nature of such Information and shall be required to treat such Information confidentially.

The Recipient acknowledges and agrees that the Province reserves the right to disclose Confidential Information, and any other information the Province has received in connection with this Agreement, to any employees, advisors, auditors, contractors or agencies of the Province that have a need to know the Confidential Information for the purpose of administering or evaluating the Program, performing audits, determining Other Funding amounts, or developing laws, policies or programs related to reduction of greenhouse gases.

BUYER agrees that it will advise its Secondary Recipients of the existence of this Agreement and use its reasonable efforts to cause such Secondary Recipients to honor the confidential nature of such Confidential Information to the same extent as BUYER would protect its own Confidential Information.
