Interpretation and Headings. This agreement shall be interpreted in order to achieve the purposes for which it was entered into. The section headings contained in this Agreement are for reference purposes only and shall not affect in any way the meaning or interpretation of this Agreement.
Interpretation and Headings. The Parties intend that this Agreement constitutes and should be deemed to be a “master setoff agreement” and that the Parties are and should be deemed to be “master setoff agreement participants” within the meaning of and as such terms are used in any law, rule, regulation, statute, or order applicable to the Parties’ rights herein, whether now or hereafter enacted or made applicable. The use of headings and subheadings in this Agreement, and the division of this Agreement into sections and sub-sections, are for convenience of reference only and shall not affect the interpretation or construction of this Agreement.
Interpretation and Headings. In this Agreement:
(a) headings in this Agreement are inserted for convenience of reference only and shall not affect the construction or interpretation of this Agreement;
(b) words importing the singular number include the plural and vice versa, and words importing gender include masculine, feminine and neuter;
(c) any reference to “this Agreement” shall be a reference to this credit agreement as it may from time to time be amended, supplemented or otherwise modified in accordance with the provisions hereof;
(d) references to “herein”, “hereunder” and similar expressions shall be a reference to this Agreement and not to any particular section;
(e) unless otherwise noted, all references to “Section” refer to a section, subsection or paragraph of this Agreement, as the case may be;
(f) unless otherwise noted, all references to “Schedule” refer to a Schedule to this Agreement; and
(g) words and terms denoting inclusiveness (such as “include”, “includes” or “including”), whether or not so stated, are not limited by their context or by the words or phrases which precede or succeed them.

Wherever in this Charge the singular or masculine is used, the same shall be construed as meaning the plural or the feminine or the neuter where the context or the parties so require. The headings do not form part of this document and have been inserted for convenience of reference only. This Charge shall be interpreted, enforced and governed by the laws of the Province of Xxxxxx Xxxxxx Island. If any provision of this Charge shall be prohibited by or invalid under applicable law, such provision shall not invalidate the remaining provisions of this Charge. Nothing contained in this Charge shall require you to pay or for us to accept interest in an amount greater than that allowed by applicable law. In the event that the payment of interest or other amounts under this Charge would otherwise exceed the maximum amount allowed under applicable law or violate any laws as to disclosure or calculation of interest charges, then your obligations to pay interest or other charges shall be reduced or amended to the maximum rate or amount permitted under applicable law.
Interpretation and Headings. The definitions in Section 12 will apply equally to both the singular and plural forms of the terms defined. Whenever the context may require, any pronoun will include the corresponding masculine, feminine and neuter forms. The word “include” will be deemed to be followed by the phrase “without limitation.” All references herein to Sections, Exhibits and Schedules will be deemed to be references to Sections of, and Exhibits and Schedules to, this Agreement unless the context will otherwise require. The section headings contained in this Agreement are for convenience of reference only and shall not affect in any way the meaning or interpretation of this Agreement. Unless the context will otherwise require or provide, any reference to any agreement or other instrument or statute or regulation is to such agreement, instrument, statute or regulation as amended and supplemented from time to time (and, in the case of a statute or regulation, to any successor provision).
Interpretation and Headings. The Parties intend that this Agreement constitutes and should be deemed to be a "master netting agreement" and that the Parties are and should be deemed to be "master netting agreement participants" within the meaning of and as such terms are used in any law, rule, regulation, statute, or order applicable to the Parties' rights herein, whether now or hereafter enacted or made applicable. The use of headings and subheadings in this Agreement, and the division of this Agreement into sections and sub‑sections, are for convenience of reference only and shall not affect the interpretation or construction of this Agreement. The Parties further intend that this Agreement, the Underlying Master Agreements, all Transactions, and any guarantees provided in respect thereof, each and together constitute an "eligible financial contract" under and in all proceedings related to the BIA, the Companies' Creditors Arrangement Act, R.S.C. 1985, c.C-36 or the Winding-Up Act, R.S.C. 1985, c.W-11, as the same may be amended, restated, replaced, or re-enacted from time to time.
Interpretation and Headings. The language of this Agreement shall in all cases be simply construed according to its fair meaning and not strictly for or against any Party. Headings of the sections of this Agreement are for the purposes of convenience only and the words contained in such headings shall in no way be held to explain, modify, amplify, or aid in the interpretation, construction, or meaning of the provisions of this Agreement.
Interpretation and Headings. No provision of this Agreement, because of any ambiguity found to be contained herein, or for any other reason, shall be construed against a party by reason of the fact that such party or its legal counsel drafted that provision. Unless otherwise indicated elsewhere in this Agreement, (a) the term “or” shall not be exclusive, (b) the term “including” shall not be limiting and shall mean “including, but not limited to,” or “including without limitation” and (c) the terms “herein,” “hereof,” “hereto,” “hereunder,” “hereinafter,” and other terms similar thereto shall refer to this Agreement as a whole and not merely to the specific section, subsection, paragraph or clause where such terms may appear. Pronouns in the masculine, feminine or neuter genders shall be construed to include any other gender, and words in the singular form shall be construed to include the plural and vice versa, unless the context otherwise requires. Section, subsection and paragraph headings in this Agreement are included for convenience of reference only and shall not be considered in interpreting, construing or giving effect to any of the provisions of this Agreement.
Interpretation and Headings. References to Sections and Appendices are to be construed as references to the Sections of and Appendices to, this Agreement, unless otherwise indicated.
