JEPA’s Materials. The City acknowledges that any information and reports, including, without limitation, any engineering reports, architectural reports, feasibility reports, marketing reports, soils reports, environmental reports, analyses or data, or other similar reports, analyses, data or information of whatever type or kind which the City has received or may hereafter receive from the Facility Lease Landlord Parties (collectively, the “Landlord’s Materials”) have been furnished without warranty of any kind (other than that the JEPA has delivered true and correct copies of each of the items set forth on Exhibit E attached hereto (“JEPA Documents”)) and on the express condition that the City will make its own independent verification of the accuracy, reliability and completeness of such Landlord’s Materials and that the City will not rely thereon. Accordingly, subject to terms of Section 4.13(d)(iii) below, the City agrees that under no circumstances will it make any claim against, bring any action, cause of action or proceeding against, or assert any liability upon, the Facility Lease Landlord Parties or any of the Persons that prepared or furnished any of the Landlord’s Materials as a result of the inaccuracy, unreliability or incompleteness of, or any defect or mistake in, any such Landlord’s Materials, and the City hereby fully and forever releases, acquits and discharges the Facility Lease Landlord Parties and each Person furnishing such Landlord’s Materials of and from, any such claims, actions, causes of action, proceedings or liability, whether known or unknown (other than in connection with the JEPA’s breach of its representation and warranty set forth in this Section 4.13(d)(ii) that the JEPA has delivered to the City true and correct copies of each of the JEPA Documents set forth on Exhibit E attached hereto).

  • Customer Materials 12.1 The Supplier including any of its employees, agents, consultants, contractors and any third party shall:

  • Proprietary Materials Each of the Parties shall own its own intellectual property including without limitation all trade secrets, know-how, proprietary data, documents, and written materials in any format. Any materials created exclusively by IPS for the School shall be owned by IPS, and any materials created exclusively by Operator for the School shall be Operator’s proprietary material. The Parties acknowledge and agree that neither has any intellectual property interest or claims in the other Party’s proprietary materials. Notwithstanding the foregoing, materials and work product jointly created by the Parties shall be jointly owned by the Parties and may be used by the individual Party as may be agreed upon by both Parties from time to time.

  • Stored Materials The Department shall not be required to pay for materials stored at the site or stored at other locations absent prior written authorization to do so, which authorization may be withheld at the Department's sole discretion. If the Department expressly agrees to pay for materials stored at the site but not yet incorporated into the Work, the Application for Payment may also include a request for payment of the cost of such materials, if the materials have been delivered to the site, and suitably stored. Such requests shall be documented by appropriate invoices and bills of sale. Payment for stored materials shall be conditioned also on the Design-Builder’s representation that it has inspected the material and found it to be free from defect and otherwise in conformity with this Agreement, and on satisfactory evidence that the materials are insured under the builder’s risk policy. Further, if the Design-Builder requests the Department to allow payments for storage of materials offsite, the Design-Builder shall be required, inter alia, to agree to execution of proper documentation to afford the Department a secured interest in the materials upon payment.

  • Third Party Materials The Application may display, include, or make available third-party content (including data, information, applications, and other products, services, and/or materials) or provide links to third-party websites or services, including through third- party advertising ("Third-Party Materials"). You acknowledge and agree that Company is not responsible for Third-Party Materials, including their accuracy, completeness, timeliness, validity, copyright compliance, legality, decency, quality, or any other aspect thereof. Company does not assume and will not have any liability or responsibility to you or any other person or entity for any Third-Party Materials. Third-Party Materials and links thereto are provided solely as a convenience to you, and you access and use them entirely at your own risk and subject to such third parties' terms and conditions.

  • Licensed Materials The materials that are the subject of this Agreement are set forth in Appendix A ("Licensed Materials").

  • Technical Information The Employer agrees to provide to the Union such information that is available relating to employees in the bargaining unit, as may be required by the Union for collective bargaining purposes.

  • Operator Materials Operator retains all right, title and interest in and to any and all of Operator’s software, materials, tools, forms, documentation, training and implementation materials and intellectual property (“Operator Materials”). Operator grants to the LEA a personal, nonexclusive license to use the Operator Materials for its own non-commercial, incidental use as set forth in the Service Agreement. Operator represents that it has all intellectual property rights necessary to enter into and perform its obligations in this DPA and the Service Agreement, warrants to the District that the District will have use of any intellectual property contemplated by the Service Agreement free and clear of claims of any nature by any third Party including, without limitation, copyright or patent infringement claims, and agrees to indemnify the District for any related claims.

  • Training Materials Training Materials will be provided for each student. Training Materials may be used only for either (i) the individual student’s reference during Boeing provided training and for review thereafter or (ii) Customer’s provision of training to individuals directly employed by the Customer.

  • Anonymous Materials Other than routine personnel forms, no anonymous materials shall be placed in an employee's official personnel file.

  • COPYRIGHTED MATERIALS Dental Group hereby grants Manager the right to --------------------- use any and all copyrighted materials authored or owned by Dental Group including, specifically, the Dental Group dental management system software programs (the "Programs"). This license includes the right to sublicense the Programs and the right to prepare and own derivative works based on the Programs, all without a duty of accounting to Dental Group. Dental Group shall execute all documents required to enable Manager to own, use and exploit all such rights.
