Joint Obligations of the Parties. (a) The parties shall jointly, at the commencement of this Agreement and prior to each anniversary thereof, develop an Annual Business Plan. The Annual Business Plan will contain the following for the next twelve-month period: (i) a general marketing plan including, without limitation, the terms on which ADA 249 will be marketed to Customers; (ii) an estimate of the expenses to be absorbed by each party in connection with the Joint Venture; (iii) a list of the employees of each party who will devote time to the Joint Venture, a good-faith estimate of the time to be devoted and general performance standards; and (iv) a Budget, which details the estimated revenues and expenses of the Joint Venture. (b) The parties shall jointly perform such other actions, consistent with this Agreement, that may be necessary to implement the Annual Business Plan.
Joint Obligations of the Parties. (A) The City and the Company agree to cooperate to review existing planning, management and operations practices for the Systems, including energy consumption and usage patterns, and to attempt to devise strategies to increase efficiencies and reduce costs. (B) The City and the Company agree to cooperate to review the City's capital investment needs, infrastructure requirements and methods of evaluating the Systems to attempt to increase efficiencies and reduce costs for Capital Improvements and Major Repairs. (C) The City and the Company agree to cooperate in a review of the City's tariff design to determine its effectiveness in equitably charging customers for their usage. (D) The City and the Company will establish a formal Operations Committee, consisting of the Authorized Representative of the City, Systems Director(s) and two (2) added employees of the Company or its affiliated companies (at least one of whom must be an officer of the Company), which will meet, with a frequency to be determined by the parties (e.g. monthly), to discuss issues related to the operation, maintenance and management of the Systems; to receive and review reports; and to confer generally as a means of enhancing communication between the City and the Company. In addition to such meetings, representatives of the Company will be available to meet with the Mayor, City Business Administrator and members of the governing body of the City or their authorized representatives, as reasonably requested by the City.

Neither Party shall seek payment of the costs associated with implementation of the System from the other Party. 3. The Parties shall ensure that this agreement is executed by an individual who has the authority to legally bind the entity for which the signature is being applied.

In the event any Party to this Agreement receives information regarding any Active Assailant Hostile Event or Public Safety Emergency involving an imminent threat to life or great bodily harm to any person, or any other emergent situation where a delayed response is detrimental to public and/or officer safety, and is unsure of the city or department to which such incident should be directed, such Party shall broadcast the incident location, nature and any other relevant information to SHERIFF's primary radio dispatch channel designated pursuant to the terms of this Agreement.
