Kill Fees. The following fees may apply only in cases where full payment is to be made upon completion of the Freelance Contributor’s work: If, during any time of the production of the work, the Corporation determines that the idea is not feasible or possible, the Corporation agrees to pay the freelance contributor a minimum of twenty percent (20%) of the contracted fee. Nothing in this Article shall preclude the parties from negotiating a greater percentage of the contracted fee. In the event the Corporation decides not to use a contribution after the Freelance Contributor has completed it according to the specifications agreed to by the parties, the Corporation shall pay one hundred percent (100%) of the contracted fee. However, no pyramiding of payments or double payments are allowed under this clause.

Kill Fees. Once a License is granted pursuant to an agreed SOW, Publisher shall remain responsible for 100% of the License fee specified in the relevant SOW, even if Publisher does not ultimately use the Licensed Materials for the Permitted Uses, unless a lower “kill fee” is specified in the SOW. If a lower “kill fee” is specified in the SOW, then if Publisher decides not to use the Licensed Materials for the Permitted Uses, then only the lower “kill fee” will be due to Contributor. If a lower “kill fee” is specified, in no event will the kill fee be less than 60% of the originally agreed upon License fee.

  • Referral Fees If the CLIENT was introduced to the ADVISER through a Solicitor, the ADVISER may pay that Solicitor a referral fee in accordance with Rule 206(4)-3 of the Investment Advisers Act of 1940. The referral fee shall be paid solely from Adviser Compensation as defined in this Agreement, and shall not result in any additional charge to the CLIENT. The CLIENT acknowledges receipt of the written disclosure statement disclosing the terms of the solicitation arrangement between the ADVISER and the Solicitor, including the compensation to be received by the Solicitor from the ADVISER.

  • Hourly Fees Fees for work performed by Consultant on an hourly basis shall not exceed the amounts shown on Exhibit B.

  • Monthly Fees ACS will xxxx Customer each month during the term of this Agreement based on number of "Actions" which occurred during the prior month. The definition of "Actions" and fees for each Action will be documented in each Task Order. Customer shall cause ACS to be paid the foregoing fees on a monthly basis within thirty (30) days of ACS' delivery of an invoice for the preceding month's Actions.

  • Legal Fees The parties hereto agree that the non-prevailing party in any dispute, claim, action or proceeding between the parties hereto arising out of or relating to the terms and conditions of this Agreement or any provision thereof (a “Dispute”), shall reimburse the prevailing party for reasonable attorney’s fees and expenses incurred by the prevailing party in connection with such Dispute; provided, however, that the Director shall only be required to reimburse the Company for its fees and expenses incurred in connection with a Dispute if the Director’s position in such Dispute was found by the court, arbitrator or other person or entity presiding over such Dispute to be frivolous or advanced not in good faith.

  • Program Fees Stripe will provide the Issuing Platform Services to you and the Stripe Issuing Services to Stripe Issuing Accountholders at the rates and for the fees described on the Stripe Pricing Page, unless you and Stripe otherwise agree in writing. In addition to the fees, you are also responsible for any penalties imposed on you or Stripe in relation to your use of the Issuing Platform Services. Fees and penalties may include periodic fees, foreign transaction fees, penalties for misuse, funds transfer fees, account maintenance fees, Card issuance or replacement fees, and penalties for late or failed payments. All fees or penalties you owe are in addition to amounts owed for Card Transactions and Card accounts associated with each Stripe Issuing Account.   • Additional Fees The Borrower has agreed to pay to the Administrative Agent and the Arranger additional fees, the amount and dates of payment of which are embodied in the Fee Letter.
