Lawsuits, Proceedings, etc. Except as disclosed to Seller in Schedule W there is no action or proceeding (whether or not purportedly on behalf of the Buyer) pending or threatened against the Buyer, nor, to the best knowledge of Buyer, does there exist any basis therefor, which might result in any adverse change in the condition, financial or otherwise, of the Buyer's Business or Assets. No order, writ, or injunction or decree has been issued by, or requested of, any court or governmental agency which does or may result in any adverse change in the Buyer's Assets or properties or in the financial condition of the Buyer or its Business. The Buyer is not liable for damages to any employee or former employee as a result of any violation of any state or federal laws directly or indirectly relating to such employee or former employee.

Seller is not a party to any action or proceeding, nor has it been threatened with any such action or proceeding, nor, to the best of Seller's knowledge, does there exist any basis therefor, which will or could have an adverse effect on the condition, financial or otherwise, of the Assets or the Business. No order, writ, injunction or decree has been issued by, or requested of, any court or governmental agency which does or may result in any adverse change in the Assets or in the financial condition of the Business. To the best of Seller's knowledge, Seller is not liable for damages to any employee or former employee of the Business as a result of violation of any foreign, state or federal laws directly or indirectly relating to such employee or former employee.
