Lease Issues. There are no legal proceedings commenced (or, to the best of the knowledge of the Borrower, threatened) against Borrower by any Existing Tenant; no rental in excess of one month's rent has been prepaid under any of the Existing Leases; each of the Leases is valid and binding on the parties thereto in accordance with its terms; and the execution of this Instrument and the other Loan Documents will not constitute an event of default under any of the Existing Leases.
Lease Issues. Except as set forth on Schedule 4.7(C), there are no legal proceedings commenced (or, to the knowledge of the Borrowers, threatened) against any Borrower or Affiliate thereof by any tenant or former tenant. No rental in excess of one month's rent has been prepaid under any of the Leases (except for security deposits and estimated additional rent amounts paid on account of operating expenses, taxes and other expense escalations or pass-throughs). Each of the Leases is valid and binding on the parties thereto in accordance with its terms.
Lease Issues. There are no legal proceedings commenced (or, to the best of the knowledge of Lessee, threatened) against Lessee by any tenant or former tenant. No rental in excess of one month's rent has been prepaid under any of the Residency Agreements or any material leases. Each of the Residency Agreements and any material leases is valid and binding on the parties thereto in accordance with its terms. The execution of this Agreement and the other Transaction Documents will not constitute an event of default under any of the Residency Agreements or any Leases.
Lease Issues. There are no material legal proceedings commenced (or, to the knowledge of the Borrower, threatened in writing) against any Individual Borrower by any Tenant or former Tenant under a Material Lease. No Individual Borrower has received any written lease termination notices or lease extension notices from any Tenant under a Material Lease, nor any written notice that any Tenant under a Material Lease is a debtor in a bankruptcy or insolvency proceeding. Each of the Material Leases is valid and binding on Borrower and, to Borrower’s knowledge, such other parties thereto in accordance with its terms. The execution of this Agreement and the other Loan Documents will not constitute an event of default under any of the Leases.
Lease Issues. 12.1 Buyer hereby approves all of the leases attached hereto as Exhibit V (the "Approved Leases"), such that there shall be no adjustment on the New Closing Date pursuant to SECTION 8.3 of the P&S Agreement with respect to any Approved Lease.

Lease Issues. 5.1 Ground Leases, Ownership, and Mortgages. Cass-Mill represents and warrants that Exhibit 5.1 contains: (1) true and correct copies of all leases pertaining to Leased Property, (the "Ground Leases"), (ii) true and correct copies of the deed to the Owned Property and any encumbrances upon the Owned Property, and (iii) any true and correct copies of any mortgage upon either the Leased or Owned Properties.
Lease Issues. Except as set forth on Schedule 4.9, there are no legal ------------ ------------ proceedings commenced (or, to the knowledge of Borrower, threatened) against Borrower or any Affiliate thereof and, to Borrower's knowledge, no legal proceedings have been commenced or threatened against Lessee or any Affiliate thereof, by any tenant or patient or former tenant or patient except for any such proceedings as are fully covered by insurance (except to the extent of commercially reasonable deductibles) or which if adversely determined would not have a Property Adverse Effect. No rental in excess of one month's rent has been prepaid under any of the Leases entered into by Borrower (except for security deposits and estimated additional rent amounts paid on account of operating expenses, taxes and other expense escalations or pass-throughs and certain rents which were prepaid as of the date of the Original Master Lease (as defined in the Master Lease)). Each of the Leases entered into by Borrower is valid and binding on the parties thereto in accordance with its terms.
Lease Issues. Matters raised with respect to charges for electrical usage in that certain letter dated April 8, 1998 from Xxxx X. Xxxxxxxx, of Xxxxxxxx Xxxxxxxxx. REQUIREMENTS OF INSURANCE UNDERWRITERS July 17, 1997 letter from Industrial Risk Insurers to Xxxxxxx Xxxxxxx and attached Loss Prevention Survey. SCHEDULE 15.23 GOVERNMENTAL ACTIONS See New Jersey Authority Application attached regarding proposed Route 92. SCHEDULE 15.24 LEASING COMMISSIONS Commission Agreement with Xxxxx & Xxxxx Company and Xxxxxxx Xxxxx Location Services with respect to the Xxxxxxx Xxxxx Asset Management, L.P. lease (copy attached). Also attached hereto is a copy of the leasing commission provisions of the Management Agreement with Xxxx Real Estate Services which Management Agreement shall be terminated by Seller effective as of the date of Closing. There are no leasing commissions due to Xxxx Real Estate Services as of the date hereof or hereafter. SCHEDULE 15.28 AUDITS AND PROCEEDINGS NONE

The Prepaid Rents set forth on Schedule 6.8 are true, accurate and complete. Each of the Leases is valid and binding on the parties thereto in accordance with its terms.
