License Grant Back. Purchaser hereby grants to Seller a royalty-free, fully paid-up, irrevocable, non-transferable, non-exclusive worldwide license to make, have made, use, sell, offer to sell, import and export any product or process (or use thereof) that is covered by or claimed or embodied in any of the Patents.
License Grant Back. In consideration for the forgoing assignment of the Additional Inventions, and subject to the terms of this Agreement, SDP hereby grants to LPI the worldwide, exclusive, royalty-free, paid-up, and irrevocable license right to use the Subject Patent Rights for LPI to use to develop, make, have made, use, sell and import products and to practice methods and processes, only within the Permitted Fields (as defined below).
License Grant Back. Subject to the terms and conditions of the Agreement, the Diversion Authority hereby grants to HMG a non-exclusive, transferable, royalty-free license to utilize the concepts, methods, techniques, processes, protocols, ideas, inventions, know- how, trade secrets, algorithm, software and hardware architecture, and other background technologies that are newly developed by HMG under the Agreement and assigned to the Diversion Authority under this Agreement, to make, have made, use, reproduce, license, display, perform, distribute, sell, offer for sale, service, support, import, and otherwise disposed of any products, technologies, and services and for any purposes without restriction.
License Grant Back. Subject to the terms and conditions of the Agreement, the Owner hereby grants to Consultant a non-exclusive, transferable, royalty-free license to utilize the concepts, methods, techniques, processes, protocols, ideas, inventions, know-how, trade secrets, algorithm, software and hardware architecture, and other background technologies that are newly developed by Consultant under the Agreement and assigned to the Owner under this Agreement, to make, have made, use, reproduce, license, display, perform, distribute, sell, offer for sale, service, support, import, and otherwise disposed of any products, technologies, and services and for any purposes without restriction.
License Grant Back. Subject to the terms and conditions of this Agreement and during the term hereof, Ventana hereby grants to AccuMed a non-exclusive, worldwide, non-sublicensable, royalty-free license, but only outside of the --------------- [***] Confidential treatment has been requested for the bracketed portion. The confidential redacted portion has been omitted and filed separately with the Securities and Exchange Commission.
License Grant Back. CIBA Vision hereby grants to MGI an irrevocable, nonexclusive, royalty-free right and license, with right of sublicense, under (i) all Proprietary Product Information developed by CIBA Vision or its Sublicensees during the term of this Agreement; and (ii) all Patents and Know-How conceived and reduced to practice by CIBA Vision or its Sublicensees during the term of this Agreement in connection with the use, sale or manufacture of Licensed Products, except for Patents and Know-How developed by CIBA Vision or its Sublicensees without use of MGI Confidential Information, as shown by reasonable proof; to apply for Marketing Authorizations for the Licensed Products in respect of each country outside the Territory, for all Indications, to market, promote and sell the Licensed Products in each country outside the Territory pursuant to such Marketing Authorizations and to manufacture or have manufactured Licensed Products anywhere in the world. Such right and license shall include the right to refer, in any application for Marketing Authorization for the Licensed Products in respect of any country outside the Territory, to any and all Health Registration Dossiers which CIBA Vision shall establish with Competent Authorities in the Territory.
License Grant Back. Licensee hereby grants to Giosis and its Affiliates:
(a) a fully-paid, royalty-free, irrevocable, perpetual (except as may be terminated pursuant to Section 6.3(c)), non-transferrable (except as provided in Section 10.4), nonexclusive license, to use, reproduce, modify, create derivative works of, display, perform, and distribute all Improvements, whether or not disclosed or provided to Giosis; and
(b) a fully-paid, royalty-free, irrevocable, perpetual (except as may be terminated pursuant to Section 6.3(c)), non-transferable (except as provided in Section 10.4), nonexclusive license, until the expiration of the last to expire of all claims under the Licensee Improvement Patents, under the Licensee Improvement Patents, to: (i) use, make, have made, sell, offer to sell, and import any product or service; (ii) use any method or process in manufacturing any product or providing any service; (iii) use and perform any method or process; and (iv) otherwise practice the claimed inventions in every manner.
License Grant Back. Licensee hereby grants to Licensor an exclusive license in Russia to utilize Licensee’s, its Affiliates’ or sublicensees’ improvements to Licensed Technology, to use, make, have made, sell or offer to sell all products and/or processes and/or services, with full right to grant sublicenses, subject to Licensor paying to Licensee a royalty on Net Sales which utilize said improvements, at the same royalty rates as specified in Section 4 hereof. All other terms of this Agreement which are applicable to Licensee shall be applicable to Licensor, as a licensee to use the improvements in Russia with respect to this section 9.2.2, specifically including items in Sxxxxxxx 0, 0, 0, 0 (xx Xxxxxx), 11 and 12.
License Grant Back. Assignee hereby grants to Assignor a fully paid-up, royalty-free, perpetual, exclusive (including as to Assignee) license with the right to grant sublicenses (through multiple tiers and to Affiliates and third parties), in, to, and under the Assigned Intellectual Property to exploit the Assigned Intellectual Property in any and all fields except the Excluded Field (“Excluded Field” defined herein as use of the Test for the risk stratification of Indeterminate Pulmonary Nodules in patients in the United States, and, solely in the event that Assignee exercises its option to the Screening Indication (as defined in the PCA) pursuant to the PCA, Excluded Field shall also include use of the Test in the United States to screen patients in an identified at risk group for the presence of lung cancer). For the avoidance of doubt, Assignee shall not have the right to exploit the Assigned Intellectual Property for any purpose in any field other than the Excluded Field. For the sake of clarity, the license granted herein provides Assignor sufficient rights to engage in the Continued Operations.

Subject to the terms and conditions of this Agreement, the City hereby grants to the Engineering Consultant a non-exclusive, transferable, royalty-free license to utilize the concepts, methods, techniques, processes, protocols, ideas, inventions, know-how, trade secrets, algorithm, software and hardware architecture, and other background technologies that are newly developed by the Engineering Consultant under this Agreement and assigned to the City under this Agreement, to make, have made, use, reproduce, license, display, perform, distribute, sell, offer for sale, service, support, import, and otherwise disposed of any products, technologies, and services and for any purposes without restriction.
