Licensed Software Modules Clause Samples
The 'Licensed Software Modules' clause defines which specific components or modules of a software product are included under the terms of the license agreement. Licensed Software Modules. Subject to the terms and conditions of this Agreement, DSPGI, on behalf of itself and the Transferring Entities, hereby grants to Ceva, its successors and assigns, and its and their current and future Affiliates a nonexclusive, perpetual, irrevocable, royalty-free, worldwide right and license, under the intellectual property rights of the Transferring Entities in and to the Licensed Software Modules and Licensed Chip Modules, to prepare derivative works of and otherwise modify, reproduce, and otherwise use such Licensed Software Modules and Licensed Chip Modules solely for internal use by Ceva, its successors and assigns, and its and their current and future Affiliates, for research and development (e.g., testing, benchmarking, etc.) of its and their own respective products. The parties agree to discuss in good faith broadening the scope of the license granted in this Section 6.1 to allow Ceva to sell and otherwise distribute particular Licensed Software Modules and Licensed Chip Modules on a case-by-case basis upon mutually agreeable terms and conditions.
Licensed Software Modules. “Licensed Software Modules” shall mean (a) the software modules set forth in item G.1 of Exhibit G to this Agreement, and (b) the database set forth in item G.3 of Exhibit G to this Agreement.
Licensed Software Modules. 17.2.1 Clearwell Pre-Processing, Processing & Analysis and Review Modules: If the License Instrument indicates that You have received a license for any of the following: Clearwell Pre-Processing, Processing & Analysis and Review module (“PPAR”), the Clearwell Pre-Processing, Processing & Analysis module (“PPA”), the Clearwell Pre-Processing Module, or the Clearwell Review Module, You may use the Licensed Software for up to the number of Gigabytes or Terabytes of uncompressed data processed, analyzed and revised in active cases as indicated on Your License Instrument. In addition, unless Your License Instrument indicates You have purchased the Single Use Option, You may delete or archive existing cases in order to reuse processing and analysis capacity for new cases, as long as the total data processed, analyzed and reviewed concurrently does not exceed the number of Gigabytes or Terabytes licensed as indicated on Your License Instrument. If Your License Instrument indicates You have purchased the Single Use Option, You may not delete or archive existing cases in order to reuse processing and analysis capacity for new cases and each case, once processed, counts toward the overall number of Gigabytes or Terabytes licensed as indicated on Your License Instrument. If You license more than one Module, Your license for each Module must be for the same amount of Gigabytes or Terabytes. If Your license is a subscription based license, Your use is limited to the term specified in the License Instrument.
