Loss or Damage Claims. The Customer is responsible for reporting lost or damaged deliverables as a result of improper packaging and/or handling to Aqua-Metric within fifteen (15) business days. Claims will become void if made more than fifteen (15) business days after the product has left Aqua-Metric facilities. Damaged product(s) will be returned to Aqua-Metric for inspection. Aqua-Metric reserves the right to repair or replace product(s) damaged in shipment.
Loss or Damage Claims. If your household goods are damaged during transportation and/or storage, you are insured for the full replacement value of your household goods up to fifty-thousand ($50,000.00) dollars. You must pre-designate your valuable possessions (e.g., antiques, original art work) along with the corresponding appraised value for each item prior to your actual move date. We recommend that you discuss these items with the approved carrier to ensure that they will be insured during the move. You may be required to pay for insurance for extraordinary items that are above and beyond a reasonable cost. Coverage of stored goods is limited to sixty (60) days and must be in the care, custody, and control of the original moving company responsible for your household goods. If damage does occur during storage or the move, you will be required to file an insurance claim through the moving coordinator as soon as you notice the damage. Annex B-3
Loss or Damage Claims. Loss or damage claims attributable to TSP’s performance must be acknowledged and settled in accordance with Federal and Texas law. Information used by TFC to file a single or aggregate claim against a TSP could include, but is not limited to: (i) reports; (ii) records; or (iii) historical agency/organization files. If TFC files an aggregate claim against an individual TSP, each item must be settled and reported on separately by TSP. For example, the claim must have an amount requested with the supporting documentation for each claim on the aggregate filing. TSP shall provide an initial report in writing to the TFC Contract Administrator no later than the first business day after the incident, detailing any event of major significance that produces substantial loss, damage, or delay to a shipment(s), such as theft or seizure of shipment, strikes, embargoes, fires, or other similar incidents. TSP shall follow up the initial report with a detailed written report that includes an assessment of the loss or damage, delays encountered, and final disposition of the property. The following is the required information: (i) type of incident; (ii) location of incident; (iii) description of any hazardous cargo; (iv) FAD date issued; (v) FAD issuing person; (vi) origin; (vii) destination; (viii) date shipment received by TSP; (ix) required delivery date, if applicable; (x) date and time of incident; (xi) estimated amount of loss and extent of damage; (xii) current status of shipment(s), including new estimated time of arrival; (xiii) location of shipments, if applicable; and (xiv) copy of police report, if applicable. If TSP claims TFC’s actions damaged a trailer, it is the responsibility of TSP to provide the evidence to support the claim. If freight is separated from TSP, the TSP will contact the TFC Contract Administrator within twenty-four (24) hours for further instructions.
Loss or Damage Claims. Should a shipment arrive at Vendor’s customer’s address in damaged or pilfered condition, such event must be reported immediately to Manufacturer. Should Vendor fail to so report after the passage of 3 calendar days from delivery, no claim for replacement of such product will be honored. If a timely claim of loss or damage is made by Vendor, Manufacturer will replace and ship the product in question and charge the Vendor the MWP thereof, plus shipping charges. A credit for the claimed damaged or lost product will be processed upon Manufacturer’s receipt of the returned product. • Bad Address. It is the Vendor’s responsibility to provide with its order to the Manufacturer a current, correct, deliverable and complete address to which it wishes its order Drop Shipped. Should a shipment be returned to Manufacturer because the address given was incorrect or an undeliverable address, Manufacturer will reship the product to the corrected address provided by the Vendor and charge Vendor to reship the product at its standard rates, as applicable. If a corrected address is not promptly provided by the Vendor, the subject product will be replaced to inventory and a 25% restocking charge will be debited to Vendor’s credit card(s) on file.

  • Breach of Contract Claims [Option (Include if University prefers an abbreviated Breach of Contract Claims provision): To the extent that Chapter 2260, Texas Government Code, is applicable to this Agreement and is not preempted by other applicable law, the dispute resolution process provided for in Chapter 2260 and the related rules adopted by the Texas Attorney General pursuant to Chapter 2260, will be used by University and Contractor to attempt to resolve any claim for breach of contract made by Contractor that cannot be resolved in the ordinary course of business. The chief business officer of University will examine Contractor's claim and any counterclaim and negotiate with Contractor in an effort to resolve the claims. The parties specifically agree (i) neither execution of this Agreement by University nor any other conduct, action or inaction of any representative of University relating to this Agreement constitutes or is intended to constitute a waiver of University’s or the state's sovereign immunity to suit; and (ii) University has not waived its right to seek redress in the courts.] 19.1 To the extent that Chapter 2260, Texas Government Code, as it may be amended from time to time (Chapter 2260), is applicable to this Agreement and is not preempted by other Applicable Laws, the dispute resolution process provided for in Chapter 2260 will be used, as further described herein, by University and Contractor to attempt to resolve any claim for breach of contract made by Contractor: 12.19.1.1 Contractor’s claims for breach of this Agreement that the parties cannot resolve pursuant to other provisions of this Agreement or in the ordinary course of business will be submitted to the negotiation process provided in subchapter B of Chapter 2260. To initiate the process, Contractor will submit written notice, as required by subchapter B of Chapter 2260, to University in accordance with the notice provisions in this Agreement. Contractor's notice will specifically state that the provisions of subchapter B of Chapter 2260 are being invoked, the date and nature of the event giving rise to the claim, the specific contract provision that University allegedly breached, the amount of damages Contractor seeks, and the method used to calculate the damages. Compliance by Contractor with subchapter B of Chapter 2260 is a required prerequisite to Contractor's filing of a contested case proceeding under subchapter C of Chapter 2260.   • Product Liability Claims As soon as it becomes aware, each party will give the other prompt written notice of any defect or alleged defect in a Product, any injury alleged to have occurred as a result of the use or application of a Product, and any circumstances that may give rise to litigation or recall of a Product or regulatory action that may affect the sale or manufacture of a Product, specifying, to the extent the party has such information, the time, place and circumstances thereof and the names and addresses of the persons involved. Each party will also furnish promptly to the other copies of all papers received in respect of any claim, action or suit arising out of such alleged defect, injury or regulatory action.

  • Third Party Claims Each Notice of Claim given by Acquiror, which involves a third party (a “Third Party Claim”), shall be resolved as follows: (a) If, within thirty (30) days after a Notice of Claim is delivered to the Seller Representative, (x) the Seller Representative produces a notice of election and (y) such notice of election includes a written acknowledgment from the Seller Representative on behalf of the Seller Guarantors and the Sellers (the “Indemnifying Persons”) that the Indemnifying Persons would be required to indemnify the Acquiror Indemnified Persons for all Damages in connection with such Third Party Claim Notice, the Indemnifying Persons shall have the right, but not the obligation to (i) take control of the defense and investigation of such Third Party Claim, (ii) employ and engage attorneys of their own choice (subject to the approval of Acquiror, such approval not to be unreasonably withheld, conditioned or delayed) to handle and defend the same, at the Indemnifying Persons’ sole cost and expense, and (iii) compromise or settle such Third Party Claim, which compromise or settlement shall be made only with the written consent of Acquiror; provided, that such consent will not be required if such settlement includes an unconditional release of the Acquiror Indemnified Persons and provides solely for payment of monetary damages for which the Acquiror Indemnified Persons will be indemnified in full. Notwithstanding the foregoing, the Indemnifying Persons shall not have the right to assume the defense of a Third Party Claim if (1) the Indemnifying Persons fail to actively and diligently conduct the defense of the Third Party Claim (after notice and reasonable opportunity to cure), (2) the Acquiror Indemnified Persons have received advice from counsel that an actual or potential conflict exists between the Acquiror Indemnified Persons and the Indemnifying Persons in connection with the defense of such Third Party Claim, (3) such Third Party Claim seeks a finding or admission of a violation of any criminal Law by an Acquiror Indemnified Person, (4) such Third Party Claim seeks an injunction or other equitable remedies in respect of an Acquiror Indemnified Person or its business, (5) such Third Party Claim relates to a Material Customer or Material Supplier, or (6) such Third Party Claim is reasonably likely to result in Damages that, taken with any other then existing claims under this Article 12, would not be not be fully indemnified hereunder. (b) In the event that the Indemnifying Persons defend the Acquiror Indemnified Persons against a Third Party Claim, the Acquiror Indemnified Persons shall cooperate in all reasonable respects, at the Indemnifying Persons’ request, with the Indemnifying Persons and their attorneys in the investigation, trial and defense of such Third Party Claim and any appeal arising therefrom, including, if appropriate and related to such Third Party Claim, in making any counterclaim against the third party claimant, or any cross complaint against any Person, in each case, at the expense of the Indemnifying Persons. The Acquiror Indemnified Persons may, at their own sole cost and expense, monitor and further participate in (but not control) the investigation, trial and defense of such Third Party Claim and any appeal arising therefrom. (c) Notwithstanding anything to the contrary herein, if the Indemnifying Persons do not assume such defense and investigation or does not acknowledge in writing within thirty (30) days after receipt of the Third Party Claim Notice its obligation to indemnify the Acquiror Indemnified Persons against any Damages arising from such Third Party Claim, then the Acquiror Indemnified Persons shall have the right to retain separate counsel of their choosing, defend such Third Party Claim and have the sole power to direct and control such defense (all at the cost and expense of the Indemnifying Persons if it is ultimately determined that the Acquiror Indemnified Persons are entitled to indemnification hereunder); it being understood that the Acquiror Indemnified Persons’ right to indemnification for a Third Party Claim shall not be adversely affected by assuming the defense of such Third Party Claim. Notwithstanding anything herein to the contrary, whether or not the Indemnifying Persons shall have assumed the defense of such Third Party Claim, the Acquiror Indemnified Persons shall not settle, compromise or pay such Third Party Claim for which they seeks indemnification hereunder without the prior written consent of the Indemnifying Persons, which consent shall not be unreasonably withheld, conditioned or delayed. (d) The Acquiror Indemnified Persons and the Indemnifying Persons shall use commercially reasonable efforts to avoid production of confidential information (consistent with Law), and to cause all communications among employees, counsel and others representing any party to a Third Party Claim to be made so as to preserve any applicable attorney-client or work-product privileges. (e) Notwithstanding anything to the contrary in this Agreement, Section 8.1(d) shall exclusively govern S Corporation Tax Proceedings.
