Lost in Hole. In the event a Tool is “lost in hole”, Xxxxxxxx will repay SDI for the SDI “lost in hole” list price value of the Tools (including any shipping and import costs paid by SDI for the Tools lost). Xxxxxxxx will markup “lost in hole” pricing quoted to customers for each market to cover landed costs and taxes for the revenue generated by the event. Any additional “lost in hole” charge obtained from the client above and beyond the SDI list price (landed cost) will be split between SDI and Xxxxxxxx in accordance with their Participating Interest.

Lost in Hole. If Contractor’s Equipment are lost in the well hole, and to the extent such loss is not caused by the Gross Negligence or Willful Misconduct of Contractor Group, Operator shall, at its sole option, either endeavor to recover same without cost to Contractor or repair or replace such equipment or instruments, less depreciation. Depreciation shall be calculated monthly from the original purchase date at a rate of two percent (2%) per month up to a maximum of fifty percent (50%).
Lost in Hole. Notwithstanding Article 11.1.1, Client shall be responsible for, and shall save, defend, indemnify and hold harmless Excellence Logging Group from and against loss of, damage to or destruction of Excellence Logging Group's equipment, irrespective of cause, which occurs (i) whilst in-hole below the rotary table/when in the well, other than normal wear and tear, or (ii) during transport by or on behalf of Client or (iii) under Client's control at the worksite. Client shall attempt to recover such equipment at Client's sole risk and expense. Client shall reimburse Excellence Logging, at Excellence Logging discretion, the cost of repair of such equipment, or its replacement value.

  • Lost ADRs, etc In case any ADR shall be mutilated, destroyed, lost, or stolen, the Depositary shall execute and deliver a new ADR of like tenor at the expense of the Holder (a) in the case of a mutilated ADR, in exchange of and substitution for such mutilated ADR upon cancellation thereof, or (b) in the case of a destroyed, lost or stolen ADR, in lieu of and in substitution for such destroyed, lost, or stolen ADR, after the Holder thereof (i) has submitted to the Depositary a written request for such exchange and substitution before the Depositary has notice that the ADR has been acquired by a bona fide purchaser, (ii) has provided such security or indemnity (including an indemnity bond) as may be required by the Depositary to save it and any of its agents harmless, and (iii) has satisfied any other reasonable requirements imposed by the Depositary, including, without limitation, evidence satisfactory to the Depositary of such destruction, loss or theft of such ADR, the authenticity thereof and the Holder’s ownership thereof.

  • Lost or Stolen Checks The Transfer Agent will replace lost or stolen checks issued to shareholders upon receipt of proper notification and will maintain any stop payment orders against the lost or stolen checks as it is economically desirable to do.

  • Partial Damage to Property (a) Tenant shall notify Landlord in writing immediately upon the occurrence of any damage to the Property. If the Property is only partially damaged (i.e., less than fifty percent (50%) of the Property is untenantable as a result of such damage or less than fifty percent (50%) of Tenant's operations are materially impaired) and if the proceeds received by Landlord from the insurance policies described in Paragraph 4.04(b) are sufficient to pay for the necessary repairs, this Lease shall remain in effect and Landlord shall repair the damage as soon as reasonably possible.   • Consequential Damages Neither party to this Agreement shall be liable to the other party for special, indirect or consequential damages under any provision of this Agreement or for any special, indirect or consequential damages arising out of any act or failure to act hereunder.

  • Lost, Stolen or Mutilated Warrant If this Warrant is lost, stolen, mutilated or destroyed, the Company will, on such terms as to indemnity or otherwise as it may reasonably impose (which shall, in the case of a mutilated Warrant, include the surrender thereof), issue a new Warrant of like denomination and tenor as this Warrant so lost, stolen, mutilated or destroyed.

  • LOSS OR DAMAGE Lessee hereby assumes and shall bear the entire risk of any loss, theft, damage to, or destruction of, any unit of Equipment from any cause whatsoever from the time the Equipment is shipped to Lessee.

  • INDIRECT/SPECIAL/CONSEQUENTIAL DAMAGES Notwithstanding any other provision set forth herein, in no event shall the Custodian be liable for any special, indirect, incidental, punitive or consequential damages of any kind whatsoever (including, without limitation, lost profits) with respect to the services provided pursuant to this Agreement, regardless of whether either party has been advised of the possibility of such damages.
