Mail Handling. (a) To the extent that Purchaser and/or any of its Subsidiaries receives any mail or packages addressed to any Seller Parent, any Other Seller or Seller or its Subsidiaries and delivered to Purchaser not relating to the Business, the Purchased Subsidiary Interests, the Purchased Assets, the Transferred Business Intellectual Property, the Transferred Intellectual Property Rights or the Assumed Liabilities, Purchaser shall promptly deliver such mail or packages to Seller. After the Closing Date, Purchaser may deliver to Seller any checks or drafts made payable to Seller Parent, the Other Sellers, Seller or its Subsidiaries that constitutes a Purchased Asset, and Seller shall promptly deposit such checks or drafts, and, upon receipt of funds, reimburse Purchaser within five Business Days for the amounts of all such checks or drafts, or, if so requested by Purchaser, endorse such checks or drafts to Purchaser for collection. To the extent any Seller Parent, any Other Seller, Seller or its Subsidiaries receives any mail or packages addressed and delivered to Seller Parent, any Other Seller, Seller or its Subsidiaries but relating to the Business, the Purchased Subsidiary Interests, the Purchased Assets or the Assumed Liabilities, Seller shall promptly deliver such mail or packages to Purchaser. After the Closing Date, to the extent that Purchaser receives cash or checks or drafts made payable to Purchaser that constitutes an Excluded Asset, Purchaser shall promptly use such cash to, or deposit such checks or drafts and upon receipt of funds from such checks or drafts, reimburse Seller within five Business days for such amount received, or, if so requested by Seller, endorse such checks or drafts to Seller for collection. The Parties may not assert any set-off, hold-back, escrow or other restriction against any payment described in this Section 6.15.

Mail Handling. Effective as of the Closing Date, Buyer shall have the right to open all mail and packages addressed to Seller and delivered to Buyer Group relating to the Business. To the extent Buyer Group receives any mail or packages addressed to Seller and delivered to Buyer Group not relating to the Business, Buyer Group shall promptly deliver such mail or packages to Seller. After the Closing Date, Buyer Group may deliver to Seller any checks or drafts made payable to Seller received on account of any Receivables or other Assets constituting a right to receive payment, Seller shall promptly deposit such checks or drafts, and, upon receipt of funds, reimburse Buyer Group within five (5) business days for the amounts of all such checks or drafts, or, if so requested by Buyer Group, endorse such checks or drafts to Buyer Group for collection. To the extent Seller receives any mail or packages addressed and delivered to Seller but relating to the Business, Seller agrees that it will promptly transfer or deliver or cause to be promptly transferred or delivered, to Buyer Group or its designee any cash or other property received directly or indirectly by it or any of its affiliates after the Closing in respect of Receivables, including any amounts paid as interest thereon for periods following the Closing.

After the Closing Date, to the extent that Purchaser receives cash or checks or drafts made payable to Purchaser that constitutes an Excluded Asset, Purchaser shall promptly use such cash to, or deposit such checks or drafts and upon receipt of funds from such checks or drafts, reimburse Seller within ten (10) Business Days for such amount received, or, if so requested by Seller, endorse such checks or drafts to Seller for collection. Neither Party may assert any set-off, hold-back, escrow or other restriction against any payment described in this Section 6.11.
Mail Handling. After the Closing Date, to the extent Seller receives any mail or packages addressed and delivered to Seller but related to the Business or the Acquired Assets, Seller agrees that it will promptly transfer or deliver or cause to be promptly transferred or delivered to Buyer.

Mail Handling. Subject to the terms of Virtual Mail Service Agreement (a separate mail-handling addendum) to be executed by the parties, you may have the right to use the Phase Two address as a mailing address and get business related mail sent to the Phase Two address.

Mail Handling. To the extent Seller receives any mail, email, faxes or packages addressed to such Seller but relating to the Business, the Purchased Assets or the Assumed Liabilities, such Seller shall promptly deliver such materials to Buyer. To the extent Seller or any Seller Owner receives any payments or refunds or any other proceeds in respect of the Purchased Assets or any Assumed Contract or otherwise arising out of the Business, Seller shall cause such amounts to be remitted promptly to Buyer.

Mail Handling. 6.3.1 We will not accept any items exceeding 10kg in weight, 20 inches in dimension, 1 cubic foot in volume or if it contains any dangerous, live, or perishable goods and shall be entitled in its absolute discretion to return uncollected items or refuse to accept any quantity of items it considers unreasonable or unlawful. 6.3.2 Packages and Parcels received and not collected or requested to be forwarded by the Customer will be returned to sender after 14-days if no instructions have been passed to the Operator. 6.3.3 Outgoing mail is charged at Royal Mail's current franking rates plus a 20% admin charge. We may at our absolute discretion return uncollected items or refuse to accept any quantity of items we consider unlawful or unreasonable.
