Maintenance of Certain Insurance. On the date hereof the Servicer shall obtain, and at all times thereafter during the term of its service as Servicer the Servicer shall maintain, in force an “errors and omissions” insurance policy in an amount not less than $1,000,000 naming the Lender as loss payee and with an insurance company reasonably acceptable to the Lender. The Servicer shall deliver a copy of the insurance policy required under this Section 6.16 to the Lender on the date hereof together with a certification from the applicable insurance company that such policy is in force on the date hereof. The Servicer shall prepare and present, on behalf of itself and the Lender, claims under any such policy in a timely fashion in accordance with the terms of such policy, and upon, the filing of any claim on any policy described in this Section, the Servicer shall promptly notify the Lender of such claim.
Maintenance of Certain Insurance. During the term of its -------------------------------- service as Servicer, the Servicer shall maintain in force an "errors & omissions" or employee dishonesty insurance policy in an amount not less than $500,000 in a form that would cover any loss of trust funds collected by the Servicer hereunder caused by employee dishonesty, and with an insurance company, reasonably acceptable to the Lender and the Agent. The Servicer shall prepare and present, on behalf of itself, the Agent and the Lender, claims under any such policy in a timely fashion in accordance with the terms of such policy, and upon the filing of any claim on any policy described in this Section, the Servicer shall promptly notify the Agent of such claim.
Maintenance of Certain Insurance. (a) During the term of its service as Servicer, the Servicer shall maintain in force an employee fidelity/dishonesty insurance policy, in each case, in an amount not less than $1,000,000 any one claim and in the aggregate, in a form that would cover any loss of Collections by the Servicer hereunder caused by employee dishonesty and with a reputable insurance company. The Servicer shall at all times ensure that such fidelity/dishonesty insurance policy is in effect and to the Administrative Agent request shall provide a copy of certificate of insurance as evidence of each replacement policy to the Administrative Agent. Following its appointment as Servicer, the Successor Servicer shall deliver a certificate of insurance of such fidelity/dishonesty insurance policy in effect as of such to the Administrative Agent, together with a certification from the applicable insurance company that such policy is in force as of such date, shall at all times ensure that such fidelity/dishonesty insurance policy is in effect and, if such insurance is replaced, and upon the Administrative Agent's request shall provide a copy of a certificate of insurance of each replacement policy to the Administrative Agent.
(b) During the term of its service as Servicer, the Servicer shall maintain in force an errors and omissions insurance policy to cover Servicer's liability arising from all officers, employees or other persons where the Servicer has the right to direct and control such individuals in any capacity that will apply also with regard to the Pledged Receivables to handle documents and papers related thereto. Such policy shall insure against losses resulting from the errors, omissions and negligent acts of such officers, employees and other persons and shall be maintained in an aggregate amount of at least $1,000,000 for the policy period or such lower amount as the Administrative Agent may designate in writing to the Servicer from time to time,. No provision of this Section 6.13(b) requiring such errors and omissions policy shall diminish or relieve the Servicer from its duties and obligations as set forth in this Agreement and the other Transaction Documents. Maintenance of Certain Insurance. No later than five (5) Business Days from the date of this Agreement, Servicer shall have obtained (and delivered to Agent a copy of, together with a certification from the applicable insurance company that such policy is in force on the date of this Agreement), and at all times thereafter during the term of its service as Servicer shall maintain in force, a separate “fidelity bond” insurance policy (in an amount, form and substance reasonably satisfactory to Agent) with an insurance company reasonably acceptable to Agent naming Agent, for the benefit of itself and Lenders, as additional loss payee. Servicer shall prepare and present, on behalf of itself, Agent and Lenders, claims under such policy in a timely fashion in accordance with the terms of such policy, and upon, the filing of any claim on such policy, Servicer shall promptly notify Agent of such claim.

The Servicer shall deliver a copy of each insurance policy required under this Section 6.18 to the Agent on the date hereof together with a certification from the applicable insurance company that such policy is in force on the date hereof. The Servicer shall prepare and present, on behalf of itself, the Agent and the Lender, claims under any such policy in a timely fashion in accordance with the terms of such policy, and upon, the filing of any claim on any policy described in this Section, the Servicer shall promptly notify the Agent of such claim.

During the term of its service as Servicer, the Servicer shall maintain in force an "errors and omissions" and an employee fidelity/crime insurance policy, in each case, (i) in an amount not less than $2,000,000, (ii) in a form reasonably acceptable to the Lender, the Agent and the Facility Insurer and, in any case, that would, in the case of the employee fidelity/crime insurance policy, cover any loss of Collections by the Servicer hereunder caused by employee dishonesty, (iii) with an insurance company reasonably acceptable to the Lender, the Agent and the Facility Insurer and (iv) covering the Servicer and the Borrower as insured parties. Unless otherwise directed by the Facility Insurer, the Servicer shall prepare and present, on behalf of itself, the Agent, the Lender and the Facility Insurer, claims under any such policy in a timely fashion in accordance with the terms of such policy, and upon the filing of any claim on any policy described in this Section, the Servicer shall promptly notify the Agent and the Facility Insurer of such claim and deposit the proceeds of any such claim into the Collection Account.
Maintenance of Certain Insurance. From the period commencing on February 11, 2003 until the termination of the Servicer's duties pursuant to the terms of this Agreement, the Servicer shall maintain in force an "errors and omissions" and an employee fidelity insurance policy, in each case, (i) in an amount not less than $1,000,000, (ii) in a form reasonably acceptable to the Lender and the Agent, in any case, that would cover any loss of Collections by the Servicer hereunder caused by employee dishonesty, (iii) with an insurance company reasonably acceptable to the Lender and the Agent and (iv) naming the Agent as loss payee. Unless otherwise directed by the Agent and the Lender, the Servicer shall prepare and present, on behalf of itself, the Agent and the Lender, claims under any such policy in a timely fashion in accordance with the terms of such policy, and upon the filing of any claim on any policy described in this Section, the Servicer shall promptly notify the Agent of such claim and deposit the proceeds of any such claim into the Collection Account. The Servicer shall deliver copies of such policies to the Agent on or prior to February 11, 2003 together with a certification from the applicable insurance company that such policy is in force on such date. The Servicer shall deliver proof of maintenance of such policies, in form and substance reasonably acceptable to the Agent, on the six month anniversary from February 11, 2003 and on each succeeding six month anniversary thereafter (or if such day is not a Business Day, the next succeeding Business Day).

During the term of its service as Servicer, the Servicer shall maintain commercial liability insurance with coverage limits of not less than $2,000,000 and fidelity bonds with coverage amounts not less than $25,000, which would cover any loss of Collections by the Servicer hereunder caused by employee misconduct, and with an insurance company reasonably acceptable to the Lender and the Administrator. The Servicer shall prepare and present, on behalf of itself, the Administrator and the Lender, claims under any such insurance policies or fidelity bonds in a timely fashion in accordance with the terms of such policy, and upon the filing of any claim on any policy described in this Section, the Servicer shall promptly notify the Administrator of such claim.
