Maintenance of Dillon/DVD Interconnect. Dillon will operate and maintain the Dillon/DVD Interconnect in good condition, including responding to any emergency alarms. Dillon will test the Interconnect, as needed, but will not deliver water to the District during a test without the prior approval of the District. The Parties shall share equally the cost for maintaining and routine operation of the Dillon/DVD Interconnect, including responding to any emergency alarms, and testing the Dillon/DVD Interconnect. Any maintenance, repairs, or capital improvements that cost in excess of $5,000 ($2,500 to each party), excluding the pump installation project which is governed by Section 1.2 above, shall be approved in writing by both Parties in advance, except in the event of an emergency as determined by Dillon. In the event that the Parties disagree about whether maintenance, repairs or capital improvements are needed, the Parties will jointly engage an independent engineer to provide recommendations. Each Party is responsible for owning, maintaining and repairing their own water systems.

  • Network Interconnection Architecture Each Party will plan, design, construct and maintain the facilities within their respective systems as are necessary and proper for the provision of traffic covered by this Agreement. These facilities include but are not limited to, a sufficient number of trunks to the point of interconnection with the tandem company, and sufficient interoffice and interexchange facilities and trunks between its own central offices to adequately handle traffic between all central offices within the service areas at P.01 grade of service or better. The provisioning and engineering of such services and facilities will comply with generally accepted industry methods and practices, and will observe the rules and regulations of the lawfully established tariffs applicable to the services provided.
