Maintenance of Existence; Compliance with Laws. Grantor, if other than a natural person, will, so long as it is owner of all or part of the Mortgaged Property, do all things necessary to preserve and keep in full force and effect its existence, franchises, rights and privileges as a business or stock corporation, partnership, limited liability company, trust or other entity under the laws of the state of its formation. Grantor will duly and timely comply with all laws, regulations, rules, statutes, orders and decrees of any governmental authority or court applicable to it or to the Mortgaged Property or any part thereof.

Maintenance of Existence; Compliance with Laws. (a) (i) Except as permitted under Section 8.04, preserve, renew and keep in full force and effect the corporate existence of (A) each of the Credit Parties and (B) each Subsidiary that is not a Credit Party, where such failure to preserve, renew and keep in full force and effect the corporate existence of such Subsidiary could reasonably be expected to have a Material Adverse Effect and (ii) take all reasonable action to maintain all rights, privileges, licenses and franchises necessary or desirable in the normal conduct of its business other than any such rights, privileges, licenses and franchises the loss of which would not, in the aggregate, reasonably be expected to have a Material Adverse Effect. (b) Comply with all Requirements of Law (including, without limitation, all Environmental Laws and ERISA) applicable to it except to the extent that failure to comply therewith would not, in the aggregate, have a Material Adverse Effect.

Maintenance of Existence; Compliance with Laws. The Borrower shall, and shall cause each of its Subsidiaries to (a) preserve, renew and maintain in full force and effect its legal existence and good standing under the Applicable Laws of the jurisdiction of its organization except in a transaction permitted by Section 10.03 or Section 10.04; and (b) take all reasonable action to obtain, preserve, renew, extend and keep in full force and effect all rights, licenses, permits, privileges, franchises, authorizations, patents, copyrights, trademarks, trade names and service marks necessary or desirable in the normal conduct of its business, except to the extent that failure to do so could not reasonably be expected to have a Material Adverse Effect.
Maintenance of Existence; Compliance with Laws. The Company will do or cause to be done all things necessary to preserve and keep in full force and effect its partnership existence and the corporate or partnership existence, as the case may be, of each Subsidiary and all rights, privileges, franchises, permits, licenses, patents, patent rights and other authority which if not so preserved or kept in full force and effect would have a material adverse effect on the business of the Company and its Subsidiaries taken as a whole, provided that the foregoing provisions of this Section 404 shall not prevent any transaction permitted by Section 419. The Company and its Subsidiaries will at all times conduct their business in an orderly manner without voluntary interruption and shall exercise all reasonable diligence in order to comply with the requirements of all material applicable laws, rules, regulations, licenses, permits and orders of any governmental authority, noncompliance with which could materially and adversely affect the business, properties, assets, operations or condition (financial or otherwise) of the Company and its Subsidiaries taken as a whole.

Maintain its legal existence and permits and authority to do business in all jurisdictions where the nature of its business requires such permits and authority to be maintained, and comply in all material respects with all applicable laws, rules, regulations, and orders, such compliance to include, without limitation, compliance with ERISA and all applicable laws pertaining to the environment and workers' health and safety, paying before the same become delinquent all taxes, assessments, and governmental charges or levies imposed upon it or upon its income or profits or upon any of its properties, and paying all lawful claims which if unpaid might become a lien or charge upon any of its properties, except to the extent any such taxes, assessments, governmental charges or levies, and claims may be diligently contested by the Borrower in good faith and by appropriate proceedings, and for which adequate reserves have been established by the Borrower.
