Common use of Maintenance of the Facility Clause in Contracts

Maintenance of the Facility. (a) Seller shall inspect, maintain and repair the Facility, and any portion thereof, in accordance with applicable Prudent Operating Practices. Seller shall maintain and deliver maintenance and repair records of the Facility to Buyer’s scheduling representative upon request. (b) Seller shall promptly make all necessary repairs to the Facility, and any portion thereof, and take all actions necessary in order to provide the Product to Buyer in accordance with the terms of this Agreement (and, at a minimum, the Performance Guarantees).

Seller shall maintain and deliver maintenance and repair records of the Facility to Buyer’s scheduling representative upon request. (b) Seller and the delivery of the Product and shall promptly make all necessary repairs comply with Law and Prudent Operating Practice relating to the Facility, operation and any portion thereof, maintenance of the Facility and take all actions necessary in order to provide the Product to Buyer in accordance with the terms generation and sale of this Agreement (and, at a minimum, the Performance Guarantees)Product.
