Management Services Agreements. The Services Agreement between Atlas FRM LLC and R & K Holdings Ltd dated as of October 18, 2002 shall have been terminated, without any payment by the parties thereto, effective concurrently with the Closing of the Ancillary Acquisitions, except as agreed to in the First Amendment to Services Agreement between R & K Holdings Ltd and the Parent signed contemporaneously at Closing. The Management Services Agreement between Atlas FRM and Metal Resources, also dated as of October 18, 2002 shall have been terminated.
Management Services Agreements. Prior to amending, modifying or terminating any Non-Material Agreement such that the Partnership would be reasonably expected to have monetary obligations exceeding $2,000,000 per year, the Partnership shall deliver an Officer's Certificate to the Trustee certifying that such amendment, modification or termination is not reasonably expected to result in a Material Adverse Change. Management Services Agreements. The Borrower shall, and shall cause each of its Subsidiaries to cause, (i) with respect to each Management Services Agreement with a Loan Party to which it is party as of the Closing Date, within thirty (30) days after the Closing Date, and (ii) with respect to each Management Services Agreement with a Loan Party that it enters into after the Closing Date, to contain provisions providing for the assignability of such agreement to the Collateral Agent or any Person designated by the Collateral Agent in connection with its enforcement of its rights and exercise of its remedies, for the benefit of the Secured Parties, upon the enforcement of its rights and exercise of its remedies under the Loan Documents.
Management Services Agreements. (v) Funding Assurance Agreement.
Management Services Agreements. The Partnership has two management services agreements with MPC under which it provides certain management services to MPC with respect to certain of MPC’s retained pipeline assets. The Partnership received $1 million in fees under these agreements in 2015. The Partnership may adjust annually for inflation and based on changes in the scope of management services provided. The Partnership also receives engineering and construction and administrative management fee revenue and other direct personnel costs for operating some joint venture entities. HSM entered into a management services agreement with MPC on January 1, 2015 which expires on June 30, 2020. Under this agreement, HSM provides management services to assist MPC in the oversight and management of the MPC marine business. Pursuant to the amended and restated management services agreement, effective July 1, 2015, HSM receives a fixed annual fee for providing the required management services. This fee is adjusted annually on the anniversary of the contract for inflation and any changes in the scope of the management services provided. The initial annual fee total is $13 million. Prior to January 1, 2015 this agreement did not exist.
Management Services Agreements. Prior to the Closing Date, HLTT shall have organized Healthtech Management Services, LLC as a Utah limited liability company (“HMSLLC”). As a condition to closing, on or prior to the Closing Date, Seller, PTG and HMSLLC will execute the Management Services Agreement attached as Exhibit B (the “Biotech Management Agreement”). As a further condition to closing, on or prior to the the Closing Date, Cellsure, PTG, and HMSLLC will execute the Management Services Agreement attached as Exhibit C (the “Cellsure Management Agreement”).
Management Services Agreements. (a) Schedule 4.12(a) sets forth each of the Management Services Agreements in which such Grantor has any right, title or interest.

Cause PSC Management or an Other Manager to serve as the sole manager under any and all Management Services Agreements; provided, however, if an Other Manager shall serve as the manger under any Management Services Agreement, the Borrower shall cause such Other Manager, no less than 10 Business Days prior to becoming the manager thereunder, to execute and deliver to the Lender, Loan Documents comparable to those which PSC Management has executed and delivered or is required to execute and deliver to the Lender in accordance with the terms of this Agreement and the other Loan Documents, including, without limitation, a Collateral Assignment of Management Services Agreements. Nothing in this Section 7.13. shall limit or otherwise modify the obligations of the Borrower under Section 9.12.
