MANUFACTURER'S INSURANCE. HMRI shall obtain and maintain in effect for the term of this Agreement, insurance or indemnity policies with an insurer reasonably satisfactory to Rugby, in an amount not being less than *with an indemnity to principals clause with respect to the manufacture, storage or handling of Product, which policies shall name Rugby as an additional insured and shall be blanket policies. Such policies shall insure against liability on the part of HMRI and any of its Affiliates, as their interests may appear, due to injury, disability or death of any person or persons, or injury to property arising from the negligence of HMRI in the manufacture of Product. Upon the execution of this Agreement and thereafter on January 1 each year during the Term, HMRI shall provide to Rugby a certificate of insurance (i) summarizing the insurance coverage, (ii) identifying any exclusions and (iii) indicating that the terms of HMRI's insurance policies are in accordance with this Section 9.5. HMRI shall promptly notify Rugby of any alterations to the terms of the policy or in the amounts for which insurance is provided.

MANUFACTURER'S INSURANCE. Alliance shall obtain and maintain in effect for the term of this Agreement, if such policies are occurrence based, or for ten years after the term of this Agreement, if such policies are claims made, such appropriate insurance policies which name HMRI as a coinsured, with respect to the manufacture of Material according to the Specifications. Such policies shall insure against liability on the part of Alliance and any of its Affiliates, as their interests may appear, due to injury, disability or death of any person or persons, or injury to property, arising from the failure to manufacture Material according to the Specifications. Alliance shall provide to HMRI a certificate of insurance indicating that the terms of Alliance's insurance policy are in accordance with this Section 8.5. Such certificate of insurance shall be provided within ten days of the commencement date of the first Contract Year.

Such policies shall insure against liability on the part of HMRI and any of its AFFILIATES, as their interests may appear, due to injury, disability or death of any person or persons, or injury to property arising from the negligence of HMRI or its AFFILIATES in the manufacture of the LOPROX LOTION. Upon the execution of this AGREEMENT and thereafter on January 1 of each year during the term, HMRI shall provide to MEDICIS a certificate of insurance (i) summarizing such insurance coverage, (ii) identifying any exclusions and (iii) indicating that the terms of HMRI's insurance policies are in accordance with this Section 7.7. HMRI shall promptly notify MEDICIS of any material alterations to the terms of such policies or in the amounts for which insurance is provided.
MANUFACTURER'S INSURANCE. I3 shall obtain and maintain in effect, with financially sound and reputable insurers, appropriate insurance policies, with a minimum aggregate coverage of not less than $5,000,000 per annum, naming NeoRx as an additional insured, with respect to the Processing of the Products according to the Requirements.

  • Owner’s Insurance Owner agrees to carry public liability, elevator liability and contractual liability insurance (specifically insuring the indemnity provisions contained in Section 10.1 above), and such other insurance as the parties agree to be necessary or desirable for the protection of the interests of Owner and Manager, which may be provided through an umbrella policy. In each such policy of insurance, Owner shall designate Manager as a party insured with Owner and the carrier and the amount of coverage in each policy shall be mutually agreed upon by Owner and Manager. A certificate of each policy issued by the carrier shall be delivered promptly to Manager by Owner. All policies shall provide for 30 days' written notice to Manager and Owner prior to cancellation, non-renewal or material amendment.

  • Subcontractors’ Insurance If a part of the Agreement is to be sublet, the Consulting Engineer/Architect shall either: a. Cover all subcontractors in its insurance policies, or b. Require each subcontractor not so covered to secure insurance which will protect subcontractor against all applicable hazards or risks of loss as and in the minimum amounts designated. Whichever option is chosen, Consulting Engineer/Architect shall indemnify and hold harmless the City as to any and all damages, claims or losses, including attorney's fees, arising out of the acts or omissions of its subcontractors.

  • Business Insurance The Transaction Entities and their respective subsidiaries carry or are entitled to the benefits of insurance, with financially sound and reputable insurers, in such amounts and covering such risks as is generally maintained by companies of established repute engaged in the same or similar business, and all such insurance is in full force and effect. Neither of the Transaction Entities has any reason to believe that it or any of their respective subsidiaries will not be able to (A) renew, if desired, its existing insurance coverage as and when such policies expire or (B) obtain comparable coverage from similar institutions as may be necessary or appropriate to conduct its business as now conducted and at a cost that would not reasonably be expected to, singly or in the aggregate, result in a Material Adverse Effect.
