Manufacturing Facilities, Equipment and Licenses. Supplier shall, at Supplier's expense, acquire or cause to be acquired all equipment and licenses, including, without limitation, all necessary plant equipment and facilities licenses, necessary to enable the manufacture and testing of the Components as required hereunder. Supplier shall obtain and maintain all necessary Regulatory Approvals. Purchaser, its Affiliates and Sublicensees shall obtain any required importation licenses or approvals for importation of Dendreon Products and Kirin Products, and the Components necessary for such Kirin Products and Dendreon Products, as applicable for sale in any given country. Supplier shall cooperate reasonably with Purchaser, at Purchaser's reasonable request and expense, to obtain such licenses or approvals. Manufacturing Facilities, Equipment and Licenses. Lynx shall, at Lynx's expense, acquire or cause to be acquired all equipment and licenses, including, without limitation, all necessary plant equipment and facilities licenses, necessary to enable the manufacture of the Products as required hereunder. Lynx shall use its commercially reasonable efforts to keep such equipment properly maintained and to reduce risks of breakdown of critical machinery. Lynx shall obtain and maintain all necessary United States manufacturing licenses and approvals including but not limited to FDA approval for the manufacturing facilities and export approval. Xxxxxxx Pharma, its Affiliates and its Sublicensees shall obtain any required importation licenses or approvals for importation of Product for sale in the Territory. Lynx shall cooperate reasonably with Xxxxxxx Pharma to obtain such licenses or approvals, provided that Lynx shall cause the Drug Master File to progress through the approval process at its own expense.

Aradigm shall use commercially reasonable efforts to keep such equipment properly maintained and to reduce risks of breakdown of critical machinery. Aradigm shall obtain and maintain all necessary U.S.A. manufacturing licenses and approvals including but not limited to FDA approval for the manufacturing facilities. SB, its AFFILIATES and its sublicensees shall obtain any required export and importation licenses or approvals for importation of PRODUCTS for sale in any given country in the TERRITORY. Aradigm shall cooperate reasonably with SB to obtain such licenses or approvals. Aradigm shall maintain all records as are necessary and appropriate to demonstrate compliance with cGMPs. Aradigm shall manufacture PRODUCTS in a facility maintaining a current drug establishment registration with FDA as set forth in 21 C.F.R., Part 207 and registration as importer and/or manufacturer of controlled substances with the Drug Enforcement Agency ("DEA") as set forth in 21 C.F.R., Part 1300, if applicable.

  • Maintaining Records; Access to Properties and Inspections; Maintenance of Ratings (a) Keep proper books of record and account in which full, true and correct entries in conformity with GAAP and all requirements of law are made of all dealings and transactions in relation to its business and activities. Each Loan Party will, and will cause each of its subsidiaries to, permit any representatives designated by the Administrative Agent or any Lender to visit and inspect the financial records and the properties of such Person at reasonable times and as often as reasonably requested and to make extracts from and copies of such financial records, and permit any representatives designated by the Administrative Agent or any Lender to discuss the affairs, finances and condition of such Person with the officers thereof and independent accountants therefor.

  • Equipment and Supplies Independent Contractor, at Independent Contractor's sole expense, shall provide all equipment, tools and supplies necessary to perform the Service.

  • Facilities and Equipment Except as set forth herein, Consultant shall, at its sole cost and expense, provide all facilities and equipment that may be necessary to perform the services required by this Agreement. City shall make available to Consultant only the facilities and equipment listed in this section, and only under the terms and conditions set forth herein. If the performance of the work specified in Exhibit A requires destructive testing or other work within the City’s public right-of-way, Consultant, or Consultant’s subconsultant, shall obtain an encroachment permit from the City.

  • Equipment and Inventory With respect to any Equipment and/or Inventory of an Obligor, each such Obligor has exclusive possession and control of such Equipment and Inventory of such Obligor except for (i) Equipment leased by such Obligor as a lessee or (ii) Equipment or Inventory in transit with common carriers. No Inventory of an Obligor is held by a Person other than an Obligor pursuant to consignment, sale or return, sale on approval or similar arrangement.

  • Manufacturing Rights Manufacturing Rights will be governed by Attachment 6.

  • Communications Equipment Members of the board of directors or any committee thereof may participate in and act at any meeting of such board or committee through the use of a conference telephone or other communications equipment by means of which all persons participating in the meeting can hear each other, and participation in the meeting pursuant to this section shall constitute presence in person at the meeting.
