Materials Fee. A materials fee (please see tuition sheet for rate) will be assessed at the beginning of each school year (Aug/Sept).

Licensee will pay to Licensor $2,000 per package (i.e. per “alpha”) delivered to Licensee in the Common Manifest Format, which will be billed to Licensee by Licensor on a monthly basis. Half-Day Training — $15 USD per participant. Price includes the Bigger Game full-color handout and reference laminate for each participant. In addition, shipping charges for the above-mentioned course materials will be invoiced to you at cost.

DVC shall pay AVANT on the Effective Date a payment of ***Confidential Treatment Requested as to this Information*** AVANT for its expenses incurred in connection with developing and manufacturing cGMP PA. This payment is nonrefundable and is not creditable against any other payments due to AVANT under this Agreement.

Materials Fee. Materials Fee" is quoted in single final Product unit increments and is defined as DPT's Standard Cost ("Standard Cost" is the average actual cost to DPT of all raw materials, components, packaging materials, plus incoming freight, scrap/yield loss adjustments and any other recurring costs directly attributable to acquiring the material) plus a xxxx-up of [***]% for administration and carrying costs. Materials Fee does not include costs associated with establishing, testing or manufacturing components or new materials such as reference standards, reagents, art charges, die costs, mold or tooling costs, plate costs, and packaging equipment change parts. With the exception of items that are not ordinary and customary, DPT will obtain prior written approval from SERENITY before making any financial commitment on SERENITY's behalf. These items will be invoiced to SERENITY at DPT's cost on a net thirty (30) basis and SERENITY agrees to reimburse DPT for any such SERENITY-authorized expenditure made on SERENITY's behalf.
