Measurement/Quality. 5.1 The American Gas Association (AGA) measurement standards in effect on the date of delivery will apply to all Gas delivered under this Agreement. 5.2 Seller warrants all Gas delivered to the applicable Delivery Point(s) will be of a pressure, condition and quality to meet the standard requirements of the receiving pipeline system.

Measurement/Quality. (a) Subject to section 4(a) above, the quantity of CO2 Gas purchased by EPCO from Cardinal Ethanol shall be measured by the number of Shipped Tons, as determined on truck and/or rail scales located at the EPCO Plant. Cardinal Ethanol shall have the right to audit EPCO’s truck and rail scales at its expense. The Parties recognize there is no value of the CO2 sent to EPCO unless it is sold to customers. (b) EPCO will furnish certified bills of lading or other suitable records of daily production to Cardinal Ethanol on a daily basis which shall provide notes relative to the quality and quantity of CO2 Gas and, upon request of Cardinal Ethanol, in a monthly cumulative report. Such records may omit the customer names and addresses but shall establish the number of Shipped Tons. (c) EPCO agrees to monitor the CO2 Gas quality at its own expense to determine if the CO2 Gas meets Specifications and agrees to promptly inform Cardinal Ethanol if it does not. (d) Cardinal Ethanol represents and warrants that the CO2 Gas provided shall meet the Specifications set forth on Exhibit A. If there is a dispute as to whether the CO2 Gas meets Specifications, EPCO will have an independent testing lab test the gas for conformance and their decision will be binding on both parties. If the test results find that the CO2 Gas is non-conforming, Cardinal Ethanol will be responsible for the independent testing lab charges. The independent lab shall be chosen by agreement of both Parties. (e) EXCEPT AS SPECIFICALLY PROVIDED IN THIS AGREEMENT, CARDINAL ETHANOL MAKES NO WARRANTIES OR REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION, ANY WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.

LINCOLNWAY shall have the right to audit EPCO’s truck and rail scales at its expense; provided, however, that if any such inspection or audit reveals any inaccuracy in the scales, then EPCO shall reimburse LINCOLNWAY for all costs and expenses incurred by LINCOLNWAY in conducting or performing such inspection or audit, with such reimbursement to be made within two days of the date of LINCOLNWAY’s invoice therefor. b. EPCO will furnish certified bills of lading or other suitable records of daily production to LINCOLNWAY on a daily basis which shall provide notes relative to the quality of CO2 Gas, and also in a monthly cumulative report. Such records may omit the customer names and addresses but shall state the number of Shipped Tons. * Portion omitted pursuant to Item 601(b)(10)(iv) of Regulation S-K (17 CFR § 229.601(b)(10)(iv)) because it is both not material and would likely cause competitive harm to the company if publicly disclosed. c. EPCO agrees to monitor the CO2 Gas quality at its own expense to determine if the CO2 Gas meets the Specifications and agrees to inform LINCOLNWAY within two hours of EPCO making any determination that any CO2 Gas does not meet the Specifications.

(c) SIRE represents and warrants that the raw CO2 feed Gas provided shall meet the Specifications set forth on Exhibit B. If there is a dispute as to whether the CO2 gas meets specifications, EPCO will have an independent testing lab test the gas for conformance and their decision will be binding on both parties. If the test results find that the CO2 gas is non-conforming, SIRE will be responsible for the independent testing lab charges. Except as specifically stated herein, SIRE makes no warranties or representations, express or implied, including without limitation, any warranties of merchantability or fitness for a particular purpose. (d) EPCO agrees to monitor the CO2 Gas quality at its own expense to determine if the CO2 Gas meets Specifications and agrees to promptly inform SIRE if it does not.

  • Temperature Measurement Temperature will be measured by the nearest automatic Melbourne Bureau of Meteorology Monitoring Station for example (but not limited to): Melbourne, Moorabbin, Dunns Hill, Melbourne Airport, Frankston, and Point Xxxxxx. At the commencement of each project, the onsite management and employee representatives shall agree which is to be the applicable automatic weather monitoring station.

  • Mileage Measurement Where required, the mileage measurement for LIS rate elements is determined in the same manner as the mileage measurement for V&H methodology as outlined in NECA Tariff No. 4.

  • Performance Measurement The Uniform Guidance requires completion of OMB-approved standard information collection forms (the PPR). The form focuses on outcomes, as related to the Federal Award Performance Goals that awarding Federal agencies are required to detail in the Awards.

  • Measuring EPP parameters Every 5 minutes, EPP probes will select one “IP address” of the EPP servers of the TLD being monitored and make an “EPP test”; every time they should alternate between the 3 different types of commands and between the commands inside each category. If an “EPP test” result is undefined/unanswered, the EPP service will be considered as unavailable from that probe until it is time to make a new test.

  • Usage Measurement Usage measurement for calls shall begin when answer supervision or equivalent Signaling System 7 (SS7) message is received from the terminating office and shall end at the time of call disconnect by the calling or called subscriber, whichever occurs first.

  • Product Quality (a) Tesoro warrants that all Products delivered under this Agreement or any Purchaser Order shall meet the latest applicable pipeline specifications or otherwise mutually agreed upon specifications for that Product upon receipt at the applicable Terminal and contain no deleterious substances or concentrations of any contaminants that may make it or its components commercially unacceptable in general industry application. Tesoro shall not deliver to any of the Terminals any Products which: (i) would in any way be injurious to any of the Terminals; (ii) would render any of the Terminals unfit for the proper storage of similar Products; (iii) would contaminate or otherwise downgrade the quality of the Products stored in commingled storage; (iv) may not be lawfully stored at the Terminals; or (v) otherwise do not meet applicable Product specifications for such Product that are customary in the location of the Terminal. If, however, there are Products that do not have such applicable specifications, the specifications shall be mutually agreed upon by the Parties. Should Tesoro’s commingled Products not meet or exceed the minimum quality standards set forth in this Agreement or any applicable Terminal Service Order, Tesoro shall be liable for all loss, damage and cost incurred thereby, including damage to Products of third parties commingled with Tesoro’s unfit Products. (b) TLO shall have the right to store compatible Products received for Tesoro’s account with Products belonging to TLO or third parties in TLO’s commingled storage tanks. TLO shall handle Tesoro’s fungible Products in accordance with TLO’s prevailing practices and procedures for handling such Products. The quality of all Products tendered into commingled storage for Tesoro’s account shall be verified either by Tesoro’s refinery analysis or supplier’s certification, such that Products so tendered shall meet TLO’s Product specifications. All costs for such analysis shall be borne solely by Tesoro. TLO shall have the right to sample any Product tendered to the Terminals hereunder. The cost of such sampling shall be borne solely by TLO. All Products returned to Tesoro shall meet or exceed Product specifications in effect on the date the Products are delivered to Tesoro. Notwithstanding any other provision herein, any and all Products that leave the Terminals shall meet all relevant ASTM, EPA, federal and state specifications, and shall not leave the Terminals in the form of a sub-octane grade Product. (c) TLO shall exercise reasonable care to ensure that all Products delivered by third parties into commingled storage with Tesoro’s Products meet applicable Product specifications for such Product that are customary in the location of the Terminal. In the event that Tesoro’s Products are commingled with third-party Products that do not meet or exceed the minimum quality standards set forth in this Agreement or any Terminal Service Order, TLO shall be liable for all loss, damage and cost incurred thereby.

  • Measurement Should the State terminate this contract as herein provided, no fees other than fees due and payable at the time of termination shall thereafter be paid to the Engineer. In determining the value of the work performed by the Engineer prior to termination, the State shall be the sole judge. Compensation for work at termination will be based on a percentage of the work completed at that time. Should the State terminate this contract under paragraph (4) or (5) above, the Engineer shall not incur costs during the thirty-day notice period in excess of the amount incurred during the preceding thirty days.

  • Measuring DNS parameters Every minute, every DNS probe will make an UDP or TCP “DNS test” to each of the public-­‐DNS registered “IP addresses” of the name servers of the domain name being monitored. If a “DNS test” result is undefined/unanswered, the tested IP will be considered unavailable from that probe until it is time to make a new test.

  • Service Quality The Transfer Agent shall maintain a quality control process designed to provide a consistent level of quality and timeliness for its call center, correspondence services and transaction processing.
