Milestone Bonuses. In addition to any other compensation to which the Executive is entitled, upon the Company obtaining any of the milestones set forth on Exhibit A hereof, Executive will be entitled to awards of common stock calculated in accordance with Exhibit A hereof.
Milestone Bonuses. Employee will be eligible to receive a lump sum cash payment in an amount equal to $40,000, less standard deductions and withholdings (each such payment, a “Bonus”), upon completion of the each of the following milestone events relating to the Merger (each, a “Milestone”):
A. Filing with the U.S. Securities and Exchange Commission (the “SEC”) of the Registration Statement on Form S-4 under the Securities Act of 1933, as amended (the “Securities Act”) for the Merger;
B. Mailing of the definitive Proxy Statement/Prospectus for the Merger; and
C. Approval of the Merger by the Company stockholders, in accordance with applicable law and the terms of the Merger Agreement.
Milestone Bonuses. Prior to each of January 31, 2019 and July 31, 2019, Meridian, the Consultants and the Board (or a committee thereof) shall negotiate in good faith with respect to reasonable performance metrics with respect to the six-month period beginning January 1, 2019 (the “First Milestone Period”) and July 1, 2019 (the “Second Milestone Period”), as applicable, the achievement of which will earn Meridian a performance bonus up to the amount set forth under the heading Milestone Bonus on Exhibit B (the “Milestone Bonuses”). Meridian shall provide the Board (or a committee thereof) with information sufficient for the Board (or a committee thereof) to make a determination of, and the Board (or a committee thereof), as soon as reasonably practical and in any event within sixty (60) days following receipt of such necessary information, shall make a determination as to whether or not any or all of the performance metrics were achieved. If the Board (or a committee thereof) determines that any or all of the applicable performance metrics were achieved, then the Company shall pay (or cause to be paid) to Meridian the applicable portion of the Milestone Bonuses that was earned as promptly as practical, and in any event within thirty (30) days of such determination by the Board (or a committee thereof) as to the achievement of such performance metrics.

Milestone Bonuses. The Optionee shall pay the following bonuses to the Optionor or the Optionor’s nominee(s) on the attainment of the following milestones respecting the Property:
(a) one million dollars ($1,000,000) in cash or Shares, as determined by the Optionee, on completion of a 43-101 Technical Report which establishes a minimum resource of more than 10,000,000 pounds of uranium having a minimum average grade of no less than 0.025%;
(b) an additional two million dollars ($2,000,000) in cash or Shares, as determined by the Optionee, on completion of a 43-101 Technical Report which establishes a minimum resource of more than 50,000,000 pounds of uranium having a minimum average grade of no less than 0.025%;
(c) an additional one million dollars ($1,000,000) in cash or Shares, as determined by the Optionee, on completion of a Preliminary Economic Assessment respecting the Property; and
(d) an additional $1,000,000 in cash or Shares, as determined by the Optionee, on the issuance of a mining permit for the Property by applicable Governmental Authorities. The value of each Share issued under this Section 3.4 will be the value weighted average trading price of the Shares on the Exchange (or such other stock exchange on which the Shares are trading at the applicable time) for the ten (10) trading days preceding the date on which the applicable milestone is attained.
Milestone Bonuses. The Executive shall receive the same milestone metrics as the Chief Executive Officer but the amounts he is eligible to receive will be 75% of the Chief Executive Officer's milestone bonuses.
Milestone Bonuses. Following the Restatement Effective Date no further Milestone Bonuses (as defined in the Prior Agreement) may be earned or paid.
Milestone Bonuses. (a) On the date that the first non-NCI patient is treated in the Company's ongoing Phase III Melphalan trial, the Company will issue Executive 10,000 shares of its common stock.
(b) On the date that the 46th patient is enrolled in the Company's ongoing Phase III Melphalan trial, the Company will issue Executive 20,000 shares of its common stock.
(c) On the date that the Company consummates any equity-based capital offering which results in gross proceeds of in excess of $15 million (over any consecutive 12 month period) which offering is completed on a post-money valuation basis of in excess of $175 million, the Company will issue the Executive 25,000 shares of its common stock.
(d) On the date that the Company submits a PMA to the FDA for the Delcath System the Company will issue the Executive 50,000 shares of its common stock.
(e) On the date that the FDA approves the Delcath System, the Company will issue the Executive 75,000 shares of its common stock.
(f) On the date that the Company enters into a binding agreement for the sale of more than 50% of its common stock or a sale of substantially all of its assets at a price of in excess of $10.00 per share (the "Sale"), the Company shall issue Executive 100,000 shares of its common stock plus an additional 20,000 shares of its common stock for each $1.00 per share over $10.00 per share that the Sale results in.
Milestone Bonuses. Executive is eligible to receive special milestone bonuses (each, a “Milestone Bonus”), as follows:
Milestone Bonuses. (a) The Company will pay you a cash bonus equal to $250,000 (the “h-patch Bonus”) 15 days after the later of the Effective Date, or the occurrence of an event that entitles BioValve to the issuance of 1,000,000 additional membership units in the Company under the Contribution Agreement, if you are an employee of the Company on the later of the Effective Date or the date on which such event occurs.
