MISCELLANEOUS/OTHER. 21.1 Neither the Share Xxxxxx nor the Landowner shall assign any of his rights, privileges or benefits under this Agreement without the prior consent in writing of the other party. 21.2 The parties shall meet at least once in every three months to review the farming operations under this Agreement and after each harvest they shall review the farming policy for the following farming year. Notes shall be kept of decisions made at meetings. 21.3 Where one party is registered for VAT and the other is not any sharing of costs and of proceeds shall be calculated on the amounts that are exclusive of VAT and flat-rate addition. 21.4 Should this Agreement be silent on any matters or things becoming in dispute between the parties then such matters or things shall be determined in accordance with any recognised custom prevailing and in accordance with good husbandry and farming practice and in default of agreement dealt with pursuant to Clause 16 dealing with the Prevention And Resolution of disputes. 21.5 Any reference to any party to this Agreement shall include his or her successors in title and personal representatives, by and against whom, subject as herein appearing; this Agreement shall be enforceable as if they had been originally named as parties. 21.6 Where the context so requires words importing the singular number shall include the plural and vice versa and words importing the masculine gender shall include the feminine and neuter and vice versa. 21.7 A notice shall be deemed to have been served at the time of service if it was served personally or directed to the intended recipient and sent by ordinary pre-paid post to the address of that party set out in this Agreement, and if so directed by ordinary pre-paid post it shall be deemed to have been served 48 hours after the envelope containing the same was put in the post. 21.8 This Agreement supersedes any previous agreement between the parties in relation to the subject matter hereof and is executed in original and counterpart. Manner in which each party’s portion of the produce will if the parties have not agreed and specified terms for the purposes of TABLE H PART 2 and fail to do so within one week from the completion of the harvest of the Produce.

MISCELLANEOUS/OTHER. The Applicant agrees to procure promptly any necessary import, export or other licenses for the import, export or shipping of the property, and to comply with all United States and foreign governmental regulations in regard to the shipment of the property or the financing thereof, and to furnish such certificates in that respect as the Issuer may at any time require. The Applicant also agrees to keep the property adequately covered by insurance acceptable to the Issuer, to assign the policies or certificates of insurance to the Issuer or, at the Issuer’s option, to make any loss or adjustment payable to the Issuer, and upon the Issuer’s request, to furnish the Issuer with evidence of acceptance of any such assignment by the insurers.

Relay time could include load- ing mail into the satchel, gathering DPS or loading parcels for the next loop. Time spent replenishing mail on a mounted/curbside/riding route is not relay time. CDRAAP, continued • Travel To—Travel To time begins when the vehicle departs from the office and ends when the first de- livery is reached. • Travel From—Travel From time begins after the let- ter carrier has completed delivering the route and begins to travel back to the office. It ends when the vehicle has been parked and the Vehicle Unload function begins.

  • Miscellaneous Charges Miscellaneous Charges apply for the following miscellaneous services when provided with LIS trunks. Exhibit A includes a reference to the Tariff, catalog, price list, or other similar document that provides the amount of each Miscellaneous Charge. 7.3.5.1 Cancellation charges apply to cancelled LIS trunk orders based upon critical dates, terms and conditions in accordance with the Access Service Tariff Section 5.2.3 and trunk nonrecurring charges referenced in this Agreement. 7.3.5.2 Expedite requests for LIS trunk orders are available. Expedites are requests for intervals that are shorter than the interval defined in CenturyLink's Service Interval Guide (SIG) or Individual Case Basis (ICB) Due Dates. When expedites are approved, expedite charges apply per order for every day that the Due Date interval is shortened, based on the standard interval in the SIG or based on ICB criteria for Due Dates. Expedite charges apply to LIS trunk orders based on the rates described in Exhibit A. 7.3.5.2.1 CLEC will request an expedite for LIS trunks, including an expedited Due Date, on the Access Service Request (ASR). 7.3.5.2.2 The request for an expedite will be approved only when resources are available and the request meets the criteria outlined in the Pre- Approved Expedite Process in CenturyLink's Product Catalog at CenturyLink's wholesale web site. 7.3.5.3 Additional testing, including cooperative acceptance testing, automatic scheduled testing, cooperative scheduled testing, manual scheduled testing, and non- scheduled testing, is available for LIS trunks.

  • Miscellaneous Powers The Trustees shall have the power to: (a) employ or contract with such Persons as the Trustees may deem desirable for the transaction of the business of the Trust; (b) enter into joint ventures, partnerships and any other combinations or associations; (c) purchase, and pay for out of Trust Property, insurance policies insuring the Shareholders, Trustees, officers, employees, agents, investment advisors, distributors, selected dealers or independent contractors of the Trust against all claims arising by reason of holding any such position or by reason of any action taken or omitted by any such Person in such capacity, whether or not constituting negligence, or whether or not the Trust would have the power to indemnify such Person against such liability; (d) establish pension, profit-sharing, share purchase, and other retirement, incentive and benefit plans for any Trustees, officers, employees and agents of the Trust; (e) make donations, irrespective of benefit to the Trust, for charitable, religious, educational, scientific, civic or similar purposes; (f) to the extent permitted by law, indemnify any Person with whom the Trust has dealings, including without limitation any advisor, administrator, manager, transfer agent, custodian, distributor or selected dealer, or any other person as the Trustees may see fit to such extent as the Trustees shall determine; (g) guarantee indebtedness or contractual obligations of others; (h) determine and change the fiscal year of the Trust and the method in which its accounts shall be kept; and (i) adopt a seal for the Trust but the absence of such seal shall not impair the validity of any instrument executed on behalf of the Trust.

  • Miscellaneous Provisions The following miscellaneous provisions are a part of this Agreement:

  • Miscellaneous Terms The term "or" is disjunctive; the term "and" is conjunctive. The term "shall" is mandatory; the term "may" is permissive. Masculine terms also apply to females; feminine terms also apply to males. The term "including" is by way of example and not limitation.

  • Miscellaneous Expenses Board members may seek reimbursement for other expenses incurred while attending a meeting sponsored by organizations described herein by fully describing the expenses on the expense form, attaching receipts.
