Mortgagee Waiver. Receipt of an executed copy of the Bank's standard Mortgagee Waiver from Ocwen Federal Savings Bank in its capacity as the holder of a mortgage on the Borrower's Easton property.

Mortgagee Waiver. Agent shall have received evidence satisfactory to Agent that Borrower used commercially reasonable efforts to obtain a mortgagee waiver, in form and substance satisfactory to Agent, duly executed by the mortgagee with respect to Borrower's Seagoville, Texas facility.

Mortgagee Waiver. Borrower shall use its best efforts to deliver to Agent on the Closing Date or thereafter, a mortgagee waiver executed by SCIDA in form and substance satisfactory to Agent on the Real Property. If Borrower shall fail to deliver such waiver to Agent, Agent shall, at its discretion, maintain a reserve which shall not exceed an amount equal to Borrower's aggregate payment obligations to SCIDA for a period of three (3) months.
Mortgagee Waiver. In connection with the refinancing from time to time by the Master Tenant of a working capital facility in favor of Master Tenant pursuant to that certain Loan and Security Agreement, dated as of May 7, 2004, by and among Master Tenant, the Persons from time to time party thereto as lenders, and Congress Financial Corporation, as administrative and collateral agent, Lender agrees to execute and deliver such mortgagee’s waiver agreement in form delivered in connection with the Loan.

Mortgagee Waiver. Lessee shall (a) cause to be delivered to the Agent within 60 days after the Closing Date either a mortgagee waiver covering the Items of Equipment located at 0000 X. Xxxxxxx Xxxxxx, Xxxxxx, Xxxx, or cause an opinion of reputable outside counsel licensed to practice in Ohio, in form and substance satisfactory to the Agent, that the Items of Equipment located at that site are not fixtures under local law, or (b) substitute for those Items of Equipment within 120 days after the Closing Date Replacement Equipment in accordance with Section 15.1
