Mutual Cooperation; Further Assurances. Upon request by either party from time to time during the Term, each party hereto agrees to execute and deliver all such other and additional instruments, notices and other documents and do all such other acts and things as may be necessary to carry out the purposes of this Lease and to more fully assure the parties’ rights and interests provided for hereunder. Lessor and Lessee each agree to cooperate with the other on all matters relating to required permits and regulatory compliance by either Lessee or Lessor in respect of the Premises so as to ensure continued full operation of the Premises by Lessee pursuant to the terms of this Lease.
Mutual Cooperation; Further Assurances. The Parties shall cooperate with each other as reasonably necessary to effect the provisions of this Agreement, shall use reasonable and good faith efforts to satisfy conditions to Closing and, at and after Closing, shall each execute and deliver such additional instruments or other documents as the other may reasonably request to accomplish the purposes and intent of this Agreement; provided, however, that nothing in this Section shall be deemed to enlarge the obligations of the Parties hereunder or to require either Party to incur any material expense or liability not otherwise required of it hereunder.

Consistent with the foregoing, Seller and Buyer each agree from time to time following the Closing, at the reasonable request of the other and without further cost or expense to such requested party, to execute and deliver such other instruments of conveyance and transfer and take such other actions as the requesting party may reasonably request in order to more effectively consummate and make effective the transactions contemplated hereby.

Lessor and Lessee each agree to reasonably cooperate with the other on all matters relating to required Permits and regulatory compliance by either Lessee or Lessor in respect of the Premises, the RDU Assets or Additional Improvements so as to ensure continued full operation of the Premises, the RDU Assets or Additional Improvements by Lessee pursuant to the terms of this Asset Lease.

Mutual Cooperation; Further Assurances. (a) Seller and Buyer agree to use their respective commercially reasonable efforts to take, or cause to be taken, all actions and to do, or cause to be done, all things necessary, proper or advisable to consummate and make effective the transactions contemplated by this Agreement and the other Transaction Documents, including all of the following: (i) subject to 7.3(b), obtaining all Consents as are necessary for the consummation of the transactions contemplated by this Agreement and the other Transaction Documents, provided, however, other than payment by Seller of reasonable legal fees incurred by a landlord in connection with a request for consent to the assignment of a Real Property Lease as contemplated hereby, neither Seller nor Buyer shall be required to make any payment to any third party in order to obtain any such consent; (ii) filing timely and promptly all required notices, applications, reports and requests; (iii) defending all proceedings challenging the consummation of the transactions contemplated by this Agreement and the other Transaction Documents; and (iv) executing and delivering any additional documents necessary to consummate the transactions contemplated by this Agreement and the other Transaction Documents.
(b) Seller shall use commercially reasonable efforts to obtain, and Buyer shall cooperate in a reasonable manner with such efforts to obtain, the consent of any party or parties to each Real Property Lease and each Non-Assignable Contract that is not a Colocation Contract to the assignment thereof by Seller to Buyer; provided, however, other than payment by Seller of reasonable legal fees incurred by a landlord in connection with a request for consent to the assignment of a Real Property Lease as contemplated hereby, neither Seller nor Buyer shall be required to make any payment to any such third party in order to obtain any such consent. Without limiting the foregoing, Buyer and Seller each agree that (a) if it executes a consent of the landlord, and the consent imposes an obligation upon such party to provide landlord with information, such party shall provide landlord with such information as and when required by the consent, and (b) if, following landlord’s receipt of the information set forth in the foregoing clause (a), the landlord has the right to revoke its consent, the Closing shall be adjourned until the date which is one business day following the expiration of the period in which landlord may revoke its consent. Mutual Cooperation; Further Assurances. Village and/or AQUA from time to time after the Closing, at XXXX's request, and without additional compensation, will execute, acknowledge and deliver to each other such other instruments of sale, conveyance, assignment and transfer and will take such other actions and execute and deliver such other documents, certifications and further assurances as each party may reasonably require in order to vest in AQUA, and/or to place AQUA and/or to place AQUA fully in possession of, all of the Assets. Each of the parties hereto, without additional compensation, will cooperate with the other and execute and deliver to the other such instruments and documents and take such actions as may be reasonably requested from time to time by any other party hereto as necessary to carry out, evidence and confirm the purposes of this APA.
