Naming Rights Sponsorships Fee. If Operator identifies a significant CII Naming Rights Sponsorship opportunity, such opportunity will be disclosed to the City Representative. If the City Representative were to approve the Operator’s pursuit and method of handling of such opportunity, the City Representative will recommend to Council, after negotiation with Operator, a fair market success commission payable to Operator based upon the value of, and the work required to pursue, such Naming Rights Sponsorship; provided that Operator will be entitled to a Naming Rights Sponsorship commission if the entity or entities identified by Operator and disclosed to the City Representative as a Naming Rights Sponsorship opportunity actually execute an approved Naming Rights Sponsorship agreement during the Term or within 6 months of the expiration or termination of this Agreement for any reason other than a Material Default by Operator. The amount of such commission shall never exceed 15% of the net cash value of the Naming Rights Sponsorship payments, when and if received by CII, after deducting the cash value of Gross Revenue items, if any, provided by CII in exchange for such Naming Rights Sponsorship payments. Any commission will only be payable out of, and in installments commensurate with, the net cash value of the Naming Rights Sponsorship installment payments. City Council reserves the right to approve or disapprove, in its sole discretion, any Naming Rights Sponsorship agreement contemplated in this Section 5.5.

  • Sponsorship As required by section 286.25, F.S., if the Provider is a non-governmental organization which sponsors a program financed wholly or in part by State funds, including any funds obtained through this Contract, it shall, in publicizing, advertising, or describing the sponsorship of the program state: “Sponsored by (Provider's name) and the State of Florida, Department of Children and Families”. If the sponsorship reference is in written material, the words “State of Florida, Department of Children and Families” shall appear in at least the same size letters or type as the name of the organization.

  • Computer Equipment Recycling Program If this Contract is for the purchase or lease of computer equipment, then Contractor certifies that it is in compliance with Subchapter Y, Chapter 361 of the Texas Health and Safety Code related to the Computer Equipment Recycling Program and the Texas Commission on Environmental Quality rules in 30 TAC Chapter 328.

  • Multi-year Planning Targets Schedule A may reflect an allocation for the first Funding Year of this Agreement as well as planning targets for up to two additional years, consistent with the term of this Agreement.   • Post-Award Small Business Program Re Representation If applicable, The Contractor shall report timely and accurately their small business program re-representation and update XXX.xxx.

  • BUY AMERICA ACT (National School Lunch Program and Breakfast Program With respect to products purchased by Customers for use in the National School Lunch Program and/or National School Breakfast Program, Contractor shall comply with all federal procurement laws and regulations with respect to such programs, including the Buy American provisions set forth in 7 C.F.R. Part 210.21(d), to the extent applicable. Contractor agrees to provide all certifications required by Customer regarding such programs. In the event Contractor or Contractor’s supplier(s) are unable or unwilling to certify compliance with the Buy American Provision, or the applicability of an exception to the Buy American provision, H-GAC Customers may decide not to purchase from Contractor. Additionally, H-GAC Customers may require country of origin on all products and invoices submitted for payment by Contractor, and Contractor agrees to comply with any such requirement.
