Nature of Employment; Term of Employment. The Company hereby employs Employee and Employee agrees to serve the Company as its Vice President of Research and Development upon the terms and conditions contained herein, for a term commencing as of June 1, 1996 and continuing until the end of business on May 31, 1999, (the "Employment Term"). This Agreement will automatically renew for one additional term of one year if notice of termination is not given by either party at least forty-five (45) days prior to the end of the Employment Term.
Nature of Employment; Term of Employment. (a) The Company hereby agrees to continue to employ MWW and MWW agrees to continue to serve the Company as its CEO, upon the terms and conditions contained herein, for a term commencing effective as of September 1, 2008 (the "Commencement Date") and continuing until and including August 31, 2010 (the "Employment Term," which shall include, as applicable, all successive terms of employment under this Agreement or any amendment thereof).
Nature of Employment; Term of Employment. The Company hereby employs Perisano and Perisano agrees to serve the Company as its Chief Executive Officer upon the terms and conditions contained herein, for a term commencing retroactively as of March 30, 1999 and continuing until the close of business on March 30, 2002 (unless terminated sooner pursuant to the provisions hereof, the "Employment Term"). So long as Perisano is Chief Executive Officer of the Company, he shall be nominated to serve as a Director of the Company.
Nature of Employment; Term of Employment. The Company hereby employs the Executive and the Executive agrees to serve the Company as its Co-Chairman and Co-Chief Executive Officer, upon the terms and conditions contained herein, for a term commencing as of January 1, 1997 and continuing until December 31, 2000 (the "Employment Term"); provided, however, that unless either the Company or the Executive gives notice that it or he desires to terminate this Agreement at least sixty (60) days prior to the date of its termination, this Agreement (including this Section 1) shall automatically be renewed for additional successive periods of one (1) year.
Nature of Employment; Term of Employment. The Company hereby employs Employee and Employee agrees to serve the Company as its President and Chief Executive Officer, upon the terms and conditions contained herein, for a term commencing as of the date hereof and continuing until June 30, 2000 (the "Employment Term"); provided, that this Agreement (including this Section 1) shall automatically be renewed for one (1) additional three (3) year period upon terms no less favorable than the terms existing in the third year of the Employment Term, unless the Company or Employee gives written notice to the other party of its intention not to renew this Agreement with sixty (60) days prior to the expiration of the Employment Term.
Nature of Employment; Term of Employment. Effective July 1, Company employs Executive as Vice President, AMI and Electric. The “Term of Employment” shall commence on such date and is thereafter terminable at will by either party. Nothing contained herein shall be deemed to be an obligation on the part of the Company to any fixed term of employment. During the Term of Employment, the Company agrees to retain Executive in its employ, and Executive agrees to remain in the employ of the Company, as Vice President AMI and Electric. Executive will carry out his duties as Vice President, AMI & Electric subject to the direction of the Chief Executive Officer.
Nature of Employment; Term of Employment. The Company hereby employs the Executive and the Executive agrees to serve the Company, and any of its subsidiaries and affiliates, upon the terms and conditions contained herein, for a term commencing as of the Effective Date of this Agreement, and continuing until the occurrence of a Termination Event (as defined below), but in no event later than June 30, 2001 except as hereinafter provided (the "Employment Term"). The parties agree that, if a Termination Event has not occurred prior to June 30, 2001, this Agreement shall continue in full force and effect, provided that the parties have mutually agreed prior thereto upon new compensation arrangements for the fiscal year beginning July 1, 2001.
Nature of Employment; Term of Employment. The Company hereby ---------------------------------------- employs the Employee and the Employee agrees to serve the Company in the executive capacity of Vice President - Coffee, upon the terms and conditions contained herein, for a term commencing as of October 25, 1996 and continuing until January 15, 1999 (the "Employment Term"). The Company will provide Employee with regular and timely financial information (sales, cash flow, etc.) on a per store and plant basis.
Nature of Employment; Term of Employment. (a) The Company hereby agrees to employ the Executive and the Executive agrees to become employed with the Company as its President of ChyronHego Americas, a division of the Company, upon the terms and conditions contained herein, for a term commencing effective as of May 23, 2013 (the “Commencement Date”) and continuing until the third year anniversary of the Commencement Date, unless terminated earlier pursuant to Section 9 (the “Employment Term”). To the extent the Agreement is not renewed following the end of the Employment Term and the Executive continues to be employed by the Company following the end of the Employment Term, the Executive’s employment will be at-will and this Agreement will be of no further force and effect except to the extent that it survives pursuant to the terms herein.
Nature of Employment; Term of Employment. The “Term of Employment” shall commence as of the date hereof, and extend to December 31, 2006, unless sooner terminated as hereinafter provided; provided, that such term shall continue for the twelve month period following December 31, 2006, and for each twelve month period thereafter, unless at least 90 days prior to the scheduled expiration date, either the Executive or the Company notifies the other of its decision not to continue such term. Should the Executive’s employment be earlier terminated by the Company pursuant to Section 4(a), by the Executive pursuant to Section 4(b) or mutually by both parties pursuant to Section 4(c), the Term of Employment shall end on the date of such earlier termination. Nothing contained herein shall be deemed to be an obligation on the part of the Company to extend the Term of Employment. During the Term of Employment, the Company agrees to retain Executive in its employ, and Executive agrees to remain in the employ of the Company, as President and Chief Executive Officer. Executive will carry out his duties as President and Chief Executive Officer with respect to all the divisions and direct and indirect subsidiaries of Holdings (which companies, together with the Company, shall be referred to collectively as the “Company Group”), subject to the direction of the Holdings’ Board of Directors (the “Board of Directors”).
