The tax ruling granted by the relevant Netherlands Antilles Tax Authority, dated December 15, 1999, which provides that, in accordance with articles 14 and 14A of the Profit Tax Ordinance 1940, the Company is subject to Netherlands Antilles tax at rates of 2.4-3% is in full force and effect as of the date hereof and the Company is in compliance with all provisions thereof. TH Europe has received oral confirmation from such Netherlands Antilles Tax Authority that the ruling will remain in effect following the execution and delivery of this Agreement and the consummation of the Stock Purchase and the other transactions contemplated hereunder.
