Network Provider Agreements. (a) Prior to appointing a Network Provider to the HSM Network, the Health Services Manager must use reasonable endeavours to enter into a Network Provider Agreement with all other Network Providers. (b) For the avoidance of doubt, where: (i) the Network Provider: (A) is a public hospital or a public health care provider funded by the Government; and (B) the Health Services Manager has used its reasonable endeavours to enter into a Network Provider Agreement with that Network Provider, the Health Services Manager may nevertheless appoint that Network Provider to the HSM Network. An example of where the Department might agree that a Network Provider does not need to enter into a Network Provider Agreement prior to being appointed to the HSM Network is where there is no other provider of general practitioner services in the area or immediate region in which that type of Health Care service for Transferees and Recipients is required that: (A) meets the minimum requirements and standards concerning the provision of the relevant specified Health Care to Transferees and Recipients; and (B) is willing to provide the specified Health Care to Transferees and Recipients and to enter into a Network Provider Agreement.

Network Provider Agreements. In the event Network shall contract with primary care physicians and specialty physicians to arrange for the provision of services to Members under this Agreement, the form of these agreements with such Network Providers (the "Network Provider Agreements") shall be subject to the prior approval of Plan, in its sole discretion. Network shall provide Plan with a copy of each form of Network Provider Agreement, and upon request of the Plan, shall provide copies of each executed Network Provider Agreement. Network shall not alter the terms of such Network Provider Agreement without the prior approval of Plan, in its sole discretion. Even though Network will not contract with certain Participating Providers (e.g. hospitals and ancillary services providers), Network shall have financial responsibility for Covered Services provided Members by Participating Providers. Such Network Provider Agreements shall contain a provision stating that if the terms and conditions contained in the Network Provider Agreement conflict with any terms and conditions contained in this Agreement, the provisions in this Agreement shall control and supercede the terms and conditions contained in the Network Provider Agreement.
Network Provider Agreements. Network Providers shall be under agreement with Network and Company in order to provide services to Network Members hereunder. Such agreements, as between Network and Network Providers, shall be executed in the form and content attached hereto as Attachment C, and Network represents and warrants that all Network Providers will have executed or will execute the form of agreement in Attachment C. Such Network Participation Agreements are hereby deemed acceptable to Company for purposes of meeting Network's obligations hereunder. Amendments to such Network Participation Agreements which would have a material impact on the provision of Home Health Services to Network Members by Network Providers under this Agreement, require the prior written approval of Company, not to be unreasonably withheld. Network shall contractually require Network Providers to comply with the applicable terms of this Agreement. Subject to the terms of the Three Party Agreement described in section 1.E below, Network agrees to enforce its Agreements with Network Providers as necessary to ensure compliance with the terms of this Agreement, including but not limited to the obligation that Network Providers provide the Home Health Services to Network Members in accordance with the applicable Plan. In order to remain Network Providers for the term of this Agreement, Network Providers must continue to meet the Company Participation Criteria set forth in the applicable Company Participating Provider Agreement attached hereto as Attachment D.

  • END USER AGREEMENTS (“EUA GAC acknowledges that the END USER may choose to enter into an End User Agreement (“EUA) with the Contractor through this Agreement, and that the term of the EUA may exceed the term of the current H-GAC Agreement. H-GAC’s acknowledgement is not an endorsement or approval of the End User Agreement’s terms and conditions. Contractor agrees not to offer, agree to or accept from the END USER, any terms or conditions that conflict with those in Contractor’s Agreement with H-GAC. Contractor affirms that termination of its Agreement with H-GAC for any reason shall not result in the termination of any underlying EUA, which shall in each instance, continue pursuant to the EUA’s stated terms and duration. Pursuant to the terms of this Agreement, termination of this Agreement will disallow the Contractor from entering into any new EUA with END USERS.   • Customer Agreements 29.1 Trader to include provisions in Customer Agreements: The following clauses apply in respect of the Trader’s Customer Agreements: (a) in respect of each Customer Agreement that has been entered into prior to the Commencement Date: (i) at the next review date, or, if the Trader is able to unilaterally vary the Customer Agreement, within 12 months after the Commencement Date (whichever is earlier), the Trader must issue a unilateral variation to the Customer Agreement to include provisions that have substantially the same effect as the provisions required to be included in the Customer Agreement by this Agreement, and those provisions must be expressed to be for the benefit of the Distributor and enforceable by the Distributor in accordance with section 12 of the Contract and Commercial Law Act 2017; or (ii) if the Trader is unable to unilaterally vary 1 or more Customer Agreements as set out in subparagraph (i), the Trader must: (A) use all reasonable endeavours to obtain at the next review of each Customer Agreement, or within 12 months, whichever is earlier, the agreement of the Customer to enter into a variation of the Customer Agreement to include the provisions required to be included in the Customer Agreement by this Agreement, and those provisions must be expressed to be for the benefit of the Distributor and enforceable by the Distributor under section 12 of the Contract and Commercial Law Act 2017; and (B) promptly provide notice to the Distributor if it is unable to obtain the agreement of the Customer required in subparagraph (A); or (b) in respect of each Customer Agreement that has been entered into after the Commencement Date, include the provisions required to be included in the Customer Agreement by this Agreement, and those provisions must be expressed to be for the benefit of the Distributor and enforceable by the Distributor in accordance with section 12 of the Contract and Commercial Law Act 2017.

  • HHSC Agreements A. To pay the Contractor for services provided under the Contract type specified in Section I of this Contract in amounts and under conditions determined by HHSC as defined in this Contract, the applicable Contractor manual, handbook, policy letter or program rules and standards and in accordance with applicable laws and regulations for all eligible persons receiving such services under Title XIX and or Title XX. B. To pay the Contractor within time limits set by HHSC and in accordance with applicable laws and regulations after a proper claim for payment is submitted and approved for payment in accordance with HHSC's Claims Administrator billing guidelines. C. To adjust payments to the Contractor to compensate for prior overpayment or underpayment. D. To give the Contractor reasonable notice of any impending change in its status as a participating Contractor, except that nothing in this section shall be construed to deny HHSC the right, for failure to comply with this Contract or regulations published in the Texas Register, to terminate this Contract, suspend payments or take any other legal remedy available to HHSC. E. To provide a hearing, in accordance with TAC, Title 1, Part 15, Chapter 357, Subchapter I, or its successor to the Contractor in the event HHSC imposes an adverse action on the Contractor under this Contract. F. To make available to the Contractor the applicable Contractor manual and any changes to that manual that change the requirements for participation. G. That a religious organization that contracts with HHSC does not by contracting with HHSC lose the exemption provided under Section 702 of the Civil Rights Act [42 U.S.C. §2000E-1(a)] regarding employment practices. A religious or charitable organization is eligible to be a Contractor on the same basis as any other private organization. The Contractor retains its independence from state and local governments, including the Contractor's control over the definition, development, practice and expression of its charitable or religious beliefs. Except as provided by federal law, HHSC shall not interpret this Contract to require a charitable or religious organization to alter its form of internal governance or remove religious art, icons, scripture or other symbols. Furthermore, if a religious or charitable organization segregates the government funds provided under this Contract, then only the financial assistance provided by these funds will be subject to audit. However, neither HHSC's selection of a charitable or faith-based Contractor nor the expenditure of funds under this Contract is an endorsement of the Contractor's charitable or religious character, practices or expression. The purpose of this Contract is the provision of community services. No state expenditures have as their objective the funding of sectarian worship, instruction or proselytization, and no state funds shall be expended for these purposes.
