Xxxxx expressly warrants that no rights, causes of actions, or claims released in this Supplemental Agreement have been assigned, transferred or otherwise disposed of to any person or entity, nor has he made any attempt to do so. Xx. Xxxxx agrees to hold harmless and indemnify the Released Parties should any other person or entity assert any rights, causes of actions, or claims released m this Supplemental Agreement.

No Assignment/Transfer. No assignment or transfer of Optionee’s rights under this Agreement shall be made, and any attempt to transfer or assign this Agreement or any rights of Optionee hereunder shall be void and shall automatically terminate the Option. In the event of a final action of LAFCO affecting a change of organization as a successor-in-interest to Optionee, Optionee shall have the right to assign this Agreement to such successor-in- interest to Optionee.
No Assignment/Transfer. This Agreement will be binding on and inure to the benefit of each party’s heirs, representatives, successors and assigns; provided, however, Host may not assign its rights, duties and obligations under this Agreement without the prior consent of BEK (which may be withheld in BEK’s sole discretion), and provided that any such assignment shall not release Host from any liability under this Agreement.

  • Assignment/Transfer The Credit (or a portion thereof as earned) under this Agreement may be assigned to an “Affiliated Corporation” in accordance with RTC section 23663. As stated in RTC section 23689(i)(1), this Agreement shall not restrict, broaden, or alter the ability of Taxpayer to assign the Credit in accordance with RTC section 23663. In order to transfer this Agreement as a result of a sale or merger, prior written consent of GO- Biz must be obtained or the transfer will be void. Such transfer shall be permitted if GO-Biz determines that the transfer would further the purposes of the CCTC program and benefit California. Prior to GO-Biz consenting to the transfer, the new entity must disclose to GO-Biz the number of California full-time employees it employed at the time of acquisition or merger and any other information GO-Biz requests that applicants for a CCTC provide pursuant to a CCTC application.

If this Sublease is assigned, or if the Subleased Premises or any part thereof is underlet or occupied by any person or entity other than Sublessee, Sublessor may, after default by Sublessee beyond any applicable notice and cure periods, collect rent from the assignee, undertenant or occupant, and apply the net amount collected to the rents payable by Sublessee hereunder, but no assignment, underletting, occupancy or collection shall be deemed a waiver of the provisions hereof, the acceptance of the assignee, undertenant or occupant as tenant, or a release of Sublessee from the further performance by Sublessee of the covenants hereunder to be performed on the part of Sublessee. Any attempted assignment or subletting without the prior written consent of Sublessor and Prime Lessor shall be void.
